中国 （以下简称“接受方”）为一方， 国 公司（以下简称“许可方”）为另一方：

鉴于许可方拥有一定价值并经注册的商标；

鉴于接受方希望在制造、出售、分销产品时使用这一商标；双方授权代表通过友好协商，同意就以下条款签订本合同。

referredtoas“Licensee”and Company Country,（hereinafterreferredtoas“Licensor”.WhereasLicensorownsecrtainvaluableregisteredtrademarks;WhereasLicenseehopetoutilizethetrademarkuponandinconnectionwiththemanufacture,saleanddistributionoftheContractProducts;Bothpartiesauthorizedrepresentatives,throughfriendlynegotiation,agreetoenterintothisContractunderthetermsasstipulatedbelow.

第一条定义Section1Definitions

1.1“注册商标”---是指本合同附件一所指的在中华人民共和国商标局注册登记的商标，该注册商标的编号为 。

“RegisteredTrade”meansthetrademarkwhichhasbeendescribedinAppendix1totheContractandhasbeenregisteredbyChinaTrademarkOfficein .Theregisterednumberis .

1.2“许可方”是指 国 公司，或者该公司的法人代表、代理和财产继承者。

“licensor”means Company country,orthelegalrepresentative,oragencyorthepropertysuccessoroftheCompany.

1.3“接受方”是指中国 公司，或者该公司的法人代表、代理和财产继承者。

“Licensee”meansChina ,orthelegalrepresentative,oragencyorthepropertysuccessoroftheCorporation.

1.4“合同产品”是指合同附件二所列的产品。

“TheContractProduct”meanshteproductsstipulatedinAppendix2totheContract.

1.5“净销售价”是指合同产品的销售发票价格扣除包装费、运输费、保险费、佣金、商业折扣、税费、外购件等费用后的余额。

“NetSellingPrice”eanstheremainingsumwhichthesellingcommercialinvoicepricedeductsthepackingexpense,transportationexpense,insurancepremium,commissions,commercialdiscounts,taxesandexpenseforboughtoutelementsandpartsetc.

1.6“合同生效日”是指本合同双方签字日。

第二条合同范围Section2ScopeoftheContract

2.1根据以下条款的规定，接受方同意从许可方取得，许可方同意向接受方授予单独使用附件一所指的注册商标的许可权利，且只在制造和出售、分销合同产品时使用。

合同产品的名称、型号、规格和技术参数详见本合同附件二。

这种权利是独占性的，是不可转让的权利。

许可方同意在合同的有效期内不在合同有效区域内再授予别人销售合同产品时使用这一商标。

Uponthetermsandconditionshereinaftersetforth,LicenseeagreetoobtainfromLicensor,andLicensoragreetograntLicenseetherighttoutilizetheRegisteredTrademarksolelyandonlyuponandinconnectionwiththemanufacture,saleanddistributionoftheContractProducts.Thename,model,specificationandtechnicalnoticesoftheContractProductsaredetailedinAppendix2totheContract.Thelicenseandrightareexclusiveanduntransferable.LicensoragreesthatduringthevalidityofthisContract,itwillnotauthorizeathirdpartytoutilizetheRegisteredTrademarkuponandinconnectionwiththemanufacture,saleanddistributionoftheContractProductsinthesameareaspecifiedinthisContract.

2.2许可只在 地区有效。

接受方同意不在其他地区直接或间接使用或授权他人使用这一商标，且不在知情的情况下向有意或有可能在其他地区出售合同产品的第三者销售该产品。

2.3许可方负责向接受方提供注册商标的有关资料，包括注册商标的文字、图案、申请情况、编号等，具体的资料详见本合同附件一。

LicensorisresponsibleforprovidingLicenseewiththedocumentsrelatedtotheRegisteredTrademark,includingtheword,design,applicationforregistrationandregisterednumber,etc.,thespecificdocumentationisdetailedinAppendix1totheContract.

2.4接受方同意在出售合同产品或在合同产品的广告、促销和展示材料中根据规定标明

“注册商标 公司 年”,或其他许可方要求的标志。

第三条合同价格Section3PriceoftheContract

3.1按照第二条规定的内容和范围，本合同采用提成方式计算使用费，计价的货币单位为美元。

PriceoftheContractshallbecalculatedonRoyaltyinaccordancewiththecontentandscopestipulatedinSection2totheContractandcurrencyshallbeinUSdollars.

3.2本合同使用费的计算时间从合同生效之日后的第 个月开始，按日历年度计算，每年的十二月三十一日为使用费的结算日。

RoyaltyundertheContractshallbepaidfromthe monthafterthedateofEffectivessnessoftheContractintermsofCalendarYear.ThedateofsettlingaccountsshallbeDecember31ofeachyear.

3.3使用费按当年度合同产品的净销售价计算，提成率为 ％。

Royaltyattherateof %（say percent）shallbecalculatedintermsofnetsellingpriceaftertheContractProductsaresoldinthisyear.

3.4在使用费结算日后天之内接受方应向许可方提供完整、精确的报告，说明接受方上一年度合同产品的销售数量、净销售额和应支付的使用费，净销售额和使用费的具体计算方法见本合同附件三。

如发现报告或支付中有不一致或错误，许可方应在收到该报告日内提出质疑，接受方应及时改正。
