whereas“suppLIeR”isunabletoengageintheimportsliabilitypoliciessuchthatbuyerandsellerarebothcoveredforanyallegednegligence,andthebuyershallbeshownasoneofthebeneficiariesonthecertificateofinsurance.Thisclause7.1doesnotaffectsellersindemnificationorotherliabilitieshereunder.如本合同包括安装，卖方应承担设备的安装及调试工作,并遵守本合同附件A中的安装条款。
另外，卖方在买方所在地开始安装调试前还应购买投保额不低于合同总价的设备安装险。
保险凭证应列明保险公司名称、保险金额、保险单号码、到期日。
在供方的责任保险单上买方应被列为受益人之一，即买方与卖方均能在有声称的过失时受到足够的保护，并且买方应当在保险凭证上被列为受益人之一。
本条款并不影响供方在协议项下的赔偿及其他责任。
4.1.2LocationofInstallation:

4.1.3Afterinstallationoftheequipment,buyerandsellerwilljointlyparticipateinacceptancetesting.IfthetechnicalspecificationslistedintheTechnicalAgreementattachedheretoasAppendixbhavebeenreached,therepresentativesofbothpartiesshallsignanAcceptancecertificateintheformattachedtotheTechnicalAgreement,induplicate,oneforeachparty.suchsignatureshallconstituteacceptanceoftheequipmentbythebuyer.TheAcceptancecertificatewillnotexemptthesellerfromtheobligationtoperformwarrantywork,andthesellerwillremainresponsibleunderthewarrantyprovisionslistedinArticle5.
在完成设备调试后，由买方和卖方共同组织验收。
如果所有的设备都达到了本合同附件b技术协议中的约定，双方代表应签署二份“验收证书”，双方各执一份。
这表明买方已接受设备。
本条款下的验收合格并不免除卖方应对产品的质量承担的担保责任，卖方还应根据本合同第五条的保证条款对卖方负责。
4.1.4sellerwillpayallexpensesofinstallationoftheequipment,andwillberesponsibleforanydamagetotheequipment,seller’sfacility,orseller’semployeesduringthecourseofinstallation..Thesellerwillprovidetrainingforthebuyeruntilthebuyer’spersonnelcanoperatetheequipment.
卖方应支付由安装调试引起的一切费用，并对安装期间设备、卖方的工具或者卖方雇员的一切损失负责。
卖方应该为买方人员提供足够的指导及培训直到买方人员能操作使用设备。
4.2modeb模式b
4.2.1buyershalltakecareoffieldinstallationandcommissioningoftheequipment,andreporttoselleronanyproblemorfailure.
买方负责现场安装调试，如有问题或故障须及时向卖方报告。
4.2.2sellermustguideforinstallationandcommissioning,furnishthebuyerwithinstructionsaboutinstallationandcommissioning,andprovidelong-distancesupportviatelephone,emailandsoon.Ifthereisanyquestion,sellertechnicalstaffshouldsolvetheproblemwithinthreeworkingdaysandkeeptheequipmentrunninginorder.otherwise,buyerisentitledtotheoptionofaskingsellertosettletheproblemwhereitisinstalledatitsowncostsandexpenses.
卖方必须指导买方的安装调试工作，向买方提供安装、调试操作说明书，并通过电话、邮件等方式提供远程支持。
如有任何问题，卖方技术人员，应在3个工作日内解决问题，保证设备的正常运行。
否则，买方有权要求卖方来现场进行处理并自负费用。
4.2.3LocationofInstallation:

4.2.5Thesellerwillprovidetrainingforthebuyer,thelong-distancesupportviaemail,telephoneandsoon,untilthebuyer’spersonnelcanoperatetheequipment.
卖方应该通过邮件、电话等远程支持，为买方人员提供足够的指导及培训直到买方人员能操作使用设备。
ARTIcLe5-wARRAnTY
第五款–保证条款
5.1Quality质量方面
5.1.1Thesellerwarrantsthattheequipmenttobesuppliedunderthiscontract
卖方对本合同下提供的设备做出如下保证：
1）willbefreefromalldefectsindesign,workmanshipandmaterialsandwillbebrandnew.
在设计，加工和材料方面没有任何缺陷，并且应该是全新的；
2）willbefitfornormalusagesofequipmentofthistype,aswellasforanyspecificpurposethatbuyerhas
communicatedtosellerthatitintendstousetheequipmentfor;
符合本类设备的通用使用目的，同时符合买方在签订合同时明示或者暗示给卖方的任何特定使用目的。
3）willbeofthesamequalityasanysampleequipmentwhichthesellerhasfurnishedtothebuyerasamodel
具有和卖方提供给买方的模型样品相同的质量。
5.1.2Iftheequipmenthasanyproblemswiththeequipmentthatrequirerepairduringthewarrantyperiod,thebuyermayrequestwarrantyservicebygivingnotice,includingadescriptionoftheproblem,theseverityoftheproblem,andtheit,initiallybywrittenresponseacknowledgingreceiptofbuyer’srequesttobesentbacktothebuyerimmediately.Thesellerwillarrangeforservicepersonneltoaddressthequalityproblemswithinareasonabletime.
Theabovementionedwarrantyperiodshallbe12monthsfromthedateofacceptancecertificate.
保证期内设备出现质量问题需要维修时，买方可拟写书面维修通知，内容包括对质量问题的描述，质量问题严重程度的判定，维修时间要求等；维修通知应发送到卖方的质量保证团队在本合同或卖方网站中列出的地址。
卖方应在收到买方书面维修通知后（24）小时内签字确认回传，并在合理期限内安排维修人员解决质量问题。
以上所述的保证期为验收合格之日起12个月。
5.1.3Ifthesellerfailstosolvethequalityproblemswithinareasonabletime,buyermay,atitsoption,
（a）replacethedamagedequipment,
（b）hireathirdpartytorepairtheequipment,or
（c）allowthesellertoconducttherepairsinquestion.sellerwillbeliableforthecostsofsuchrepair.
卖方未能在合理期限内解决质量问题的，买方有权自行选择
（a）要求卖方退换质量有问题的设备
（b）另请第三方维修设备，或
（c）允许卖方维修有问题的设备。
卖方应承担维修所引起的费用。
5.2warrantyofownership
Theequipmentdeliveredbythesellerwillbefreefromanyrightorclaimtotitleofathirdparty,unlessthebuyerhasagreedtoaccepttheequipmentsubjecttothatrightorclaim.however,ifsuchrightorclaimisbasedonindustrialpropertyorotherintellectualpropertyrights,thesellersobligationwillbegovernedbyArticle5.3below.
所有权保证
卖方提供的必须是第三方不能提出任何权利或者请求的设备，除非买方同意接受含有第三方权利或者请求的设备。
但是如果这种权利或者请求是以工业产权或者其它知识产权为基础的，那么卖方的责任由5.3款规定。
5.3warrantyofIntellectualproperty知识产权保证
5.3.1sellerwilldefendandindemnifybuyeragainstalldemands,claims,threats,lawsuitsorotherproceedings,includingattorneysfeestherefor（“claims”）arisingoutof,resultingfromorrelatedtoanyallegationthattheequipment
infringesormisappropriatesanypatent,copyright,trademark,tradesecret,tradename,tradedress,maskworkorotherintellectualpropertyorproprietaryright（collectively“IpRights”）ofathirdparty.
卖方有义务使得买方免于因该设备违反或者盗用任何第三方的专利，版权，商标，商业秘密，商号，商业外观，屏蔽作品权或其他的知识产权（以下统称知识产权）而产生的任何要求，权利请求，威胁，诉讼或其他程序（以下统称为诉讼），并应赔偿买方因以上程序产生的一切损失，包括律师费用。
5.3.2Ifbuyerispreventedorislikelytobepreventedfromusingtheequipmentbyreasonofanysuchclaim,thensellerwill,atitssoleexpense,useitsbesteffortsto:
（i）obtainallrightsrequiredtopermittheuseofsuchequipmentbybuyer;or（ii）modifyorreplacetheequipmenttomakeitnon-infringing.Ifsellerisunabletoachieveeitheroptionabovewithin15daysafterissuanceofaninjunction,thenbuyermayimmediatelyterminatethiscontractandsellerwillrefundtobuyerallmoniespaidunderthiscontract.
如果买方因为此类权利主张而被阻止或可能被阻止使用该设备，那么卖方应该自负费用，尽其最大的努力去做到：
（1）获取买方使用该设备所必须的所有权利；或
（2）修改或更换该设备使之不侵权。
如果卖方在禁止发布后15天内无法完成上述要求之一，那么买方可立刻终止本合同，卖方将赔偿买方因该合同而产生的一切金钱支出。
Indemnificationnotificationandprocedure
buyerwillpromptlynotifysellerofanyclaimsforwhichbuyermayseekindemnityunderthetermsofthiscontract,andsellerwillimmediatelyassumecontrol,inamannernotadversetotheinterestsofbuyer,oftheclaim.buyermayemploycounselattheirownexpensewithrespecttoanysuchclaim,providedthatifcounselisemployedduetoaconflictofinterestorbecausesellerdoesnotadequatelyorcompetentlyassumecontrolofthe
defense,sellerwillbearsuchexpense.buyerwillgivesellerreasonableassistanceandcooperationinthedefenseoftheclaim.sellerwillneitheradmitliabil（:

赔偿通知及程序
买方应将其依据本合同条款可能提出的赔偿请求迅速通知卖方,卖方应立刻以一种不违背买方利益的方式对该类权利主张采取控制措施。
对于该类权利主张，买方可用自费聘请律师，如果聘请律师的事由是利益冲突或者卖方对于防卫并未采取足够的完全的措施去控制，卖方将承担该费用。
对于此类权利主张的防卫，买方应给与卖方合理的协助和合作。
未取得买方事先的书面同意，卖方无权承诺承担任何责任，也无权签订任何对买方权利造成损害的协议。
Article6–InsuRAnce
第六条-保险
6.1within30daysafterthesignatureofthiscontract,sellershallfurnishtobuyeracertificateofinsuranceshowing
minimumcoverageofgeneralandproductliabilityinsurancewithcombinedsinglelimitsoftwomilliondollars（us$2,000,000）peroccurrence,whichmayincludeacombinationofprimaryandexcessliabilityinsurance.Thecertificateofinsuranceshalllisttheinsurancecompany,amountofcoverage,policynumbers,expirationdate,andincludea30-day-notice-of-cancellation-to-buyerclause.buyershallbenamedasoneofthebeneficiariesundersellersliabilitypoliciessuchthatbuyerandsellerarebothcoveredforanyallegednegligence,andthebuyershallbeshownasoneofthebeneficiariesonthecertificateofinsurance.sellershallmaintainsuchinsuranceduringthetermoftheAgreement.Thisclause9doesnotaffectsellersindemnificationorotherliabilitieshereunder.
在本合同签订后30天内卖方应向需方提供一份保险凭证，表明最低总投保额和单次单项限额为二百万美元（200万美元）的一般险和产品责任险，上述保险可以包括基本险与附加险。
保险凭证应列明保险公司名称、保险金额、保险单号码、到期日，并应包括提前30天通知需方终止条款。
在供方的责任保险单上买方应被列为受益人之一，即买方与卖方均能在有声称的过失时受到足够的保护，并且买方应当在保险凭证上被列为受益人之一。
供方应在协议有效期间内保持上述保险。
本条款并不影响供方在协议项下的赔偿及其他责任。
