本合同（以下简称“合同”）于2014年3月26日由以下各方在***省签署：

ThisCONTRACT（hereinafterreferredtoas“CONTRACT”）hasbeensignedasofthisdateMar26,2014inShandongbyeachpartyasfollows:

（以下简称“买方”）；和herebyafterreferredtoas“BUYER”）.And*****飞机销售有限公司遵照中华人民共和国法律设立并营业，总部位于***省**市区（以下简称“卖方”）；和

********helicoptermarketingCompanyisanagencyestablishedandoperatedundertheLawsofthePeople'sRepublicofChinaandhavingitsheadofficeat****Airbase,*****gprovince,China.（hereinafterreferredtoas“SELLER”）,And

经友好协商，各方同意如下：

Throughfriendlynegotiation,thepartiesagreeasfollows:

定义CLAUSE1DEFINITIONS除非在本合同中另有规定，下列术语在本合同中分别具有如下含义：

UnlessotherwisespecifiedintheCONTRACT,thefollowingtermshasthespecifiedmeanings.“各方”指买方、卖方和进口代理的统称；

“Parties”means,BUYER,SELLERandIMPORTAGENTcollectively;

“双方”指买方和卖方的合称；

“Bothparties”meansBUYERandSELLERcollectively;

“产品”指本合同第3章所述各项内容的统称；

“Product”meansallitemslistedinClause3ofCONTRACT;

飞机”指本合同中所购、按附件2中定义构型及附件3中定义的选装设备所交付的飞机；

AircraftmeanstheaircraftpurchasedundertheCONTRACTanddeliveredwiththeconfigurationspecifiedinEnclosure2andoptionalequipmentspecifiedinEnclosure3;

“EASA”指欧盟航空安全管理委员会

“EASA”meansEuropeanAviationSafetyAgency;

“CAAC”指中国民用航空局；

“CAAC”meansCivilAviationAdministrationofChina.

“工作日”指除周末和任何中国大陆、香港、意大利、法国、德国、美国等法定假日之外的银行工作日；

“Workingday”meansanybankworkingdayotherthanweekendsandotherpublicholidaysinChinaMainland,HongKongorinItaly.

“工厂接收”指双方按本合同第8章的规定，在工厂检验和测试合格之后，在制造商工厂完成的对工厂接收证书的签署；

“FactoryAcceptance”meansthesigningoftheFactoryAcceptanceCertificatebybothpartiesaftersuccessfulcompletionofthefactoryinspectionandtestactivityatManufacturer’sfactoryinaccordancewithprovisionsofClause8oftheCONTRACT;

“最终接收”指双方按本合同第11.2章的规定，在最终检验和测试合格之后，在买方运营基地完成的对最终接收证书的签署；

“FinalAcceptance”meansthesigningoftheFinalAcceptanceCertificatebyboth

PartiesaftersuccessfulcompletionofthefinalinspectionandtestactivityatBUYER’soperationbaseinaccordancewithprovisionsofClause11.2oftheCONTRACT.

“合同总价”指在第6章中所规定的价格；

“TotalCONTRACTprice”meansthepricespecifiedinClause6.

“服务”指本合同范围内卖方、制造商或其授权代表向买方所提供的所有服务，包括但不限于拆卸、包装、运输、保险、培训、重新组装，现场支援、售后支持以及其所有为合同执行所做的安排、协调等工作；

“Service”meansalltheserviceprovidedtotheBUYERbytheSELLER,Manufacturerortheirauthorizedrepresentatives,includingbutnotlimitedtodisassembly,packing,shipping,insurance,training,reassembly,sitesupport,aftersaleserviceandallarrangementandcoordinationmadefortheperformanceoftheCONTRACT.

合同目的CLAUSE2SUBJECTOFTHECONTRACT根据本合同条款，卖方将向买方销售和交付本合同所定义的产品；买方将向卖方购买该产品，支付货款并接收其产权。

BUYERshallactastheauthorizeduseroftheaircraftandexecutingthisCONTRACTonbehalfoftheBUYER.进口代理将作为买方的代理帮助买方完成合同的执行工作。

IMPORTAGENTshallactastheagentoftheBUYERandshallassisttheBUYERandBUYERwiththeexecutionoftheCONTRACT.产品描述CLAUSE3PRODUCTDESCRIPTION在本合同范围之内，“产品”具有以下含义：

ProductundertheCONTRACThasthefollowingmeanings:

标准构型P92JS飞机和选装设备，如附件1所述；

P92JSaircraftstandardconfigurationandoptionalequipmentareasdescribedinEnclosure1;

卖方提供的文件和出版物，如附件2所述；

DocumentsandpublicationsprovidedbytheSELLERasdescribedinEnclosure5;

卖方向买方提供的服务。

ServicesprovidedbytheSELLERtotheBUYER.

原产地和制造商CLAUSE4PLACEOFORIGINANDMANUFACTURER原产地：

Capua,意大利

Placeoforigin:

Capua,Italy.

制造商：

Tecnam航空技术有限公司CostruzioniAeronauticheTecnamsrl适航取证CLAUSE5CERTIFICATION本合同项下飞机应已取得由EASA和CAAC颁发的型号合格证；

TheAircraftunderthisCONRACThasobtainedtheTypeCertificateissuedbyEASAandVTCissuedbyCAAC;

本合同项下飞机将在制造商工厂，在EASA/CAA颁发的生产许可证下进行生产；

TheAircraftHelicopterunderthisCONTRACTtobeproducedinManufacturer'sfacilitieswillbemanufacturedunderEASA/CAAProductionCertificate;

飞机交付时应有由EASA/CAA适航当局颁发的出口适航证正本一份；

TheAircraftshallbedeliveredwithanoriginalcopyofExportCertificateofAirworthinessissuedbyEASA/CAA;

在发运时，所有已经民用取证的备件和选装设备均应具有由制造商质量控制部门（为EASA授权）所签署的适航标签/适航证；

Allsparepartsandoptionalequipmentalreadycivilcertifiedwillbeaccompaniedbytheappropriateairworthinesstags/certificatessignedbytheManufacturer’sQualityControlauthorizedbyEASA

合同价格CLAUSE6CONTRACTPRICE

本合同以美元计价，合同总价为拾贰万壹仟柒佰貳拾貳欧元伍拾分（121,722.50美元整）Tecnam意大利Capua工厂交付，是确定和固定的价格，见附件1；本价格条款遵循《国际贸易术语解释通则2000》的规定。

ThepriceisexpressedindollarsundertheCONTRACT.TotalCONTRACTpriceis121,722.50dollars， SayOneHundredTwentyOneThousandSevenHundredTwentyTwoandFiftyCentsdollars,ExworkTecnamCapua,Italywhichisafirmandfixedprice,asperEnclosure1.Thispriceclausefollowstheprovisionsof《INCOTERMS2000》.

付款CLAUSE7TERMSOFPAYMENT本合同所有货款以欧元支付。

ThepaymentundertheCONTRACTshallbemadeinEuroasfollows:

定金的支付

DOWNPAYMENT

本合同签署后，在卖方提交形式发票后叁（3）个工作日内，买方以直接刷卡方式向卖方支付合同总价的30%，即叁万陆仟壹佰肆拾捌美元整（36,516.60美元），该笔付款将被视为本合同的定金款;

AftersigningoftheCONTRACT,asumofThirtySixThousandFiveHundredSixteenandSixtydollars,（dollars36,516.60）correspondingtoThirtypercent（30%）ofTotalCONTRACTPriceshallbepaidbytheBUYERthroughdirectbanktransfertothebankdesignatedbytheSELLERasthedownpaymentoftheCONTRACT,withinthree（3）workingdaysuponpresentationofProformainvoicebytheSELLER;

7.2产品发运前，卖方将书面通知买方，买方在收到卖方出具的商业发票，标明合同号、发票号、合同总价和本次付款应付金额后叁（3）个工作日内支付尾款，既合同总价的70%金额为捌万肆仟叁佰肆拾伍美元（美元85,205.90整）到卖方指定的帐号，支付方式为电付。

Whentheproductisreadyfordeliverythesellershallnotifythebuyer.AsumofEightyFiveThousandTwoHundredFiveandNinetyCentsEuro（Euro85,205.90）correspondingtoSeventypercent（70%）oftotalCONTRACTpriceshallbepaidbytheBUYERthroughdirectbanktransfertothebankdesignatedbytheSELLERasthefinalpaymentoftheCONTRACT,withinthree（3）workingdaysuponpresentationofinvoicewithcontractnumber,totalcontractpriceandpaymentamountbytheSELLER.

与前述付款有关的银行费用，在中国发生的由买方支付，在中国以外发生的由卖方支付。

AllbankingchargesoccurredinP.R.ChinawillbebornebytheBUYERandthoseoccurredoutofP.R.ChinawillbebornebytheSELLER.

第八章、工厂检验和接收

CLAUSE8FACTORYINSPECTIONANDACCEPTANCE

产品的工厂检验和工厂验收在制造商工厂进行，卖方可以选择到制造商工厂验收，在买方要求下，卖方应及时发送邀请信，以便买方办理护照、签证等有关手续；ThefactoryinspectionandFactoryAcceptanceshallbeconductedattheManufacturer’sfacility.Thebuyerhastheoptiontobepresentduringfinalinspectionandacceptance.IfsorequiredbytheBUYER,theSELLERshallsendinvitationsintimesothattheBUYERcanproceedwithsuchformalitiesaspassportandvisaapplication;

工厂验收

FACTORYINSPECTIONANDFACTORYACCEPTANCE

在飞机生产结束并做好工厂检验和工厂接收准备后，买方可派遣代表赴制造商工厂进行工厂检验和工厂接收，工厂检验和工厂接收时间不超过2天。

在此期间，卖方应确保工厂检验和工厂接收工作无间断的进行。

WhentheAircrafthasbeenproducedandreadyforfactoryinspectionandFactoryAcceptancetheBUYERshalldispatchrepresentative（s）totheManufacturer’sfactoryforfactoryinspectionandFactoryAcceptance.Thedurationshallnotexceedtwo

（2）days.Duringthisstage,theSELLERshallensurethefactoryinspectionandFactoryAcceptanceactivitiesconductedcontinuously

买方的工厂检验和工厂接收内容包括但不限于：

目视检查、发动机孔探检查、通电、通液压、地面试车和试飞检查，其中试飞检查根据制造商的试飞大纲进行。

试飞过程中，买方飞行员有权作为副驾驶参加试飞。

所有选装设备必须已经安装调试完毕，处于良好工作状态。

ThesaidfactoryinspectionandFactoryAcceptanceincludebutnotlimitedto:

visualcheck,borescopeinspectionofengine,electricalsystemsetup,hydraulicscheck,groundrunandtestflight.TheflighttestshallbeconductedaccordingtheTestFlightProgramprovidedbytheManufacturer.Duringtestflight,theBUYER’spilothasrighttoparticipatethetestascopilot.Alltheoptionalequipmentshallbetestedandfunctioned.

8.3对于在签署工厂接收证书之前发现的、由双方认定为微小差异的，双方将共同制订纠正计划，并不引起工厂接收证书签署的推迟；Shouldminordiscrepancies,tobeagreedbetweenbothparties,arisepriortothesigningoftheFactoryAcceptanceCertificate;bothpartieswilljointlyestablisharectificationschedulewithoutdelayingthesigningoftheFactoryAcceptanceCertificate;在检验结束之后，双方将依卖方的格式签署工厂接收证书。

该证书一经签署，除正常损耗外，飞机的技术状态即被确定，直至交付买方；Afterthesuccessfulcompletionofthefactoryinspectionandtestactivity,bothpartiesshallsignthetheTechnical　AcceptanceCertificate。

Uponsigningthecertificate,thetechnicalstatusoftheaircraftisfixedexceptfornormalwearandtearuntildeliverytotheBUYER;

第九章包装和运输CLAUSE9PACKINGANDSHIPPING运输条款

TERMSOFSHIPMENT

买方的进口代理负责办理中国海关的清关手续，进口海关税费由买方承担；TheBUYER’sIMPORTAGENTshallberesponsibleforChinaCustomclearanceandtheImportCustomDutiesshallbebornebytheBUYER.除非双方另有协议，本合同范围内所有产品均应同批装运、使用同一份货运单；Unlessotherwiseagreedbybothparties,theProductshallbeshippedalltogetherandunderthesameBillofLading;卖方应提前7天以电子邮件或传真方式通知买方及进口代理预计发运的
