2.Lender’sRighttoConditionDisbursements.LendershallhavetherighttoconditionanydisbursementuponLender’sreceiptandapprovalofthefollowing:

2.1theApplicationforPaymentandanitemizedrequisitionforpaymentofItems2through10shownintheDisbursementBudget（HardCosts

2.2bills,invoices,documentsoftitle,vouchers,statements,payrollrecords,receiptsandanyotherdocumentsevidencingthetotalamountexpended,incurredordueforanyrequestedItems;

2.3evidenceofBorrowersuseofalienrelease,jointcheckandvouchersystemacceptabletoLenderforpaymentsordisbursementstoanycontractor,subcontractor,materialman,supplierorlienclaimant;

2.4architects,inspector’sand/orengineersperiodiccertificationsoftheconstructionthathasbeencompletedanditsconformancetothePlansandSpecificationsandgovernmentalrequirementsbaseduponanysucharchitect’s,inspector’sand/orengineer’speriodicphysicalinspectionsofthePropertyandImprovements;

2.5waiversandreleasesofanymechanics’lien,equitablelienclaimorotherlienclaimrights;

2.6evidenceofBorrower’scompliancewiththeprovisionsoftheArticlesandSectionsofthisAgreemententitledConstructionandAuthority/Enforceability;

2.7awrittenreleaseexecutedbyanysuretytowhomLenderhasissuedorwillissueasetasideletterand/oranypublicentityoragencywhichisabeneficiaryunderanyinstrumentofcreditorstandbyletterofcreditwhichLenderhasissuedorwillissuewithrespecttotheLoan;

2.8valid,recordedAffidavitofCommencementandAffidavitofCompletionfortheImprovementsoranyportionsoftheImprovementsforwhichanAffidavitofCommencementandAffidavitofCompletionmayberecordedunderapplicablelawandwithintheapplicabletimeashereinprovided;

2.9CertificateofSubstantialCompletionfromtheArchitectandEngineer,ifany,priortothefinalretentiondisbursementofHardCosts,asapplicable;

2.10evidencesatisfactorytoLenderthatthePermanentLender,ifany,hasapprovedthecompletedImprovementsandthatallconditionsprecedenttotheinitialfundingofthepermanentfinancing,ifany,havebeensatisfiedpriortothefinalretentiondisbursementofHardCosts,asapplicable;

2.11anyotherdocument,requirement,evidenceorinformationthatLendermayrequestunderanyprovisionoftheLoanDocuments;

2.12intheeventthatanyApplicationforPaymentincludesthecostofmaterialsstoredontheProperty（OnsiteMaterials）,suchApplicationforPaymentshallincludeeachofthefollowing:

（a）evidencethattheOnsiteMaterialshavebeenpurchasedbyBorrower;（b）evidencethattheOnsiteMaterialsareinsuredasrequiredhereunder;and（c）evidencethattheOnsiteMaterialsarestoredinanareaonthePropertyforwhichadequatesecurityisprovidedagainsttheftandvandalism.

2.13LendershallhavereceivedaDownDateEndorsementorothertitlereportdatedwithinfive（5）daysoftherequesteddisbursementfromtheTitleCompanyshowingnostateoffactsobjectionabletoLender（including,withoutlimitation,ashowingthattitletothePropertyisvestedinBorrowerandthatnoclaimformechanics’ormaterialmen’slienshasbeenfiledagainstthePropertyorImprovements）.

2.14Lendershallrequirebothconditionallienwaiversandunconditionallienwaiversfromallgeneralcontractorsandsubcontractors.BorroweracknowledgesthatthisapprovalprocessmayresultindisbursementdelaysandBorrowerherebyconsentstoallsuchdelays.

3.PeriodicDisbursementofConstructionCosts,SiteWorkCostsandOffsiteCosts.Asconstructionprogresses,theportionoftheDisbursementBudgetinitiallytotalling$,_________shallbeperiodicallydisbursedintotheAccountortoorforthebenefitoraccountoftheBorrowerfortheConstructionCosts,SiteWorkCostsandOffsiteCostsItemsuptoninetypercent（90%）ofthemaximumamountallocatedforsuchItemlesspriordisbursements.Theremainingtenpercent（10%）（Retention）shallbedisbursedintotheAccountortoorforthebenefitoraccountoftheBorroweruponthelatertooccurof（i）thirty（30）daysafterthefilingoftheAffidavitofCompletionhereincontemplatedifsameisfiledwithinten（10）daysaftercompletionofconstructionoftheImprovementsinaccordancewiththePlansandSpecificationsandgovernmentalrequirements,or（ii）ifsuchAffidavitofCompletionisnotfiledwithinten（10）daysaftercompletionofconstructionoftheImprovementsinaccordancewiththePlansandSpecificationsandgovernmentalrequirements,thenuponthedateoffilingsuchAffidavitofCompletion.ThedisbursementsoutlinedabovearespecificallyconditioneduponreceiptandapprovalbyLenderofaconstructioncontractandplansandspecificationsconcerningtheconstructionoftheImprovements.

4.PeriodicDisbursementofTenantImprovementCosts.TheportionoftheDisbursementBudgetinitiallytotalling$,_________shallbeperiodicallydisbursedintotheAccountortoorforthebenefitoraccountoftheBorrowerforTenantImprovementsuptoninetypercent（90%）ofthemaximumamountallocatedforsuchItemlesspriordisbursements.Theremainingtenpercent（10%）（Retention）shallbedisbursedintotheAccountortoorforthebenefitoraccountoftheBorroweruponcompletionoftheTenantImprovementsinaccordancewiththePlansandSpecifications.ThedisbursementsoutlinedabovearespecificallyconditioneduponreceiptandapprovalbyLenderofaconstructioncontractandplansandspecificationsconcerningtheconstructionoftheImprovements.

5.PeriodicDisbursementofLandscapingandIrrigationCosts.TheportionoftheDisbursementBudgetinitiallytotalling$,_________shallbeperiodicallydisbursedintotheAccountortoorforthebenefitoraccountoftheBorrowerforLandscapingandIrrigationcosts.ThedisbursementsoutlinedabovearespecificallyconditioneduponreceiptandapprovalbyLenderofaconstructioncontractandplansandspecificationsconcerningtheconstructionoftheImprovements.

6.PeriodicDisbursementofArchitectandEngineering.TheportionoftheDisbursementBudgetinitiallytotalling$,_________,shallbeperiodicallydisbursedintotheAccountortoorforthebenefitoraccountoftheBorrowerforthepaymentofArchitectandEngineeringFees.
