甲方为乙方在某地建立XX产线提供相关技术支持、文件支持。

乙方承诺从甲方处以散件形式采购xx,甲方将XX以散件形式发给丙方,丙方收到后在某地按甲方或乙方技术要求组装成SKD形式产品发至乙方。

5.价格条款

5.Priceconditions

考虑到竞争对手价格,甲方必需确保给乙方最有竞争力价格。

每个产品价格应由甲乙双方协商确定,甲方和乙方必需就每个季度采购计划达成一致,以避免价格波动。

每当原材料成本总变动变动+/-3％时,全部产品价格应每季度协商一次。

PartAmustguaranteethebestpricetothepartB,consideringtheCompetitors’prices.

ThepriceforeachproductshallbefixedthroughnegotiationsbetweenPartyBandPartyA,thepartiesAandBmustagreeonapurchaseplanforeachquarterinordertoavoidpricesvariation.

Pricesofallproductsshouldbenegotiatedeveryquarterwheneverthetotalvariationofrawmaterialscostchange+/-3%.

6.无偿易损配件百分比

6.Freeeasybrokensparepartsratio

前三个订单2%,第四个订单开始1%。

无偿易损配件清单参考附录件1。

2%oftheorderquantityfromstartinganditwillreduceto1%fromthe4thorder.ThefreeeasybrokensparepartslistrefertoAppendix1.

7.额外收费配件百分比

7.Extrachargeablepartsratio

订单数量1%。

甲方以贷记单形式先发出这些配件,甲乙丙三方每六个月回顾结算贷记单数量和金额。

额外收费配件清单参考附录件2。

1%oftheorderquantity.PartyAshallsendout1%extrachargeablepartsagainstacreditnote.PartyA,BandCwillreviewandclearingthequantityandtheamountofcreditnoteineveryhalfyear.ExtrachargeablepartsrefertoAppendix2.

8.特殊条款

8.Specialcondition

乙方和丙方能够要求生产产品任何配件以满足其政府要求。

PartyBandCCanrequesttomakeproductionofanypartoftheproductincasetoapplytherequirementsoftheirgovernment.

9.付款方法

9.PaymentTerms

付款将经过不可撤销可转让信用证即期付款。

信用证将在甲方发货之前10天发出。

PaymentwillbethroughIrrevocableTransferableLetterofCreditatsight.

LCSWIFTwillbe10daysbeforePartAmakesShipment.

10.违约责任

10.Liabilityforbreachofcontract

乙方或丙方在协议使用期间有以下行为视为违约:

1）向协议以外第四方透露甲方提供任意文件信息或技术信息;

2）未能按本协议要求完成条款4中要求数量;

PartyBorPartyCshallberegardedasabreachofcontractduringtheperiodwhenthecontractisvalid:

1）DiscloseanydocumentaryortechnicalinformationprovidedbyPartyAtoafourthpartyotherthanthecontract;

2）FailuretocompletethequantityspecifiedinClause4asrequiredbythiscontract;

11.协议使用期

11.ValidityofContract

本协议经相关三方准期签署后生效,使用期为__1___年,从_____年_____月_____日至_____年_____月_____日。

除非作出相反通知,本协议期满后将延长_____个月。

Thiscontract,whendulysignedbythethreepartiesconcerned,shallremaineffectfor_____monthsfrom___（date）to___（date）,anditshallbeextendedforanother____monthsuponexpirationunlessnoticeinwritingisgiventothecontrary.

12.确保条款,质量和接收货物程序

12.Warrantyterms,Qualityandprocedureforacceptanceofgoods

货物质量必需符合乙方和甲方同意货物技术文件和要求,而且含有可销售质量,没有缺点而且适适用于原有目。

ThequalityoftheGoodsmustcomplywiththetechnicaldocumentationandrequirementsfortheGoods,approvedbyPartyBandthePartyA,andelsebeofmerchantablequality,freefromdefectsandsuitableforthepurposeforwhichtheyareintendedto.

交付货物应受到定量控制。

当实际订单数量与协议数量有差异时,甲方应在出货前通知乙方,经双方协商同意方可发货。

当甲方申明数量与乙方接收数量之间差异应在丙方收货之日起十（10）个工作日内向甲方披露,乙方能够拒绝接收货物剩下部分。

ThedeliveredGoodsshallbesubjecttoquantitativecontrol.Whenthereisadifferencebetweentheactualorderquantityandthecontractquantity,PartyAshouldnotifyPartyBbeforeshipping,andthegoodscanbeshippedonlyaftermutualagreement.ThedifferencebetweenthequantitystatedbyPartyAandthequantityacceptedbyPartyBshallbedisclosedtoPartyAwithinten（10）workingdaysafterPartyCreceivesthegoods,andPartyBmayrefusetoaccepttherestofthegoods.

甲方交付货物应受到质量控制。

假如交付货物不符协议意要求或因为质量原因遭到拒收,质量原因经由甲乙双方参考前期双方确定货物质量标准来判定,判定为不合格,乙方可选择更换货物或将货物退回给甲方,更换有缺点货物（包含运输和海关费用）所产生全部费用均由甲方负担。

除了隐藏缺点和不合格情况外,交付货物在到货时应被视为可用。

所以,最初被接收材料以后都被证实是有缺点情况下,乙方有权发回,得到更换和换回对应货款。

ThedeliveredGoodsshallbesubjecttoqualitativecontrol.Incasethedeliveredgoodsdonotmeettheapprovedrequirementsorarerejectedduetoqualityreasons,qualityreasonsareidentifiedbybothPartyAandPartyBwithreferencetothegoodsqualitystandardspreviouslyconfirmedbybothparties.Iftheyareidentifiedasunqualified,PartyBmaychoosetoreplacethegoodsorreturnthegoodstothePartyA.Allcostsincurredinreplacingdefectivegoods（includingtransportationandcustomsfees）shallbebornebyPartyA.ThedeliveredGoodsshallbeconsideredusableatthearrivalexceptforthecasesofhiddendefectsandnon-conformity.Therefore,PartyBshallhavetherighttodispatchback,obtainingthereplacementorthecreditingofmoney.

假如质量与乙方同意样品和乙方图纸中所表示商品规格有任何偏差（甲方公差许可范围内货物除外）,乙方和丙方有权拒绝交付货物.

IncasethereisanydeviationbetweenthequalityandtheproductspecificationsshowninPartyB'sdrawingsandtheproductspecificationsshowninPartyB'sdrawings（exceptforgoodswithinthepartyA'stolerancerange）,PartyBandPartyChastherighttorejectthedeliveredgoods.

13.协议终止

13.Termination

在本协议使用期内,假如一方被发觉违反协议条款,另一方有权终止协议。

在本协议使用期内,假如一方要解除协议,一方想解散协议,应最少提前3个月书面通知,以尊重全部确定采购计划和已开具订单。

Duringthevalidityofthiscontractifeitherofthetwopartiesisfoundtohaveviolatedthestipulationsherein,theotherpartyhastherighttoterminatethiscontract.

Duringthevalidityperiodofthiscontract,ifonepartywantstodissolutionofthecontract,onepartywhowantstodissolutionofthecontractshallsubmitawrittennoticeatleast3monthsinadvanceaconditiontorespectalltheconfirmedpurchaseplanandopenedorders.

14.不可抗力

14.ForceMajeure

因为水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服其她事件造成不能或临时不能全部或部分推行本协议,该方不负责任。

不过,受不可抗力事件影响一方须立刻将发生事件通知另一方,并在不可抗力事件发生15天内将相关机构出具不可抗力事件证实寄交对方。

Eitherpartyshallnotberesponsibleforfailureordelaytoperformalloranypartofthiscontractduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelevantparty. However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftershallsendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.

15.争议处理

15.DisputeResolution

因凡因本协议引发或与本协议相关任何争议,三方应首先尝试友好协商处理。

假如一方向另一方发出协商通知之日起三十日内,争议仍未得四处理,则应将争议提交中国国际经济贸易仲裁委员会深圳分会,根据申请仲裁时该会实施仲裁规则进行仲裁。

仲裁裁决是终局,对双方都有约束力。

AnydisputearisingfromorinconnectionwiththiscontractshallfirstbeattemptedtoberesolvedthroughdiscussionsandconsultationsbetweenthePartiesingoodfaith.Ifthedisputeremainsunresolveduponexpirationof30daysafterwrittennoticehasbeensentbyonePartytotheotherParty,thedisputeshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission,ShenzhenSub-Commissionforarbitration,whichshallbeconductedinaccordancewiththeCommission'sarbitrationrulesineffectatthetimeofapplyingforarbitration.ThearbitralawardisfinalandbindinguponbothParties.

16.语言

16.Language

本协议以中英文书就,如中英文内容存在不一致,以英文为准。

ThiscontractismadeinbothChinese.Intheeventofanydiscrepancybetweenthetwoversions,theEnglishversionshallprevail.

17.管辖法律

17.GoverningLaw

本协议受中国法律管辖并按中国法律解释。

Thiscontractshallbegoverned,construedandinterpretedinaccordancewiththelawsofthePeople’sRepublicofChina.

双方于文首日期签署本三方协议。
