Party A should send the XX product to Party C in CKD format. Party C should assemble it accord to Parties A & Bs technic

4、al requirements and send it in SKD format to Party B.3.商品: XX3.Commodity: 4.数量: 每年最少4万台4.Minimum Quantity per year : 40,000pcs /year5.价格条款5.Price conditions 考虑到竞争对手价格, 甲方必需确保给乙方最有竞争力价格。每个产品价格应由甲乙双方协商确定, 甲方和乙方必需就每个季度采购计划达成一致, 以避免价格波动。每当原材料成本总变动变动+/- 3时, 全部产品价格应每季度协商一次。Part A must guarantee the best p

5、rice to the part B, considering the Competitors prices.The price for each product shall be fixed through negotiations between Party B and Party A, the parties A and B must agree on a purchase plan for each quarter in order to avoid prices variation.Prices of all products should be negotiated every q

10、eriod when the contract is valid:1) Disclose any documentary or technical information provided by Party A to a fourth party other than the contract;2) Failure to complete the quantity specified in Clause 4 as required by this contract;11.协议使用期11.Validity of Contract 本协议经相关三方准期签署后生效, 使用期为_1_年, 从_年_月_

12、ranty terms, Quality and procedure for acceptance of goods 货物质量必需符合乙方和甲方同意货物技术文件和要求, 而且含有可销售质量, 没有缺点而且适适用于原有目。The quality of the Goods must comply with the technical documentation and requirements for the Goods, approved by Party B and the Party A, and else be of merchantable quality, free from defe

13、cts and suitable for the purpose for which they are intended to. 交付货物应受到定量控制。当实际订单数量与协议数量有差异时, 甲方应在出货前通知乙方, 经双方协商同意方可发货。当甲方申明数量与乙方接收数量之间差异应在丙方收货之日起十（10）个工作日内向甲方披露, 乙方能够拒绝接收货物剩下部分。 The delivered Goods shall be subject to quantitative control. When there is a difference between the actual order quanti

14、ty and the contract quantity, Party A should notify Party B before shipping, and the goods can be shipped only after mutual agreement. The difference between the quantity stated by Party A and the quantity accepted by Party B shall be disclosed to Party A within ten (10) working days after Party C r

15、eceives the goods, and Party B may refuse to accept the rest of the goods. 甲方交付货物应受到质量控制。 假如交付货物不符协议意要求或因为质量原因遭到拒收, 质量原因经由甲乙双方参考前期双方确定货物质量标准来判定, 判定为不合格, 乙方可选择更换货物或将货物退回给甲方, 更换有缺点货物（包含运输和海关费用）所产生全部费用均由甲方负担。 除了隐藏缺点和不合格情况外, 交付货物在到货时应被视为可用。所以, 最初被接收材料以后都被证实是有缺点情况下, 乙方有权发回, 得到更换和换回对应货款。The delivered Good

16、s shall be subject to qualitative control. In case the delivered goods do not meet the approved requirements or are rejected due to quality reasons, quality reasons are identified by both Party A and Party B with reference to the goods quality standards previously confirmed by both parties. If they

17、are identified as unqualified, Party B may choose to replace the goods or return the goods to the Party A. All costs incurred in replacing defective goods (including transportation and customs fees) shall be borne by Party A. The delivered Goods shall be considered usable at the arrival except for t

18、he cases of hidden defects and non-conformity. Therefore, Party B shall have the right to dispatch back, obtaining the replacement or the crediting of money. 假如质量与乙方同意样品和乙方图纸中所表示商品规格有任何偏差（甲方公差许可范围内货物除外）, 乙方和丙方有权拒绝交付货物.In case there is any deviation between the quality and the product specifications

19、shown in Party Bs drawings and the product specifications shown in Party Bs drawings (except for goods within the party As tolerance range), Party B and Party C has the right to reject the delivered goods.13.协议终止13.Termination 在本协议使用期内, 假如一方被发觉违反协议条款, 另一方有权终止协议。 在本协议使用期内, 假如一方要解除协议, 一方想解散协议, 应最少提前3个

20、月书面通知, 以尊重全部确定采购计划和已开具订单。During the validity of this contract if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this contract.During the validity period of this contract, if one party wants to dissolution of the contract, one p

21、arty who wants to dissolution of the contract shall submit a written notice at least 3 months in advance a condition to respect all the confirmed purchase plan and opened orders.14.不可抗力14.Force Majeure 因为水灾、 火灾、 地震、 干旱、 战争或协议一方无法预见、 控制、 避免和克服其她事件造成不能或临时不能全部或部分推行本协议, 该方不负责任。不过, 受不可抗力事件影响一方须立刻将发生事件通知另

22、一方, 并在不可抗力事件发生15天内将相关机构出具不可抗力事件证实寄交对方。Either party shall not be responsible for failure or delay to perform all or any part of this contract due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relevant party.However, t

23、he party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter shall send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.15.争议处理15.Dispute Resolution 因凡

24、因本协议引发或与本协议相关任何争议, 三方应首先尝试友好协商处理。假如一方向另一方发出协商通知之日起三十日内, 争议仍未得四处理, 则应将争议提交中国国际经济贸易仲裁委员会深圳分会, 根据申请仲裁时该会实施仲裁规则进行仲裁。仲裁裁决是终局, 对双方都有约束力。 Any dispute arising from or in connection with this contract shall first be attempted to be resolved through discussions and consultations between the Parties in good fa

25、ith. If the dispute remains unresolved upon expiration of 30 days after written notice has been sent by one Party to the other Party, the dispute shall be submitted to China International Economic and Trade Arbitration Commission, Shenzhen Sub-Commission for arbitration, which shall be conducted in

26、accordance with the Commissions arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both Parties.16.语言16.Language 本协议以中英文书就, 如中英文内容存在不一致, 以英文为准。This contract is made in both Chinese. In the event of any discrepancy between the two version
