ESCROWAGREEMENT

托管协议

ThisEscrowAgreement（“Agreement”）ismadeandenteredintoasof

March11,2014byandbetweenPathTowerSeattle,LP,aWashingtonLimitedPartnership（“Company”）,andCentralEscrow,Inc.,aCaliforniaCorporation（“EscrowAgent”）.CompanyandEscrowAgentaresometimeshereinreferredtoas“Party”or“Parties”.

本托管协议（“协议”）由华盛顿州有限合伙企业PathTowerSeattle,LP（“公司”），和

加州企业CentralEscrow,Inc.（“托管代理”）于2014年3月11日签订。

公司和托管代理

在本协议中有时会被称为“协议方”或“协议双方”。

RECITALS

序言

A.UndertheauspicesofthePathAmericaKingCo,LLCRegionalCenter,whichhasbeenapprovedbytheUnitedStatesCitizenshipandImmigrationService（“USCIS”）toseekandacceptforeigninvestmentundertheEB-5Program（the“Program”）,theCompanywillseekqualifiedforeigninvestors（each,an“Applicant”orcollectively,the“Applicants”）sothattheyandtheirfamiliesmayreceiveaUnitedStates"greencard"bymakingafivehundredthousanddollar（$500,000.00）capitalcontribution（“InvestmentMonies”）inaUSCISdesignatedEmployment-BasedFifthPreference（“EB-5”）projectviaaqualifiedcommercialenterpriseinvestmentvehicle.

B.EachApplicantinitiatestheprocessbysigningasubscriptionagreement（a“SubscriptionAgreement”）withtheCompany,andsubmittingtheInvestmentMoniestoEscrowAgent.Company,ApplicantandApplicant’slegalrepresentativeswillthenprepareaFormI-526ImmigrantPetitionforsubmittaltoUSCIS.Thepetitionisfiled,reviewed,andfinallyapproved

ordeniedbytheUSCIS.TheInvestmentMonieswillbeplacedinanescrowaccountheldbyEscrowAgentuntiltheapplicablereleaseconditionsdescribedinSectionIVbelowaremet.Inconsiderationoftheaboverecitalsandthecovenantshereinaftersetforth,CompanyandEscrowAgentherebyagreeasfollows:

公司，申请人及申请人的法定代表将准备I-526移民申请表递交给

移民局。

移民局将接收、审阅、并最终批准或拒绝该申请。

托管账户直至符合以下第IV节的适用释放条件。

鉴于以上序言以及以下约定，公司与托

管代理现同意如下：

I.APPOINTMENTOFESCROWAGENT

委任托管代理

TheCompanyherebyappointsEscrowAgentastheescrowagentforthepurposessetforthherein,andEscrowAgentacceptssuchappointmentunderthetermsandconditionsofthisAgreement.

本公司在此任命托管代理作为本协议所载目的之托管代理，托管代理接受本协议条款和条件下的任命。

II.APPOINTMENTOFDEPOSITORYBANK

委任存款银行

CompanyandEscrowAgentherebyappointEastWestBank（“DepositoryBank”）asthedepositorybankfortheescrowaccount（the“EscrowAccount”）tobeheldbyEscrowAgentinaccordancewiththetermsandconditionssetforthherein.BothPartiesacknowledgeandagreethatDepositoryBankisnotapartytothisAgreementandbearsnoresponsibilityorliabilitytoCompany,EscrowAgent,oranyApplicantforanyaspectofthisEB-5projectorindividualApplicant’simmigrationapplication.Furthermore,bothPartiesherebyagreetoindemnifyDepositoryBankagainstanylossesitincursasaresultofitsroleinthistransaction.

公司及托管代理在此委任华美银行为托管代理根据本协议所载条款和条件持有托管账户（“托管账户”）的存款银行（“存款银行”）。

协议双方承认并同意存款银行不是本协议的协议方，对公司、托管代理、本EB-5项目任何申请人、或各申请人的移民申请不承担任何责任或负债。

此外，协议双方在此同意赔偿存款银行由于其在本交易中的角色而产生的任何损失。

III.ESCROWDEPOSIT

托管存款

1.CompanywillrequireitsApplicantstosignanEB-5InvestorAcknowledgementofEscrowTerms（“InvestorAcknowledgement”）andtowiretheInvestmentMoniesintoEscrow

Agent’sholdingaccount.UponEscrowAgent’swrittenconfirmationofitsreceiptofthesignedcopyoftheInvestorAcknowledgementandhomecountrygovernment-issuedpassportasdescribedinSectionsIII

（2）and（3）below,whichconfirmationEscrowAgentshallprovidetoCompanyassoonaspracticableuponreceipt,EscrowAgentwilldeposittheInvestmentMoniesintoanescrowaccountestablishedforCompany（EscrowAccount）heldwithEscrowAgent（thedepositedInvestmentMoniesarecollectivelyreferredtohereinasthe“EscrowDeposit”）subjecttothetermsandconditionsofthisAgreement.TheEscrowDepositwillbedepositedbyEscrowAgentinanescrowsub-accountandtrackedforeachApplicant.

公司将要求其申请人签署《EB-5投资人托管条款确认书》（“投资人确认书”），

并将投资款电汇至托管代理所持账户。

在托管代理书面确认收到投资人确认书和以下第

（2）和（3）章节所述原籍国政府签发护照的签字副本之后（托管代理应及时向公司提供该

称为“托管存款”）存入由托管代理持有的为公司设立的托管账户（“托管账户”）。

2.UponCompany’sreceiptofsame,CompanywillprovideEscrowAgentwithasignedcopyoftheInvestorAcknowledgementforeachApplicantinorderforEscrowAgenttoopenanescrowsub-accountforeachApplicantundertheEscrowAccount,whichEscrowAccountwillbesubjecttothetermsofthisAgreement.ThetotalamountoffundsdepositedintheEscrowAccount,includingallsub-accounts,pertainingtothisAgreementistermedthe“EscrowFund”.

在公司收到各申请人的投资人确认书签字副本之后，公司将提供给托管代理相同信

息，以便托管代理为各申请人开立符合本协议条款托管账户下的托管子账户。

本协议下托

管账户（包括所有子账户）的存入资金总额，统称为“托管资金”。

3.ForeachApplicant’sescrowsub-account,CompanywilluponreceiptofsameprovideasignedcopyofthatApplicant’shomecountrygovernment-issuedpassporttoEscrowAgenttoverifytheidentityoftheApplicant.

对于各申请人的托管子账号，公司在收到申请人原籍国政府签发的护照签字副本之

后，将提供给托管代理相同信息以便确认申请人的身份。

4.DuringthetermofthisAgreementanduntilreleasedfromtheEscrowAccountunderthetermshereof,theEscrowDepositwillbedepositedinanon-interest-bearingdemanddepositaccountwiththeDepositoryBank.

在本协议期限内，以及根据本协议条款从托管账户释放之前，托管存款将存入存款

银行的无息账户。

5．ReceiptoftheEscrowDepositwillbeconfirmedbyEscrowAgentwithinthree（3）businessdaysaftertheEscrowDepositisreceived.AnydiscrepanciesinsuchaccountstatementwillbenotedbyCompanytoEscrowAgentwithinten（10）calendardaysafterCompany’sreceiptthereof.FailuretoinformEscrowAgentinwritingofanydiscrepanciesinanysuchaccountstatementwithinsaidten（10）dayperiodwillconclusivelybedeemedconfirmationoftheaccuracyandcompletenessofsuchaccountstatementinitsentirety.

在收到托管存款之后的3个营业日内，托管代理将确认收到该托管存款。

在公司收

到托管代理确认收款之后的10天内，公司应向托管代理说明该账户的任何不符之处。

在

上述10天之内未能书面通知托管代理该账户不符，将被最后视为整个账户的准确及完整。

6.UponreceiptofeachApplicant’sdeposit,theEscrowAgentshallnotifyCompanyconfirmingthenameofApplicantandthedateandamountofthedeposit.

在收到每个申请人的存款之后，托管代理应通知公司确认申请人的姓名、存款日

期及金额。

IV.ESCROWDISPOSITIONANDTERMINATION

托管处置和终止

1.WhenCompanyisinformedthatanApplicant’sI-526PetitionhasbeenreceivedbyUSCISasevidencedbytheissuanceoftheofficialreceiptnotice,theCompanywillissueaninstructiontoEscrowAgent,alongwithacopyofsuchnoticefromtheUSCIS,andwithinthree

（3）businessdaysofreceiptofsuchinstructionincompliancewiththisParagraph

当公司获悉申请人的I-526申请已经收到移民局发出的正式接收通知，公司将发出

指示，连同移民局的此通知副本给托管代理，在收到该指示的3个营业日之内，

EscrowOptionA.EscrowAgentwillreleaseeightypercent（80%）ofsuchApplicant’soriginalInvestmentMoniestobeimmediatelywiredtotheaccountofCompanyforinvestmentinthedesignatedEB-5project.

托管选择A。

托管代理应立即释放该申请人80%的原始投资款至本公司账户，以用于投资指定的EB-5项目。

EscrowOptionB.EscrowAgentwillholdsuchApplicant’soriginalInvestmentMonies.

托管选择B。

托管代理将保持该申请人的原始投资款。

2.WhenCompanyisinformedthatanApplicant’sI-526PetitionhasbeenapprovedbyUSCISasevidencedbytheissuanceoftheofficialUSCISapprovalnotice,theCompanywillissueaninstructiontoEscrowAgent,alongwithacopyofsuchnoticefromtheUSCIS,andwithinthree（3）businessdaysofreceiptofsuchinstructionincompliancewiththisParagraph,

当公司获悉申请人的I-526申请已经收到移民局发出的正式批准通知，公司将发出

指示，连同移民局的此通知副本给托管代理，在收到该指示的3个营业日之内，

EscrowOptionA.EscrowAgentwillreleasetheremainingtwentypercent（20%）ofsuchApplicant’soriginalInvestmentMoniestobeimmediatelywiredtotheaccountofCompanyforinvestmentinthedesignatedEB-5project.

托管选择A。

托管代理应立即释放该申请人剩余20%的原始投资款至本公司账户，以用于投资指定的EB-5项目。

EscrowOptionB.EscrowAgentwillreleasetheremainingonehundredpercent（100%）ofsuchApplicant’soriginalInvestmentMoniestobeimmediatelywiredtotheaccountofCompanyforinvestmentinthedesignatedEB-5project.

托管选择B。

托管代理应立即释放该申请人剩余100%的原始投资款至本公司账户，以用于投资指定的EB-5项目。

3.IftheCompanyand/oranApplicantareinformedbyUSCISthattheI-526PetitionhasbeendeniedbyUSCISoriftheCompanyrejectsApplicant’ssubscriptionpriortoconditionalacceptance,CompanywillissueaninstructiontoEscrowAgent,togetherwithacopyofsuchnoticefromtheUSCIS,ifapplicable,andwithinthree（3）businessdaysofreceiptoftheinstructionincompliancewiththisParagraph,EscrowAgentwillreturntheremainingbalanceofInvestmentMoniestosuchApplicantasdirectedbythejointinstruction.

若本公司及/或申请人收到移民局通知其I-526申请已被移民局拒绝，或若本公司在

有条件接受之前拒绝了申请人的认购，则公司应发出指示，连同移民局的此通知副本（若

适用）给托管代理，在收到该指示的3个营业日之内，托管代理应按照共同说明指示，退

还该申请人投资款的剩余余额。

4.UpondeliveryofallEscrowDepositsbytheEscrowAgentandclosureofallrelevantEscrowAccounts,includingsub-accounts,inaccordancewiththisAgreement,thisAgreementandthedutiesandobligationsoftheEscrowAgentunderthisAgreementshallterminate,subjecttotheprovisionsofSectionsVIII,IX,andX,below.

在托管代理交付所有托管存款，以及所有相关托管账户（包括本协议下的子账户）关

闭之后，本协议以及托管代理在本协议下的职责和责任根据以下第VIII,IX,及X条规定

应终止。

V.THEESCROWAGENT

托管代理

1.EscrowAgentisnotapartyto,norchargeablewithknowledgeof,norisitboundbynorneeditgiveanyconsiderationto,thetermsorprovisionsofanyagreementbetweenCompanyandApplicants,norshallEscrowAgentberequiredtodetermineifanypersonorentityhadcompliedwithsuchagreement,evenifsuchagreementisreferredtointhisAgreement.

托管代理不是公司和申请人之间任何协议的一方，无需就知道公司和申请人之间的

协议而应支付任何费用，不受公司和申请人之间的协议约束，以及无需考虑公司和申请人

之间的协议，托管代理亦无需决定任何人士或实体是否符合公
