1、托管协议中英文ESCROW AGREEMENT托管协议This Escrow Agreement (“Agreement”) is made and entered into as ofMarch 11, 2014 by and between Path Tower Seattle, LP, a Washington Limited Partnership (“Company”), and Central Escrow, Inc., a California Corporation (“Escrow Agent”). Company and Escrow Agent are sometimes

3、ed States Citizenship and Immigration Service (“USCIS”) to seek and accept foreign investment under the EB-5 Program (the “Program”), the Company will seek qualified foreign investors (each, an “Applicant” or collectively, the “Applicants”) so that they and their families may receive a United States

4、 green card by making a five hundred thousand dollar ($500,000.00) capital contribution (“Investment Monies”) in a USCIS designated Employment-Based Fifth Preference (“EB-5”) project via a qualified commercial enterprise investment vehicle.在美国之路金郡区域中心的支持下，该区域中心已被美国公民及移民服务局（“移民 局”）批准可寻求及接受 EB-5 项目（“项

Each Applicant initiates the process by signing a subscription agreement (a “Subscription Agreement”) with the Company, and submitting the Investment Monies t

6、o Escrow Agent. Company, Applicant and Applicants legal representatives will then prepare a Form I-526 Immigrant Petition for submittal to USCIS. The petition is filed, reviewed, and finally approvedor denied by the USCIS. The Investment Monies will be placed in an escrow account held by Escrow Agen

7、t until the applicable release conditions described in Section IV below are met. In consideration of the above recitals and the covenants hereinafter set forth, Company and Escrow Agent hereby agree as follows:B. 每个申请人通过与本公司签订认购协议（ “认购协议”）， 以及将投资款提交给托管代理开始申请程序。公司，申请人及申请人的法定代表将准备 I-526 移民申请表递交给移民局。移民

APPOINTMENT OF DEPOSITORY BANK委任存款银行Company and Escrow Agent hereby appoint East West Bank (“Depository Bank”) as the depository bank for the escrow account (the “Escrow Account”) to be held by Escrow Agent in accordance with the terms and cond

10、itions set forth herein. Both Parties acknowledge and agree that Depository Bank is not a party to this Agreement and bears no responsibility or liability to Company, Escrow Agent, or any Applicant for any aspect of this EB-5 project or individual Applicants immigration application. Furthermore, bot

11、h Parties hereby agree to indemnify Depository Bank against any losses it incurs as a result of its role in this transaction.公司及托管代理在此委任华美银行为托管代理根据本协议所载条款和条件持有托管 账户（ “托管账户”）的存款银行（ “存款银行”）。协议双方承认并同意存款银行不是本 协议的协议方，对公司、托管代理、本 EB-5 项目任何申请人、或各申请人的移民申请不 承担任何责任或负债。此外，协议双方在此同意赔偿存款银行由于其在本交易中的角色而 产生的任何损失。III.

12、 ESCROW DEPOSIT托管存款1. Company will require its Applicants to sign an EB-5 Investor Acknowledgement of Escrow Terms (“Investor Acknowledgement”) and to wire the Investment Monies into EscrowAgents holding account. Upon Escrow Agents written confirmation of its receipt of the signed copy of the Invest

13、or Acknowledgement and home country government-issued passport as described in Sections III (2) and (3) below, which confirmation Escrow Agent shall provide to Company as soon as practicable upon receipt, Escrow Agent will deposit the Investment Monies into an escrow account established for Company

14、(Escrow Account) held with Escrow Agent (the deposited Investment Monies are collectively referred to herein as the “Escrow Deposit”) subject to the terms and conditions of this Agreement. The Escrow Deposit will be deposited by Escrow Agent in an escrow sub-account and tracked for each Applicant.公司

Upon Companys receipt of same, Company will provide Escrow Agent with a signed copy of the Investor A

16、cknowledgement for each Applicant in order for Escrow Agent to open an escrow sub-account for each Applicant under the Escrow Account, which Escrow Account will be subject to the terms of this Agreement. The total amount of funds deposited in the Escrow Account, including all sub-accounts, pertainin

During the term of this Agreement and until released from the Escrow Account under the terms hereof, the Escrow Deposit will be deposited in a non-interest-bearing dema

19、nd deposit account with the Depository Bank.在本协议期限内，以及根据本协议条款从托管账户释放之前，托管存款将存入存款银行的无息账户。5 Receipt of the Escrow Deposit will be confirmed by Escrow Agent within three (3) business days after the Escrow Deposit is received. Any discrepancies in such account statement will be noted by Company to Escro

20、w Agent within ten (10) calendar days after Companys receipt thereof. Failure to inform Escrow Agent in writing of any discrepancies in any such account statement within said ten (10) day period will conclusively be deemed confirmation of the accuracy and completeness of such account statement in it

Upon receipt of each Applicants deposit, the Escrow Agent shall notify Company confirming the name of Applicant and the date and amount of the deposit.在收到每个申请人的存款之

When Company is informed that an Applicants I-526 Petition has been received by USCIS as evidenced by the issuance of the official receipt notice, the Company will issue an instruction to Escrow Agent, along with a copy of

23、such notice from the USCIS, and within three(3) business days of receipt of such instruction in compliance with this Paragraph当公司获悉申请人的 I-526 申请已经收到移民局发出的正式接收通知，公司将发出指示，连同移民局的此通知副本给托管代理，在收到该指示的 3 个营业日之内，Escrow Option A. Escrow Agent will release eighty percent (80%) of such Applicants original Inves

24、tment Monies to be immediately wired to the account of Company for investment in the designated EB-5 project.托管选择 A。托管代理应立即释放该申请人 80%的原始投资款至本公司账户，以用 于投资指定的 EB-5 项目。Escrow Option B. 25、that an Applicants I-526 Petition has been approved by USCIS as evidenced by the issuance of the official USCIS approval notice, the Company will issue an instruction to Escrow Agent, along with a copy of such notice from the USCIS, and within three (3) business days of receipt of such instruction i

26、n compliance with this Paragraph,当公司获悉申请人的 I-526 申请已经收到移民局发出的正式批准通知，公司将发出指示，连同移民局的此通知副本给托管代理，在收到该指示的 3 个营业日之内，Escrow Option A. Escrow Agent will release the remaining twenty percent (20%) of such Applicants original Investment Monies to be immediately wired to the account of Company for investment i

27、n the designated EB-5 project.托管选择 A。托管代理应立即释放该申请人剩余 20%的原始投资款至本公司账户， 以用于投资指定的 EB-5 项目。Escrow Option B. Escrow Agent will release the remaining one hundred percent (100%) of such Applicants original Investment Monies to be immediately wired to the account of Company for investment in the designated

If the Company and/or an Applicant are informed by USCIS that the I-526 Petition has been denied by USCIS or if the Company rejects Applicants subscription prior to conditional acceptance, Company will issue an instruction to

29、Escrow Agent, together with a copy of such notice from the USCIS, if applicable, and within three (3) business days of receipt of the instruction in compliance with this Paragraph, Escrow Agent will return the remaining balance of Investment Monies to such Applicant as directed by the joint instruct

Upon delivery of all Escrow Deposits by the Escrow Agent and closure of all relevant Escrow Accounts, including sub-accounts, in accordance with this Agreemen

31、t, this Agreement and the duties and obligations of the Escrow Agent under this Agreement shall terminate, subject to the provisions of Sections VIII, IX, and X, below.在托管代理交付所有托管存款，以及所有相关托管账户（包括本协议下的子账户）关闭之后，本协议以及托管代理在本协议下的职责和责任根据以下第 VIII, IX, 及 X 条规定应终止。V. 32、t a party to, nor chargeable with knowledge of, nor is it bound by nor need it give any consideration to, the terms or provisions of any agreement between Company and Applicants, nor shall Escrow Agent be required to determine if any person or entity had complied with such agreement, even if such agreement is referred to in this Agreement.托管代理不是公司和申请人之间任何协议的一方，无需就知道公司和申请人之间的协议而应支付任何费用，不受公司和申请人之间的协议约束，以及无需考虑公司和申请人之间的协议，托管代理亦无需决定任何人士或实体是否符合公
