THISTECHNICALSERVICESAGREEMENTismadeasofthe14thdayofJuly2012（“EffectiveDate”）

BETWEEN

BXXXX,acompanyregisteredunderthelawsofthePeople’sRepublicofChinahavingitsregisteredofficeat************,China（subsequentlyreferredtoasthe“Manager”）

and

AXXXX,acompanyregisteredunderthelawsoftheFederalRepublicof**,havingitsregisteredofficeat**********（subsequentlyreferredtoasthe“Company”）.

ManagerandCompanyareindividuallyreferredtoas“Party”andcollectivelyreferredtoas“Parties”.

RECITALS

A.FurthertotheFederalGovernmentof**programmetoprivatizethesuccessorcompaniesofthePowerHoldingCompanyof**,theCompanyistheleadmemberoftheconsortiumknownas*****（“Consortium”）,whichhasbeenprequalifiedbytheBureauofPublicEnterprisestobidfortheacquisitionofmajoritysharesinthesuccessorgenerationcompanies.

B.TheManagerunderstandsthattheCompanyisintheprocessofbeingincorporatedattheCorporateAffairsCommission.

C.TheCompanydesirestoengagetheManagertoprovidecertaintechnicalandadministrativeservicesmoreparticularlydescribedinthisAgreementandtheManageriswillingtorendersuchservices,onthetermsandconditionssetforthinthisAgreement.

D.ThepromotersoftheCompanyhaveundertakentoensurethatthisAgreementisratifiedbytheCompanyuponincorporation,pursuanttoSection72oftheCompaniesandAlliedMattersAct.CapC20LFN2004providedthesameshalltakeeffectintheeventanyoftheConsortium’sbidsissuccessful.

InconsiderationofthepromisesandthemutualcovenantsandagreementssetforthinthisAgreementandforothervaluableconsideration,thePartiesagreeasfollows:

1.AppointmentofManager

1.1.SubjecttoapprovaloftheNationalOfficeforTechnologyAcquisitionandPromotion（“NOTAP”）,fromthedatesuchapprovalisgivenandcontinuingunlessanduntilterminatedasprovidedinthisAgreement,theCompanyherebyappointstheManagerexclusivelyandtheManagerherebyagreestousereasonableeffortstocarryoutcertaintechnicalservicesinconnectionwiththebusinessoftheCompany,setforthinClause2below（the“TechnicalServices”）inaccordancewiththeprovisionsofthisAgreement.

1.2.DuringthetermofthisAgreement,theManagershallatalltimesandinallrespectsconformtoandcomplywiththelawfulandreasonabledirections,regulationsandrecommendationsmadebytheBoardofDirectorsoftheCompany（the“Board”）andintheabsenceofanyspecificdirections,regulationsandrecommendationsasstatedabovetakesuchstepsastheManagermayfromtimetotimeconsidernecessarytoenabletheManagertoperformtheTechnicalServicesinaccordanceandsubjecttothetermsandconditionsofthisAgreement.

2.TechnicalServices

Subjecttofurtherlawfulandreasonabledirections,regulationsandrecommendationsmadebytheBoardandthetermsandconditionsofthisAgreement,theManagerisherebyinstructedto,andshall,carryout,duringthetermofthisAgreementthefollowingTechnicalServices:

2.1DaytodayoperationandmanagementoftheCompany’sbusiness

2.2Designandimplementthestrategies,theproceduresandactionplanstoachievetheminimumperformancetargetssetinthePAwithinthetimeperiodspecifiedtherein.

2.3Prepareandimplementtheannualbusinessplan;

2.4Providesuitablyqualified,trained,experiencedandcompetentpersonnelfortheproperperformanceoftheTechnicalServices;

2.5Providesupportintheselection,hiring,assigningandsupervisionofitspersonnel（includingtheobtaining,maintainingand,wherenecessary,renewingofworkpermitsandanyothernecessarypermissions,registrations,authorisations,licencesandpermitsinrelationtosuchpersonnel）.

2.6Provide,inatimelyfashionandonacontinuingbasis,allproperandadequatetechnicalinformation,services,literatureandsimilarresourcestoenabletheCompanytooperate,maintainandmonitorinaccordancewiththeprudentindustrypractice,ruleandregulationsandtheagreementstowhichtheCompanyisaparty;

2.7IdentifytheneedsandrequirementsforthetrainingoftheCompany’sworkforceandestablishproperandadequatetraininginallrelevantdisciplinesandactivities（includingappropriateemergencymeasures）forallpersonnel;

2.8Ensurethattheoperationandmaintenanceproceduresareestablishedinaccordancewiththeprudentengineeringandoperatingpractices,applicablelawsandregulationsandagreementstowhichtheCompanyisaparty;

2.9OnbeinggivenreasonablenoticebytheCompany,makesuitablyqualifiedandexperiencedpersonnelavailableforconsultation（whetherinpersonorbytelephoneorotherme
