TRADEMARKLICENSINGAGREEMENT

　　agreementmadethis______dayof____________,between___________（hereinaftercalled'licensor'）,and________（hereinaftercalled'licensee'）:

　　witnesseth

　　whereaslicensorownscertainvaluableregisteredtrademarksandservicemarks,andownsandhasmerchandisingrightstovariousotherlicensorpropertiesasdefinedinparagraph1oftheriderattachedheretoandherebymadeaparthereof（hereinaftercalled'name'）,saidnamehavingbeenusedoverthefacilitiesofnumerousstationsinradioand/ortelevisionbroadcastinginalliedfields,andinpromotionalandadvertisingmaterialindifferentbusinessesandbeingwellknownandrecognizedbythegeneralpublicandassociatedinthepublicmindwithlicensor,andwhereaslicenseedesirestoutilizethenameuponandinconnectionwiththemanufacture,saleanddistributionofarticleshereinafterdescribed,now,therefore,inconsiderationofthemutualpromiseshereincontained,itisherebyagreed:

　　1.grantoflicense

　　（a）articles

　　uponthetermsandconditionshereinaftersetforth,licensorherebygrantstolicenseeasarelatedcompany,andlicenseeherebyacceptstheright,licenseandprivilegeofutilizingthenamesolelyandonlyuponandinconnectionwiththemanufacture,saleanddistributionofthefollowingarticles.（insertdescription）

　　（b）territory

　　thelicenseherebygrantedextendsonlyto________________.licenseeagreesthatitwillnotmake,orauthorize,anyuse,directorindirect,ofthenameinanyotherarea,andthatitwillnotknowinglysellarticlescoveredbythisagreementtopersonswhointendorarelikelytoreselltheminanyotherarea.

　　（c）term

　　thetermofthelicenseherebygrantedshallbeeffectiveonthe_______dayof____________andshallcontinueuntilthe_______dayof__________,unlesssoonerterminatedinaccordancewiththeprovisionshereof.thetermofthislicensemaybeautomaticallyrenewedfromyeartoyearuponallthetermsandconditionscontainedherein,withthefinalrenewaltoexpireondecember31st,____________.attheendofeachterm,beginningwithdecember31st,________________,thislicenseshallbeautomaticallyrenewedforaoneyeartermexpiringdecember31stofthefollowingyear,unlesseitherpartyheretoshallbegivenwrittennoticetothecontraryatleastthirty（30）dayspriortotheexpirationdate.

　　2.termsofpayment

　　（a）rate

　　licenseeagreestopaytolicensorasroyaltyasumequalto__________percentofallnetsalesbylicenseeoranyofitsaffiliated,associatedorsubsidiarycompaniesofthearticlescoveredbythisagreement.theterm'netsales'shallmeangrosssaleslessquantitydiscountsandreturns,butnodeductionshallbemadeforcashorotherdiscountsoruncollectibleaccounts.nocostsincurredinthemanufacture,sale,distributionorexploitationofthearticlesshallbedeductedfromanyroyaltypayablebylicensee.licenseeagreesthatintheeventitshouldpayanyotherlicensorahigherroyaltyorlicensingrateorcommissionthanthatprovidedhereinfortheuseofthename,thansaidhigherrateshallautomaticallyandimmediatelyapplytothiscontract.

　　（b）minimumroyalties

　　licenseeagreestopaytolicensoraminimumroyaltyof___________dollars（$______）asaminimumguaranteeagainstroyaltiestobepaidtolicensorduringthefirstcontractterm,saidminimumroyaltytobepaidonorbeforethelastdayoftheinitialtermhereof.theadvancesumof______________dollars（$__________）paidonthesigninghereofshallbeappliedagainstsuchguarantee.nopartofsuchminimumroyaltyshallinanyeventberepayabletolicensee.

　　（c）periodicstatements

　　within_________daysaftertheinitialshipmentofthearticlescoveredbythisagreement,andpromptlyonthe_________________ofeachcalendar__________thereafter,licenseeshallfurnishtolicensorcompleteandaccuratestatementscertifiedtobeaccuratebylicenseeshowingthenumber,descriptionandgrosssalesprice,itemizeddeductionsfromgrosssalespriceandnetsalespriceofthearticlescoveredbythisagreementdistributedand/orsoldbylicenseeduringtheprecedingcalendar____________,togetherwithanyreturnsmadeduringtheprecedingcalendar___________forthispurpose,licenseeshallusethestatement

　　formattachedhereto,copiesofwhichformmaybeobtainedbylicenseefromlicensor.suchstatementsshallbefurnishedtolicensorwhetherornotanyofthearticleshavebeensoldduringtheprecedingcalendar____________.

　　（d）royaltypayments

　　royaltiesinexcessoftheaforementionedminimumroyaltyshallbedueonthe___________dayofthe____________followingthecalendar_____________inwhichearned,andpaymentshallaccompanythestatements
