4.PROJECTACCEPTANCE:

工程验收：

Thesellermustprovideequipmentlist,blue-linedrawing,install&layoutdrawing,specification&guidelinesandthecorrespondingdocumentsandinvoicetothebuyer.Thenthetwopartiestogethercheckthecommodityandcommissioning,ifthecommodityrunningproperlyandhaven’totherqualityprobleminoneworkingweek,thebuyersigntheinspectionreport.卖方提供商品详细材料清单，设备图纸，安装布置图纸，使用说明指南及相应的单据凭证给买方。

买卖双方现场点收设备，并试运行设备。

试运行一工作周后，确认质量合格，双方签订验收报告。

5.GUARANTEEOFQUALITY:

质量保证：

Thesellershallguaranteethatthecommodityhereofiscompletelynewandmustcomplyinallrespectswiththequalityandspecificationstipulatedinthiscontract.Theguaranteeperiodshallbe12monthsafterfinalacceptancetest,buttheguaranteeperioddoesnotexceed15monthsaftershipmentdate;andduringtheguaranteeperiodthesellershallbeheldresponsibleforthedamageduetothedefectsinthedesignormanufactureofthemanufacturer.Excludingpartssubjectnormalwearandtear.卖方保证货物必须是全新的，其品质规格必须符合合同规定，品质保证期限为最终验收报告后的12个月内，但最多不超过发货之日起的15个月。

在保证期限内，因制造厂商在设计制造过程中的缺陷造成货物损害应由卖方负责赔偿。

质量保护范围不包括一切正常操作所需的损耗件。

6.INSTALLATION、COMMISSIONINGANDTRAINING:

设备安装、调试及操作培训：

（1）Installationandcommissioningshouldbebecarringoutonlybyqualifiedpersonnelsendedby

seller,andtheyhavethedutytotrainingtheoperator.Thesellershouldprovidesufficient

assistantworkerstokeeptheinstallationandcommissioning;卖方应派专业技术人员指导设备

安装及调试，同时负责进行工人的操作技术培训.卖方提供足够的劳动工人进行设备安装及调试；

（2）Within7daysbeforedecidedtoinstallationandcommissioning,theBuyershouldsendby

airmailtothesellerabouttheinstallationandcommissioning;买方在决定对合同设备进行安装

调试前7天内，以电邮形式告知卖方安装、调试事宜，以便卖方做好人员和技术上的准备；

（3）TheBuyershouldbedoneasbelow:

买方需做好设备安装、调试的如下准备工作：

a.TheBuyerwillresponsiblefortheengineerstransportationfee,accommodation

charge&mealfeeforanyadditionaltimerequiredinexcessoftheinstallationand

trainingtimeaccordingtheinstallation/trainingandserviceinattachedappendix.

（contractappendixbasedonagreementtimeofinstallationandtraining）.买方需负

责卖方所派安装调试培训维修人员（安装调试培训依据约定时间见合同附件）的市内交通

费用，住宿及工作餐等费用；

b.TheBuyershouldprovidetheforkorothertoolsforhoistingandinstallation,and

auxiliarymaterialforcommissioningfreeofcharge;买方应提供安装调时期内的一切起

重搬运工具，并免费提供足够的试机材料；

c.TheBuyershouldcompletethebaseequipmentsuchaswater,electricity,workshop,

compressingairetc.,andresponsiblekeepingitcontinuoussupplyandworknormally.

买方应完成设备安装调试前所必须进行的水、电、厂房等基础设施建设和压缩空气，并

保证其不断供应和正常运转。

IftheBuyerdisobeytheaboveitems,theBuyershouldberesponsibleforthepaymentof

additionalandlosingetc.买方违反上诉条款，应承担因此而造成的额外费用、损失等工程延

误的一切责任。

（4）Theinstallationandcommissioningshallproceedaccordingtosellerconditionsprovidedin

orderacknowledgement.卖方对设备所进行的安装、调试，应与合同约定的性能完全一致；

（5）Thesellershallnotberesponsibleforthemachine’sinstallation、commissioningandoperation

notnormalduetotheBuyer’scause,andthecustomerwillbeconsideredhavingacceptedthemachineiftheBuyerfailtoreplywithin3months.如因买方原因使设备不能正常安装、调试、使用而使设备闲置，自买方收到设备之日起3个月内视为质量完全合格。

7.After-salesService售后服务:

Theguaranteeperiodshallbe12monthsafterpassfinalacceptancetest.Thesellershouldstill

providepaidserviceaftertheguaranteeperiod.质保期为设备最终验收通过后的12个月内，保修期过后，卖方继续为卖方提供维修服务；

Thesellerprovidefreeserviceduringtheguaranteeperiod,ifqualityissuesofthecommodityisnotimpersonalfactors.保修期内，设备非人为损坏，由卖方免费提供保修及更换零配件的服务；Thesellerprovidepaidserviceifqualityissuesofthecommodityiscausebyhumanfactoror

aftertheguaranteeperiod.保修期内的人为损坏，及过保修期后的损坏，其维修所产生的费用及相关的人员费用均由买方承担；

Thesellerpromisestogottothesitein8hoursafterreceivingthenoticefromthebuyerand

solvetheproblem.卖方接到买方的求助电话，维护人员要在8小时内上门维修。

8.FORCEMAJEURE:

人力不可抗拒：

Thesellershallnotbegeldresponsibleforthedelayinshipmentornot-deliveryofthegoodsduetoforcemajeurewhichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingoftransit.Thesellershalladvisethebuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,thesellershallsendbyairmailtothebuyerfortheiracceptanceacertificateoftheaccidentissuedbythecompetentgovernmentauthoritieswheretheaccidentoccursasevidencethereof.Undersuchcircumstancestheseller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,boththebuyerandthesellershallhavetherighttocancelthecontract.It’seffectiveimmediatelysincebeinginformed.如在制作过程中或装货运输中发生不可抗拒因素，致使货物推迟装运或不能成交，卖方将不承担责任。

卖方应将上述发生情况及时通知买方。

并在发电后的14天内将事故发生所在地政府主管部门开具的事故证明书书面提供给买方，以便买方承认。

然而，在这种情况下，卖方仍然有义务采取一切必要措施加速货物成交。

如果事故延续至10个星期以上，买卖双方均有权取消合同。

通知一旦作出，立即生效。

9.LATEDELIVERYANDPENALITY:

迟交货和罚款：

Shouldthesellerfailtomakedeliveryontimeasstipulatedinthecontract,withexceptionofforcemajeureclausesspecifiedinclause7ofthiscontract,thebuyershallagreetopostponethedeliveryonconditionthattheselleragreetopayapenaltywithshallbedeductedbythepayingbankfromthe

paymentundernegotiation.Thepenalty,however,shallnotexceed3%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.3%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendays.Incasethesellerfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedinthecontract,thebuyershallhavetherighttocancelthecontractandtheseller,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytothebuyerwithout

delay.除本合同第8条规定的不可抗拒条款外，如卖方仍不能按合同期限交货，买方可同意推迟交货期，但卖方必须同意付款银行在议付货款时扣除罚款。

罚款总额不超过迟交货物总值的3％，罚款率按每7天0.3％计算，不满7天仍以7天计算。

如超过合同规定交货期限10星期后，卖方仍不能交货，则买方有权撤销合同，而卖方仍须立即付给买方上述罚款。

10.Disputesettlement:

争议解决：

Anydisputesarisingfromorinconnectionwiththiscontract,shellbesettledamicablythroughfriendlynegotiation.IfthePartiesfailtoreachandamicablesolution,eitherPartymaysubmitthedisputetotheForeignEconomicandTradeArbitrationinaccordancewithitsExistingRulesofProcedureforarbitration.Thearbitralawardisfinalandbindinguponbothparties.Arbitrationfeeispaidbythelosingparty.由本合同引起或相关的任何争议，双方应通过友好协商解决；如果双方不能友好解决，任何一方可将争议提交中国国际贸易促进会对外经济贸易仲裁委员会，按现行仲裁规则进行仲裁。

仲裁裁决是终局裁决，对双方都有约束力。

仲裁费用由败诉方承担。

11.Theadditionalclausesandtheappendixintegratedwiththecontacthavethesamevalidandcouldn’tbeseparated.本合同所附的合同附件是合同不可分割的部分，与本合同具有同等效力。

12.ThisContractisbothinChineseandEnglish,Intheeventofanydiscrepancy,theEnglishversionisdeemedtheauthoritativeversion.本合同采用中英文书写，任何中英文有异议时，以英文为准。

13.Thiscontractismadeintwooriginals,witheachpartyholdingonecopy.Aftermutualconsultationandagreement,bothpartiessignthiscontracthereunder.Thiscontracttakesimmediateeffect.本合同共一式两份，各持一份，自双方代表签字之日后立即生效。

买卖双方，就设备采购事项，经协商一致，订立下列条款，以资共同遵守：

第一条合同标的

1.1买方从卖方购买一套[]设备及其辅助设备（以下简称“合同设备”），其中包括为保证设备安全稳定地操作所需要的全部设备、材料和产品备件，以及设备装配安装、试车、正常操作和维修所需的全部技术资料（以下简称“技术资料”）。
