NEWYORK（CNNfn）-TycoInternationalLtd.agreedTuesdaytoacquirecommercialfinancefirmCITGroupInc.for$9.2billionincashandstock,givingthediversifiedmanufacturerafinancialservicesarm.

Tycowillexchange0.6907shareforeachshareofCIT,valuingthetransactionat$35.02perCITsharebasedonTyco'scloseof$50.70Monday.Theratiorepresentsa54percentpremiumtoCIT'sclosingpriceMondayof$22.75.

Thepurchaseincludesthe27percentCITstake,or71millionshares,�heldbyJapan'sDai-ichiKangyoBank,forwhichTycowillpay$35.02asharecash,or$2.5billion.

ThenewssentCITsharessoaring$7.55,or33.19percent,to$30.30atmiddayTuesday.Tycofell$5.50,or10.85percent,to$45.20.

Thetransaction,whichisexpectedtocloseinJuly,willimmediatelyaddtoTyco'searnings,thecompaniessaid.Thepurchasewilladd2centsasharetoTycoearningsinthecurrentyearand10centsinthenextfullfiscalyear,aspokeswomansaid.

Theboardsofbothcompanieshaveapprovedthetransaction,whichstillrequiresregulatoryapprovalaswellasshareholderendorsement.

Tycoalreadylendsmoneytoitsclients,buttheCITpurchasewillletitfinancecustomerpurchasesofitsproductsandservices,thespokeswomansaid.

"Afterevaluatingseveralpathstothisgoal,includingdevelopingafinancingcapabilityin-house,weconcludedthatacquiringCITgivesusafaster,moreefficientandmorerobustsolutionatlowerriskthananythingwemighthavedoneinternallyorthroughjoint-ventureorotherapproaches,"TycoChairmanandCEOL.DennisKozlowskisaid.

Oncethedealisconsummated,CITwillsellupto$6billioninnon-coreorunderperformingassets,whichmayincludetrucking,overseas,recreationalvehiclesandmanufacturedhousing,thespokeswomansaid.
