　【授权委托书】英文版授权委托书样本

　　授权书（或授权委托书）在英文中有两种形式，即LetterofAuthorization（LOA）和PowerofAttorney（POA）,而且英文授权书在使用上是有一些区别的。

一般来说，LetterofAuthorization比较通用，几乎可以用于各种形式和各种需求时的授权;而PowerofAttorney的使用比较严格，被授权人应为律师（Attorney）。

在招标投标书翻译时，一般应选用LetterofAuthorization。

1Appointment

1.委任

AherebyappointstheBastheglobalDistributorforthedistribution,saleandpromotionoftheGoodsallovertheworld（“Territory”）uponthetermsandconditionshereinaftercontained.

3.A’sObligations

A在該項協議的期限內不得以任何方式修改價格.

AshallbeobligatedtotimelyrespondtoB’sletter,fax,notice,telephoneandotherinquiry.

A應有義務及時回應B的信件,傳真,通知,電話及其他需求.

4.IntellectualProperty

ExceptasexpresslyauthorizedbytheManufacturer,theDistributorshallhavenorightsinrespectofanytradenamesortrademarksusedbytheManufacturerinrelationtotheProductsofthegoodwillassociatedtherewith,andtheDistributorherebyacknowledgesthat,exceptasexpresslyprovidedinthisAgreement,itshallnotacquireanyrightsinrespectthereofandthatallsuchrightsandgoodwillare,andshallremain,vestedintheManufacturer.

除非本協議另有製造商授權，分銷商沒有利用製造商產品的商品名稱或商標以及與商譽相關聯的權利。

分銷商在此承諾，除非本協議另有明確規定，分銷商不應得到任何關於持續擁有及歸附于製造商所有權和商譽的權利。

5RepresentationandWarranty

5聲明和保證

EachPartyherebyrepresentsandwarrantsthatneithertheexecutionanddeliveryofthisAgreement,northeconsummationofthetransactioncontemplatedhereunder,norcompliancewithanyoftheprovisionsofthisAgreement,willconflictwith,violate,resultinabreachof,constituteadefault（oraneventthat,withnoticeorlapseoftime,orboth,wouldconstituteadefault）under,orrequireanyauthorization,consent,approval,exemptionorotheractionbyornoticetoanycourtorothergovernmentalbodyoranyotherpersonunderanyoftheterms,conditionsorprovisionsofanycontractorotheragreementortowhichsuchPartyisbound.

雙方在此聲明並保證，本協定的簽署與交付、本協定項下交易的完成、遵守本協議的任何規定，不會與任何法庭或者其他政府機構給予或者接受的授權、同意、許可、免除或者其他行為，或者在任何合同或者其他協議的條款、條件或者規定下約束該方的其他人員、發生衝突、違反、或者構成違約（或者是隨著通知或時間的流逝，構成違約）.

6.TermandTermination
