本合同由买卖双方根据下列条款和条件，经买卖双方共同协商签订，以便共同遵守：

如在运输过程中造成软件介质损坏或丢失，卖方负责在一周之内重新发货或者提供完好的软件介质。

3.以坚固纸箱装，适合远程航空／陆地运输及气候变化并妥善防潮防震，包装内每套仪器或机械附有一整套使用说明书。
因包装不良造成货物残损及因包装防护设备不当，不周，招致货物发生锈蚀，均由卖方承担责任。
Tobepackedinstrongcarton（s）.Suitableforlongdistanceairfreight/landtransportationandthechangeofclimatewellprotectedagainstmoistureandshocks.OnefullsetofopratinginstructionsforeachinstrumentormachineshallbeenclosedinthePackage（s）.TheSellersshallbeliableforanydamageofthecommodityandexpensesincidenttheretoonaccountofimproperpackingandforanyrustattributabletoinadequatelyorimproperlyprotectivemeasurestakenbytheSellersinregardtothepacking.
4.装运唛头SHIPPINGMARK:
卖方应在每件货物的包装外表上以不褪色的颜料刷明件号、毛重、净重、尺码及下列字句：
“勿近潮湿”“小心轻放”“此边向上”，等及下列唛头：

本合同签订、免税办理完毕后30天,Within30daysafterthesigningofthiscontractandtheissueofduty-freepaper.

7.目的港PORTOFDESTINATION:

8.付款方式TERMOFPAYMENT:
100%电汇，买方在收到用户款项时，在二个工作日内将合同全款汇到甲方指定账户。

所有国内银行费用由买方承担，国外银行费用由卖方承担。
9.文件DOCUMENTS：
1）OneoriginalAirwayBillmarked“FreightPrepaid”indicatingcontractNo.,nameofcommodity,andthenotifypartyisthebuyer.一份注明运费已付的航空正本运单,显示合同号、货物名称，通知人为买方。
2）Manuallysignedinvoicein3original（s）indicatingContractnumbermadeoutindetailsaspertherelativeContract.注明合同号和货物明细的商业发票正本一式三份。
3）Packinglistin3original（s）withindicationofgrossandnetweights,measurementsandquantityofeachitempacked,typeofouterpacking,packingquantityandpackingmaterial.注明毛、净重、尺码和所装货物每项的品名数量，外包装物类型，包装数量，包装材质的装箱单正本一式三份。
4）Oneset（includedin1originaland1copy）ofInsuranceCertificate.全套（一正一副）保险单。
5）CertificateofQualityissuedbytheSellerinoneoriginal.卖方签署的质量证明书正本一份。
6）CertificateofOriginin1originaland2copies.商品原产地证明之正本一份副本两份。
7）Non-WoodenPackingDeclarationin1originalforthenon-woodenpackingmaterialorSeller’sCertificationcertifyingthatthepackage（s）has/havebeenlabeledwithIPPCmark.采用非木质包装材料时提供非木质包装声明一份，或采用木质包装材料时提供书面声明确认木质包装上已有IPPC标识。
Thesellershallsendfullsetofabove-mentioneddocumentstothebuyerinonelotbyAirCourierwithin2daysaftershipment.卖方应货物发运后两日内，将上述全套单证用快件寄给买方。
10.装运通知SHIPPINGADVICE:
货物全部装运后,卖方应立即将合同编号、商品名称、数量、毛重、发票金额、航班号和起航日期传真通知买方。
Immediatelythegoodsarecompletelyloaded,theSellersshallfaxtonotifytheBuyersofthecontractnumber,nameofcommodity,quantity,grossweight,invoicedvalue,flightnumberandtheflightdate.
11.品质保证GUARANTEEOFQUALITY:
卖方应保证设备是用最好的材料制成的，采用最新的制造工艺，设备是全新未使用过的，并符合本合同及附件规定的各个方面，如质量、技术要求和性能。
保修期自货物到达目的港，并经验收合格起12个月内，但最迟不超过货物到达目的港之日起14个月。
TheSellersguaranteethatthecommodityhereofismadeofthebestmaterialswithfirstclassworkmanship,brandnewandunused,andcompliesinallrespectswiththequalityandspecificationstipulatedinthisContractandconformstothedatasheetsortechnicalmanualsofthecommoditiescontract.
Theguaranteeperiodshallbe12monthscountingfromthedateonwhichthecommodityarrivesattheportofdestination,andcountingfromthedateonwhichtheAcceptanceCertificatehasbeensignedbytherepresentativesofbothpartiesiftheinstallationandinspectionforacceptanceofthecommoditiescontractedarerequired,butnolaterthan14monthscountingfromthedateonwhichthecommodityarrivesattheportofdestination.
12.索赔CLAIMS:
在货物达到目的港后90天内，如发现货物规格或数量与合同规定不相符（保险公司或运输公司造成的除外），买方可依据中国商检局的检验证明提出索赔：
更换新货品，差额补偿，或维修，所有费用（如检验费、修理费、货物返航或货物替换费用、或修理费、保险、保存、装载/卸载费等）由卖方承担。
关于质量问题，卖方应保证如在本合同第十二条规定的保质期内，发生由于质量不好、工艺差或材料不好引起的损坏，买方应立即书面通知卖方并依据中国出入境检验检疫局的检验报告提出索赔。
检验报告作为索赔证据。
卖方应根据买方的索赔负责解决货物的缺损、完全或部分替换，或根据缺损情况将商品降价。
如果必要，买方有权要求卖方承担费用自行解决问题。
如果卖方在接到买方的上述索赔要求后一个月内没有答复，将视为卖方接受此索赔要求。
Within90daysafterthearrivalofthegoodsatdestination,shouldthespecification,orquantitybefoundnotinconformitywiththestipulationsoftheContractexceptthoseclaimsforwhichtheinsurancecompanyortheCarriersareliable,theBuyershall,onthestrengthoftheInspectionCertificateissuedbyEntry&ExitInspectionandQuarantineBureauofChina,havetherighttoclaimforreplacementwithnewgoods,orforcompensationorrepairandalltheexpenses（suchasinspectioncharges,repairingfee,freightforreturningthegoodsandforsendingthereplacement,ortherepairedgoods,insurancepremium,storageandloadingandunloadingchargesetc.）shallbebornebytheSellers.Asregardsquality,theSellersshallguaranteethatif,withintheguaranteeperiodstipulatedinClause11ofthisContract,damagesoccurinthecourseofoperationbyreasonofinferiorquality,badworkmanshiportheuseofinferiormaterials,theBuyersshallimmediatelynotifytheSellersinwritingandputforwardaclaimsupportedbyInspectionCertificateissuedbyEntry&ExitInspectionandQuarantineBureauofChina.
TheCertificatesoissuedshallbeacceptedasthebaseofaclaim.TheSellers,inaccordancewiththeBuyer’sclaimshallberesponsiblefortheimmediateeliminationofthedefect（s）,completeorpartialreplacementofthecommodityorshalldevaluatethecommodityaccordingtothestateofdefect（s）.Wherenecessary,theBuyersshallbeatlibertytoeliminatethedefect（s）themselvesattheSellers’expense.IftheSellersfailtoanswertheBuyerswithinonemonthafterreceiptoftheaforesaidclaim,theclaimshallbereckonedashavingbeenacceptedbytheSellers.
13.不可抗力FORCEMAJEURE：
在制造、装卸或运输过程中由于不可抗力因素导致延迟交货，卖方不承担责任。
但卖方必须在事发后14天内将上述事故的记载及买方可接受的当地政府主管部门出示的有关偶然事故的证明通过航空快件发给买方，在这样的处境下，卖方仍需尽力采取必要的措施保证尽快的供货，如果事故持续超过10周，买方将有权撤消未发货的订单，或延迟交货时间。
TheSellersshallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,suchaswar,seriousfire,flood,typhoonandearthquake,orothereventsagreeduponbetweenbothparties,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.
UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,theBuyersatitsoptionmaydeletetheundeliveredgoodsfromitspurchaseorderorappropriatelyextendthetimeofdelivery.
TheBuyersshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisContractduetoForceMajeure.
14.延迟交货和罚款LATEDELIVERYANDPENALTY：
除本合同第十四条中不可抗力因素引起外，如果卖方未能按合同规定如期交货，若卖方同意赔款并从付款银行扣除罚款，买方应同意延迟交货。
罚款不能超过延迟交货商品总价的5%。
罚款率为每7天0.5%，未超过7天时按7天计。
卖方若延迟交货超过合同规定日期10周，买方有权解除合同，或要求限期交货并向买方支付罚款。
ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMajeurecausesspecifiedinClause14ofthisContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthepayment.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.5%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocancelthecontractandtheSellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.
15.仲裁ARBITRATION：
与本合同有关的或由执行本合同引起的矛盾应通过友好协商解决。
如无法达成协议，应提交仲裁。
仲裁在中国北京进行，并由中国国际贸易促进委员会所属的对外经济贸易仲裁委员会按照仲裁机构暂行的规定进行仲裁。
仲裁结果应作为双方的最终约束。
任何一方不得向法庭或其他协会申请修改仲裁结果，仲裁费用由败诉方承担。
仲裁期间，双方应继续执行本合同中除仲裁条款外的其他条款。
AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtoChinaInternationalEconomicandTradeArbitrationCommissioninaccordancewithitsRulesofArbitrationpromulgatedbythesaidArbitrationCommission.TheArbitrationshalltakeplaceinBeijingandthedecisionoftheArbitrationCommissionshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappea
