2.1.PartyBshallservePartyAasSalesAuditors.

2.3.PartyBmaycompleteappointedworksintimeandaccuratelyaccordingtoPartyA’srequirementsandpositionresponsibilities.Aswellhandincorrespondentdocumentations.

4.1.PartyAexecutestandardworktimesystembasedonLaborLaw.

4.2.OvertimemaybeworkedaccordingtoPartyA'sbusinessrequirement.Butshallcomplywithstipulatebylaws,administrativerulesandregulations.

4.3.PartyAshallarrangeresttimeandholidaysaccordingtoLaborLawandotherregulations.

Article5.Remuneration

5.1.PartyAwillpaywageshigherthanthelocalstandardonminimumwages.

5.2.PartyBispaidRMB*****/permonthduringtheprobationperiod.Aftertheprobationperiod,PartyB’ssalarywillcommenceatRMB*****/permonth.PartyBshallbepaidon4th/5th/6thdayofeverymonth.

5.3.PartyAwithholdsthepayableindividualincometaxofPartyBonpayingsalaryeachmonth.

5.4.PartyB'ssalarymaybereasonablymodifiedwhentherearechangesonthedutiesandresponsibilitiesofPartyB,workingperiod,contribution,companyregulationsetc.

5.5.PartyB’sbonusandallowanceisaccordingthewageandsalarypoliciesofPartyA.

5.6PartyAwillpaysocialinsurancepremiumsinaccordancewiththelaw,PartyAwithholdsthepayablepartofinsuranceofPartyBonpayingsalary.PartyBentitledwithallsocicalinsuranceaccordingtoLaw.

5.7.SickLeaveorinjuryfromperformingthedutiesmaybepaidaccordingnationalandregionalregulations.

5.8.PartyBisentitledtoMarriageLeave,FuneralLeave,MaternityLeave,AnnualLeaveandGovernmentstatutorypublicholidays.

Article6.Workingprotectionandconditions

6.1.PartAmustsetupworkingrules,operationmanual,workingsafetyandhealthregulations.

PartyAmustprovidePartyBwithoccupationalsafetyandhealthconditionsconformingtotheprovisionsofthestateandnecessaryworkingtools.

6.2.PartyAmustprovidenecessaryarticlesoflaborprotection.

6.3.PartyBmustexectuterulesandregulationsstrictlyinordertoavoidanyaccidentandprofessionalsickness.

6.4.PartyAmayprocedenecessarytrainningonworkingrequirementsandcompanyregulationsonPartyB

Article7.Labordiscipline

7.1.PartyBshallobserveallrulesanddisciplinesofLaw,RegulationsandSocialMoral.

7.2.PartyBwillstrictlyabidebyPartyA’sconfidentialreguations,willnotdiscloseanytradesecretinformation,e.g.management,technologyetc.receivedfromPartyAtoanythirdparty,willnotcopyorlendanybusinessrecordandfiletoanythirdparty.

7.3.PartyAmaymaymodifycompanyregulationsaccordingtonationalLawandRegulations.PartyBshallabidebynewormodifiedregulations.

7.4.PartyAhastherighttorewardorexecuteadministrativesettlementonPartyBaccordingtoLaw,RegulationsuntiltheterminationofLaborContract

Article8Trainning

8.1.PartyAwillpayallorpartialtrainningfeeonPartyB.PartyBacceptthetrainningbyagreeoncertainperiodofworkforPartyA.Otherwise,PartyBshallcompensatethecompany.Formulaas:

Compansation=Trainningfee/term(years)agreedforworking*(agreedyears-workingyears).

8.2.Overseastrainningandstudying,PartyBacceptthetrainningbyagreeoncertainperiodofworkforPartyA.Otherwise,PartyBshallcompensatethecompany.Formulaas:

Compansation=Allexpenses*(uncompletedmonths/agreedworkingmonths).

8.3.Basedonterms8.1and8.2,workingperiodislongerthanthecontractmentioned,LaborContractshallabidebyTrainingAgreement.

8.4.MoredetailtermsandconditonsrefertoTrainningAgreement&TrainningContractManagementRegulations.

Article9.Modification,terminationofthecontract

9.1.Thepartiescanterminatethiscontractthroughfriendlyconsultationunderanyofthefollowingcircumstances:

(1)ThecontractrelatedLaw&Regulationchanged.

(2)Importancechangedonobjectivecircumstances,andthecontractcannotcomplement.

(3)Theparties’situationhasbigchanges,andthecontractcannotcomplement.E.g.PartyArunningsituation,companyorganizationchange,workingpositionneedtoreallocate;PartyBcannotqualifyforworkrequirementduetoworkingbehavior,technology,healthect.

9.2.Thepartiescanterminatethiscontractthroughfriendlyconsultation.

9.3.Inanyoftheevents,thiscontractmaybeterminatedbyPartyBon30days’priorwrittennoticetoPartyA.ThiscontractmaybeterminatedbyPartyBon3days’priorwrittennoticetoPartyAduringprobationperiod.AnylostofPartyAduetoterminationcontractproposedbyPartyB,PartyBshalltakeallresponsibilitiesandcompensatePartyA.PartyAshallproceednecessaryprocedures,onlyifPartyBworkedouteconomiclostonPartyAandnotcompensateit.

9.4..Inanyoftheevents,thiscontractmaybeterminatedbyPartyBatanytime:

(1).FailureonthepartofPartyAtoprovideworkingconditionsasagreeduponintheemploymentcontract.

(2).FailureonthepartofPartyAtopayremunerationasagreeduponintheemploymentcontract.

(3).FailureonthepartofPartyAtopayinsuranceasagreeduponintheemploymentcontract.

(4)PartyA’sregulationsareviolateLawsandregulations,orviolatePartyB’srights

(5).Othercircumstancesasstipulatedbylaws,administrativerulesandregulations.

9.5.PartyAforcesPartyB’stoworkbyresortingtoviolence,intimidationorillegalrestrictionofpersonalfreedom.

9.6.PartyAmayterminatePartyB’semploymentatanytimeunderanyofthefollowingcircumstances:

(1)PartyBisnotqualifiedtorequirementbyPartyAduringtheprobationaryperiods.

(2).PartyBseverelyviolatesanyofPartyA’srulesordisciplines.

(3).PartyBneglectsdutyorcommitsjobberyandcausesgreatlossonPartyA’sinterests.

(4)PartyBsetupemploymentrelationshipwithothercompanyduringthecontractperiod

(5).PartyBprovidedfakeinformationduringapplication,bycheating,PartyAsignedthecontractnotbasedonrealwilling.

(6).PartyBisarrested,bethesubjectofanindictment,orchargedwithanycrimeorunlawfulact.

9.7.Duetocondtionsin9.6,PartyBwasdismissedbyPartyA,andworkedoutanylossonPartyA,PartyBshalltakeallresponsibilities.

9.8.Inanyoftheevents,thiscontractmaybeterminatedbyPartyAon30days’priorwrittennoticetoPartyB:

(1).PartyBisunabletotakeuphisoriginalworkoranynewworkarrangedbyPartyAafterthecompletionofthemedicaltreatmentforillnessorinjurynotsufferedatwork.

(2).PartyBisincompetentfortheworkandstayssoevenaftertrainingorpositionadjustment.

(3).Noagreementonmodificationoftheemploymentcontractcanbereachedthoughconsultationbythepartiesinvolvedwhentheobjectiveconditionstakenasthebasisfortheconclusionofthecontracthavegreatlychangedsothattheoriginalemploymentcontractcannolongerbecarriedout.

9.9.Inanyoftheevents,thiscontractmaybeterminatedbyPartyAon30days’priorwrittennoticetolaborunionorallworkers,takensuggestionsformlaborunionorallworkers,andreporttolabormanagementdepartment:

:

a.BankruptcyofPartyA.

b.PartyA'sdecisiontoterminateitsbusinessandliquidateitsassets.

c.Otherobjectiveconditionstakenasthebasisfortheconclusionofthecontracthavegreatlychangedsothattheoriginalemploymentcontractcannolongerbecarriedout.

9.10.Uponterminationofthecontract,PartyBmusthandovertheworksaccordingtoPartyA’srequirements.Failuretodosoandworkedoutanyloss,PartyAwillclaimforresponsibilitiesaccordingtoLaw.

Article10Theconditionoftheemploymentcontracttermination

Thiscontractshallautomaticallyterminateupontheoccurrenceofanyofthefollowingevents:

(1)theexpirationoftheemploymentcontract

(2)theterminationofPartyA’sbusiness,

(3)theretirementofPartyB

(4)thedeath,missingorlostlaborcapabilitiesofPartyB.

(5)otherconditions

Article11.Businesssecret

UponworkinginPartyA,PartyBhasalreadyorwillgetbusinesssecretsofPartyA.ThepartiesareagreedonkeepPartyA’sbusinesssecretas:

11.1Areaandscope:

asconfirmbybothparties,PartyBhasthedutytokeepPartyA’sbusinesssecretwhichincludebutnotlimitedto,technologyifnormation,managementinformation,financialinformationandotherareasaccordingtocompany’sregulations.

11.2.PartyB’sdutiesonkeepingthebusin
