　　methodsforpayment

　　1.depositforthefactory:

aftersigningthecontract,secondpartyshouldpayrmbasdepositwithindays.secondpartwillalsoneedtopayrmbforthe1stmonthrentaltoo.aftercompletingthecontractagreementdurationperiod,secondpartyhastopaidthewages,utilitiesbills,rentalandincurredbillsandalsodidnotbreakanyoftherulesintheagreements.（meanssecondpartydidnotbreakthecontractordamagethefactory/structureorthefacilities）aftertheconfirmationofthe1stpartythateverythingisok,thedepositwillbereturnbacktothe2ndpartybythe1stpartyandthecontractendstoo,orelsethedepositwillbeconfiscatedbythe1stparty.

　　2.payment:

therequirementfortheusageofthefactory:

secondpartyshouldtakegoodcareofthefactory,dormitoryandtheotherfacilities,2ndpartyshouldnotchangethestructureordamagethebuildingstructure.whensecondpartywanttochangethestructureofthefactorysecondpartyshouldconsultwithfirstparty,andgetthefirstparty‘sconsentfirst.

insurance:

　　1.aftersigningthecontract,secondpartyshouldbuyinsurancefortheallthebuildingoffirstparty’sfactorywithindays,theinsuranceshouldbeboughtforcontinuousandfullpropertyinsurance.theinsuranceperiodshouldnotbelessthanthecontractrentalduration.theoriginaloftheinsurancelistshouldbekeptbyfirstparty.

　　2.secondpartyshouldindicatefirstpartyistheinsurance‘sbeneficiaryintheinsurance.secondpartyshouldnotrestrictintheinsuranceforthefirstpartyforthosebenefitsclaims.

　　3.ifsecondpartyfailtobuythe“full”insuranceorcontinuouslypurchase,firstpartyhastherighttobuytheinsuranceforus,butallthebillswillbechargesbacktothesecondpartyandsecondpartyhastoberesponsibleforallthecharges.

　　4.intheeffectiveperiodofthecontract,secondpartycan’tenduporcanceltheinsuranceusinganyreason.ifsecondpartyenduptheinsurance,firstpartyhaverightstobuytheinsuranceon2ndpartybehalf,thefeeswillalsobechargedtosecondparty.

　　七、theresponsibilitiesanddutiesforfirstpartyandsecondparty:

　　1.firstparty‘sresponsibilitiesandduties.

　　a、firstpartyareprovideakvatransformer;

　　b、1stpartywillprovide2ndpartythewatersupplyinthefactoryandalsotilltheentrance.

　　c、firstpartywillberesponsibleforthefactoryanddormitoryfireprotection,andprovidethequalifiedfirelicense.

　　2.secondparty‘sresponsibilitiesandduties:

　　a、thesecondpartysetsupthefactory,nomatterownprofitorloss,thesecondpartyshouldgetthelegalbusinesslicense,andtheoperationshouldbelegal;

　　b、thesecondpartyshouldpayforallthebillslikepublicsecuritydepartment,labourdepartment,insurance,industryandcommerce,tax,andwaterandelectricitydepartment.

　　c、anybusinessactivitiesorthebusinessdispute,firstpartywillnotberesponsible.

　　d、topaytaxeslawfully;

　　e、secondpartyareinchargeoffiresystemandlift’srepair、maintain、andannualinspection,thefesswillbepaidbysecondparty.

　　f、1stpartywillonlyberesponsibletocollecttherentalfeesfrom2ndparty,otherthanthat,fortheotherkindofbillssecondpartyshouldberesponsibletopayallthetaxesandfees/billsandthatincludesanyrequirementofthelocalgovernmentdepartment.

　　g、whenthesecondpartyisnotrentingthefactoryanymore,thefacilitiesandtransformerandtheliftshouldbereturnedtofirstparty,thesecondpartycannotremoveordestroytheproperty,orelsesecondpartyhastopaythedamagestothefirstparty.

　　h、thefactoryarenotallowtorenttootherpeoplewithoutthefirstparty’swrittenconsent;

　　i、withoutthewrittenconsentoffirstparty’sapproval,secondpartycan’tchangethefactorystructureordecoration.ifthe1stpartyagreestotherenovationproposedby2ndparty,aftertheleaseperiodwillbeownedbyfirstparty.

　　八、theresponsibilitiesofbreakingthecontract

　　1.intheleaseperiod,secondpartyshouldpaytherentontime,whensecondpartydidn’tpayitontime,thelatefeechargesisperday,ifthesecondpartydidnotpaytherentwithindaysfirstpartyhavetherightstoendupthecontract.

　　2、thesecondpartymustobserves&followlocallaws,ifsecondpartyhavetheillegaloperationsandgetcaught,theresponsibilitiesandfineswillbepaidbysecondparty.

　　3.firstpartywillensuretherighttousethefactoryto2ndpartywithintheleaseperiodandtheoperationcarriedoutshouldbelegal,ifduetoanypartywhobreakthiscontractandcausesanylossestoanotherparty,thepartywhobreakthiscontracthastopaytoanotherpartythelosses.

　　4、secondpartywillhavetorentthefactoryaccordinglytotheleaseperiodinthecontract,ifsecondpartybreaksthecontract,thefirstpartyhavetherightstoconfiscatethedeposit,ifthefirstpartylossaremorethanthedeposit,thefirstpartycanpursue2ndpartyforthoseamount.

　　5.thesecondpartymustbeobservethe5thrule,otherwisefirstpartywillaskthesecondpartytopayforthedamages.

　　九：

thecontractwillbetakeneffectafterbothpartiessignedthecontract.ifanyparties,thepersoninchargehaschange,thiscontractwillstillbeeffectivewithnochanges.

　　十：

exemptionclause:

　　1.inthecaseofincidentswhichcannotbeprevent,bothpartieswillnotbeholdforanyresponsibilities.

　　2.inthecaseoffireandiscauseby2ndpartyduetomisuseoftheelectricitypowerorsomeotherreason,the2ndpartywillbeheldfullresponsibilitiesandhavetopayforthedamagestothefirstparty.ifthefirewascausedby3rdparty,thenthe3rdpartywillbeheldfullresponsibilities.

　　3.foralltheproperty&stuffsthatisstoreinthefactoryby2ndparty,2ndpartyhastoberesponsibleforthem,incaseofanydamagesortheft,firstpartywillnotberesponsible.

　　十一、conditionsforbreakingthecontract:

　　whenthefollowingconditionsoccurred.firstpartyhastherightstoendupthecontractimmediately,confiscatethedeposit,andwillnottakeanyresponsibilities.

　　1、secondpartypaytherentlaterthandays.

　　2.secondpartydidnotpaythebillsetc:

thetaxes、theworkers’salaries,thewaterandelectricitychargesandsoon&accumulatemorethanrmb

　　3.secondpartydidnotabidetothecontractforpoint8thand9th.

　　4.if2ndpartydidnotabidetothiscontact.

　　十二、ifanydisputesinfuture,bothpartyshouldtrytonegotiateordiscuss,ifcannotsolvethedisputeandcometoanagreement,thenthecasewillbebroughtuptothecourt.

　　十三、ifanyconditionsneedtobetoaddinaftersigningthecontract,bothpartieshastosignedontherenewalcontract.

　　十四、thereare2contractsaltogetherandeachpartyholdsoneofthem.bothcontractsareeffectiveforthelawandorders.

　　2ndpartyhopestosignthecontractonaftersigningthecontract,2ndpartywillusecashchequetopaystpartymonthsrentfor（monthsdeposit+monthrent）
