PartyAandPartyBarehereinafterreferredtoindividuallyasa“Party”andcollectivelyasthe“Parties”inthisagreement.
Inconsiderationof:
(1)PartyAandPartyBplannedtocooperateonProject(hereinafterreferredtoas“theProject”);
(2)Inthenegotiation,implementationandcooperationprocessoftheproject,bothpartiesarelikelytolearneachother'sconfidentialinformation;and
(3)Bothsideshopetokeeptheconfidentialinformationdescribedinthisagreementeffectivelyprotected.
Thisagreementishereofsignedbybothpartiesthroughconsultationbyconsensus.
Article1Definitions
ThefollowingtermsshallhavethefollowingmeaningsinthisAgreement:
1.1Receiverreferstoonepartyoritsrelatedpartywhoreceivesdisclosedconfidentialinformation,includingdirectors,officers,employees,agents,consultantsandrepresentativesofthereceiveroritsrelatedparty.
1.2Providerreferstoonepartyoritsrelatedpartywhoprovidesconfidentialinformationtothereceiver,orfromwhomthereceiverlearnstheconfidentialinformationinanyothermanners,includingdirectors,officers,employees,agents,consultantsandrepresentativesoftheprovideroritsrelatedparty.
1.3Relatedpartyreferstoanypersondirectlyorindirectlycontrollingthepersonthroughoneormoreintermediateparties,controlledbythepersonorunderjointcontrolwiththeperson.
1.4Controlrefersto,directlyorindirectlyowningamajorityoftheownershipofaperson,orowningthepowerofmanagementorpolicydirectlyorindirectlyorderingaperson,whetherthroughtheenjoymentofownershipofvotingsecurities,byagreementorotherwise.
1.5Person,inthisagreement,includingbutnotlimitedtonaturalpersons,legalpersonsorotherorganizations
1.6Personaldatareferstosomeindividualinformationthatcanbeidentifiedorisidentifiable.
1.7Unlessotherwisespecifiedintheagreement,theterms“above”,“below”,“within”and“upon”usedtoindicateathresholdnumbershallincludethenumberitself;“under”,“beyond”shallnotincludethegivenfigure;“beforethe×thday”,“afterthe×thday”shallnotincludethegivenday.Whenatimeperiodisprescribedindays,monthsandyears,thedayonwhichtheperiodbeginsshallnotbecountedaswithintheperiod;calculationshallbeginonthenextday.Ifthelastdayofatimeperiodfallsonanon-workday,thedayafterthenon-workdayshallbetakenasthelastday.
Article2ConfidentialInformation
2.1“Confidentialinformation”undertheagreementreferstoallinformation,dataortechnologylearnt(whetherprovidedbytheProviderorlearntunintentionally)bytheReceiverunknowntothepublicfromtheProviderintheprocessofcooperationorbeforesigningoftheagreementforthedevelopmentoftheproject,thatcanbringeconomicbenefitstotheProvider(asthelawfulownerorpossessor),includingbutnotlimitedtosoftware,procedures,inventions,processes,designs,drawings,proprietarytechnology,engineering,flows,methods,hardwareconfigurationinformation,customerlists,employeeinformation,contracts,price,cost,researchreports,forecastsandestimates,reports,businessplans,tradesecrets,businessmodel,resolutionsandanyoralloftheotherbusinessinformation,financialinformation,technicaldata,productiondata,meetinginformationanddocumentsoftheProvider.Anyrecords,summary,reports,analysis,orothermaterialsobtainedfromconfidentialinformationbytheReceiverinwholeorinpartinanyformshallbeconsideredconfidentialinformation.
2.2Incaseofanyoneoftheconditionsoftheconfidentialinformation,theReceiverisfreefromincurringobligationofconfidentialityunderthisagreement:
2.2.1Undertheconditionoffreefromincurringobligationofconfidentiality,theReceiverhaslearntsuchinformationbeforelearningfromtheProvider;
2.2.2WheresuchinformationisknownbythepublicnotthroughthebreachofReceiver;
2.2.3WheresuchinformationisacquiredfromthethirdpartywithoutobligationofmaintainingconfidentialityasfarasReceiverknows,withinthelimitofunderstandingthatsuchacquirershallhave,thethirdpartydoesnotobtainanddisclosesuchconfidentialinformationillegally;
2.2.4WheretheProviderlegallydisclosesuchinformationtothethirdpartywithoutdutyofconfidentialityandsuchinformationislegallydisclosedbythethirdparty;
2.2.5WheresuchinformationisacquiredbytheReceiverthoughindependentdevelopment,andnotcontactwiththeconfidentialinformation;
2.2.6WheretheinformationispublicizedwiththepriorwrittenconsentfromtheProvider.
2.3TheagreementshallbewithoutprejudicetoanyrightthatPartyAisentitledtodecidewhethertoprovideorprovidewhatinformationaccordingtotheactualdemandoftheprojectprogress,Chineselawsandregulationsand/ornecessaryinternalprocedureswithinPartyA,ortherightofPartyAtoterminateprovidingrelatedinformationinanycircumstances;suchdecisionorterminationdoesnotexemptPartyBfromundertakingtheobligationsofconfidentialitybyagreement.
Article3DutyofConfidentiality
3.1ReceivershallonlyusetheconfidentialinformationoftheProviderforthepurposeofproject-relatedcooperationbetweenbothparties.
3.2ReceivershallprotectandkeepconfidentialtheinformationacquiredfromProvider,unlessotherwisespecifiedintheagreement,ReceivershallnotdiscloseconfidentialinformationofProvider.
3.3Receivershall,accordingtotheagreementwiththesameprotectionmeasuresandprudencenolessthanthatapplicabletoitsownconfidentialinformation,keeptheconfidentialinformationacquiredfromtheProviderconfidential.
3.4TheconfidentialinformationcanonlybeusedwithinthescopeofPartyBforthepurposeoftrade.PartyBshallensurethattherelevantpersonnelwhousesuchinformationagreetoacceptthebindingoftheagreementclausesinwriting.
3.5Unlesspersonnelspecifiedintheprecedingparagraph3.4,theReceivershallnotdisclosethefollowinginformation:
3.5.1ThefactthatconfidentialinformationhasbeenprovidedtoReceiver;
3.5.2PotentialtransactionthatmaybeunderconsiderationofReceiver,oranyclauses,conditionsorotherfactsofsuchtransaction,includingitsprogress;
3.5.3Discussionornegotiationrelatedtotheabovemattersthathasbeencarriedout,consideredtobecarriedoutorplannedtobecarriedoutbybothparties.
3.6Theaboverestrictionsdonotapplytothefollowingsituation:
WhereReceiverreceivesavalidsubpoena,orderorrequirementfromthejudiciary,arbitrationinstitutions,administrativeagenciesandothercompetentauthoritiesandthecompetentauthorities,inaccordancewithitslegaladvisers,itisrequiredtodiscloseconfidentialinformationinwholeorinpart,anditdisclosetheconfidentialinformationtotheaboveorganizationsaccordingly,withthepremisethatReceivershall,totheextentpracticable,notifytheProviderforthefacts,conditionsandcircumstanceswhicharerequiredtodisclose,andconsultwiththeProvider(i)totakepracticalstepstodenysuchlegalrequirementsornarrowthescopeofdisclosureor(ii)toobtaintheconsentoftheProvidersoastoprovideconfidentialinformationrequiredtobedisclosed,orboth;intheeventofdisclosureofsuchconfidentialinformation,Receivershallobtaintheorderissuedbytheorganizationrequiringdisclosureandtrytogetthereliableguaranteefromtheaboveorganizationforkeepingtheconfidentialinformationconfidential.
3.7Unlessotherwisespecifiedintheagreement,ifReceiverneedstodisclosetheconfidentialinformationtoanythirdparty,itshallobtainthepriorwrittenconsentfromProvider.Beforedisclosureofconfidentialinformationtothethirdparty,Receivershouldsigntheconfidentialagreementwiththethirdpartywiththerequirementsondegreeofconfidentialitynolessthanthisagreement.
3.8Receiverunderstandsandagrees,undertheagreementProviderisfreefrommakinganyexpressorimpliedrepresentationsorwarrantiesfortheaccuracy,completeness,orinaccuracy,incompletenessofthedocumentsandmaterialsincludingtheconfidentialinformation,suchrepresentationsorwarrantiesmaybelegallybindingontheProviderprovidedtheyaremadeinthewrittenagreementsignbybothpartiesintermsofacertaintransaction.Thedisclosingpartyshalldisclosetheinformationingoodfaithwithgoodwill,shallnotdisclosefalseinformationonpurposeorwithculpablenegligence.
Article4IntellectualProperty
4.1InthecircumstanceofnotusingconfidentialinformationofProvider,theintellectualpropertyobtainedbyReceiverindependentlybelongstoReceiver.
4.2WithoutwrittenconsentofProvider,ReceivershallnotuseanyconfidentialinformationofProvidertodevelopanyintellectualproperty.
4.3WithconsentofProvider,intellectualpropertyrights,whichisgenerateddirectlyorindirectlybytheutilizationoftheconfidentialinformation,belongto.
Article5ReturnofConfidentialDocument
5.1Regardlessofwhetherthepartiesdecidetoterminatetheprojectcooperation,ProvidermaychooseatanytimebygivingnoticetoterminateReceiver’scontactwithandfurtheraccesstoconfidentialinformation.The
