9.1首付款

9.1Provisionalpayment:

卖方可以凭以下单据议付信用证下95%CIF货款金额：

（1）货物产地证明，一正两副，由土耳其商会签发

（1）CertificateofOrigininoneoriginaland2（two）copiesissuedbytheChamberofCommerceofT.

（2）CCIC或SGS的货物商检证，质量证明要显示该合同中所要求的所有实际数据。

（2）CertificateofQualityissuedbyCCICorSGSattheloadingport.Certificateofqualitytoshowactualresultofthetestofchemicalcompositionandallothertestscalledforinthiscontract.

（3）船运公司的船运单证，清洁装船提单，要求三正三副，空白背书，显示“运费按照租船合同”或“运费预付”，通知申请人。

（5）在装货港由CCIC或SGS签发的重量证明，一正两副，显示货物重量。

（6）95%货物的商业发票,两正三副，显示合同号，信用证号和船名。

（6）CommercialInvoicecovering95%valueofthegoodsissuedbytheSellerin2（two）originalsand3（three）copiesindicatingthecontractnumber,L/Cnumberandnameofcarryingvessel.

9.2最终付款：

9.2finalpayments

货物剩余的5%款项,卖方凭以下单据进行议付：

Thebalancefive（5%）duetoSellerafterprovisionalpaymentshallbedrawnunderthesameLetterofCreditagainstSeller’sfinalinvoicewiththefollowingdocuments:

I.卖方的最终商业发票，一正四副，显示合同号和应付金额。

I.Seller’ssignedfinalinvoicein4originalsindicatingcontractnumberandshowingthetotalamountandclaimfor5%ofgoodsvalue.

II.由CIQ签发的一份重量检测证明的复印件

II.OnephotocopyofinspectioncertificateofweightissuedbyCIQinChina

III.由CIQ签发的一份质量检测证明的复印件

III.OnephotocopyofinspectioncertificateofqualityissuedbyCIQinChina

最终发票以中国签发的CIQ为依据，最终5%付款在CIQ检测证明在卸货完毕的60天内提供。

如果该单据不能在60天内发给卖方，装货港的检测报告将作为最终发票的依据。

ThefinalinvoiceistobebasedoncertificatesissuedbyCIQofthePeople’sRepublicofChinaasprovidedinClause5ofthisContractwithinsixty（60）daysaftercompletionofdischarging.IftheCertificateissuedbyCIQatthedischargingportcannotbeforwardedtoSellerwithinsixty（60）daysaftercompletionofdischargeinChina,thenthecertificateattheloadingportshallbethebasisofthefinalinvoice.

10.价格的调整和拒收：

10.Priceadjustment

　锰的含量基于45%，调价如下：

ThecontentofMnisbasedon45%,andpriceshallbeadjustedlikebelow:

10.1.锰的含量低于45%时,其含量每低1%基础价减USD5；锰的含量高于45%时,其含量每高1%基础价增加USD5；锰的含量低于42%时,买方有权拒收。

10.2.铁的含量超过9%时，其含量每超过1%基础价减USD1.5，其含量超过11%时拒收或价格另议。

10.2ThebasepriceshallbedecreasedbyUSD1.5asperClause2foreach1%FeperDMTincaseofFeabove9%,fractionspro-rata.WhenFeabove11%,buyercanrejectthegoodsorrenegotiatetheprice.

10.3.磷的含量超过0.10%时，其含量每超过0.01%基础价减USD2，其含量超过0.15%时拒收或价格另议。

10.3ThebasepriceshallbedecreasedbyUSD2asperClause2foreach0.01%PperDMTincaseofPabove0.10%,fractionspro-rata.WhenPabove0.15%,buyercanrejectthegoodsorrenegotiatetheprice.

10.4.硫的含量超过0.10%时，其含量每超过0.01%基础价减USD1.5，其含量超过0.15%时拒收或价格另议。

10.4.ThebasepriceshallbedecreasedbyUSD1.5asperClause2foreach0.01%SperDMTincaseofSabove0.10%,fractionspro-rata.WhenSabove0.15%,buyercanrejectthegoodsorrenegotiatetheprice.

10.5.二氧化硅的含量以9.0%为基准，其含量每超过1%基础价减USD1.5，超过12%时拒收或价格另议。

10.5ThebasepriceshallbedecreasedbyUSD1.5asperClause2foreach1%SIO2perMTincaseofSIO2above9.0%,fractionspro-rata.WhenSIO2above12%,buyercanrejectthegoodsorrenegotiatetheprice.

10.6.三氧化二铝的含量以3%为基准，其含量每超过1%基础价减USD1.5，超过5%时拒收或价格另议。

10.6ThebasepriceshallbedecreasedbyUSD1.5asperClause2foreach1%AL2O3perMTincaseofAL2O3above3.0%,fractionspro-rata.WhenSIO2above5%,buyercanrejectthegoodsorrenegotiatetheprice.

10.7水分含量以8.0%为基准，其含量每超过1%基础价减USD2.7，超过12%时拒收或价格另议。

10.7ThebasepriceshallbedecreasedbyUSD2.7asperClause2foreach1%H2OperMTincaseofH2Oabove8.0%,fractionspro-rata.WhenH2Oabove12%,buyercanrejectthegoodsorrenegotiatetheprice.

11.品质检测：

11.Thedeterminationofquality

11.1.卖方在装运时应提供装运港CCIC或SGS检验机构出具的对所装运货物的检测证明书。

同时进行封样，共4份，以备复核。

11.1sellersshallsupplythetestreportsissuedbytheCCICorSGSwhenloadingthecargo.Andsellershallsealthesampleoffourlotswheninneedforfuturetest.

11.2.四份封样中，买卖双方各执一份，一份由CCIC或SGS留存备复，一份由CCIC或SGS进行检测。

检测费用由卖方承担。

11.2.Inthefourlotofsample,buyerandsellershalleachkeeponelot;onelotshallbekeptbytheCCICorSGSandonelotshallbetestedbytheCCICorSGS.Thetestfeeshallbebornebytheseller.

11.3.该CCIC或SGS的检测证明交2/3随同卖方的商业发票，装箱单等单据一同作为买方在付款时的议价单据。

同时卖方在货物装运后的7个工作日内，以书面形式将检测证明书及商业发票的金额通知买方。

11.3.The2/3oftheCCICorSGStestreportsshallbeaccompaniedwithseller’scommercialinvoice,packinglistasthenegotiationdocuments.Andsellermustinformbuyerthetestreportsandthecommercialinvoicevaluesevenworkingdaysafterfinishingtheloadingofthecargo.

11.4买方在卸货港对运抵货物会同CIQ进行取样检测，检测费由买方承担。

11.4.BuyershallasktheCIQinChinatosamplingandtestingthegoodsinthedischargingportandthetestingfeeshallbebornebythebuyer.

11.5.CIQ对货物样品的品质成份及水份的检测证明书将作为买方的最终付款依据。

11.5ThequalityandthemoisturecontentshownontheCIQtestreportwillbethebasisofthefinalpayment.

12.在装运港的所有税费由卖方承担。

在卸货港的所有税费由买方承担。

13.法律与仲裁：

13.ARBITRATION

双方签订合同后应严格遵守执行。

如有争议，双方应友好协商。

如在15天内不能达成共识应依新加坡仲裁法进行裁决，仲裁地点为新加坡，仲裁委员的裁决为最终裁决,仲裁费用由败诉方承担。

Alldisputesordifferenceswhatsoeverarisingbetweenthepartiesoutoforrelatingtotheconstruction,meaningandoperationoreffectofthiscontractorthebreachthereofshallbesettledthroughfriendlynegotiations.Incasenosettlementcanbereachedwithin15days,thedisputesshallbesubmittedforarbitrationtotheArbitrationinSingaporeasperICCrulesofConciliationandarbitration（latestedition）andtheawardmadeinpursuancethereofshallbebindingontheparties.ThevenueofarbitrationproceedingswillbeSingapore.TheDeci
