Thisentrustmentagreement（hereinaftercalledas“thisagreement”）wassignedbyfollowingparties（hereinaftercalledas“agreementparties）inQingdao,ChinaonJuly20,2008.

（hereinaftercalledas“PartyB”or“PartyBTogether”）

Whereas:

1ValidlyexistingandlawfullyestablishedwithintheterritoryofthePeople’sRepublicofChina,PartyAisanexclusivelyforeign-ownedenterprise,whoselawfulregistrationcertificatenumberis:

2PartyBisacitizenofPRC;

3PartyAwillentrustPartyBtosetupthecompanyinmainlandChinatodeploypregnantwomandetectioncenterproject（“project”）.PartyAwilljoinforcewiththecompanyofPartyBandPartyBTogether（“PartyBCompany”）tosign“ExclusiveConsultingandServiceAgreement”andsomeotheragreementstoestablishbusinessrelationship;

4PartyBisrequiredtousecapitaltodeploysomemattersincludingprophaseoperationofproject.

Therefore, afterfriendlyconsultationsbetweenbothPartiesontheprincipleofmutualbenefit,thePartiesherebyagreeasfollows:

IStockequity-holdingonbehalfofholdersandrelevantfunditems

1.1PartyAshallappropriatefundtoPartyBasperPartyB’swrittenapplicationsincetheagreementwassigned.ThesumshallbeRMB15mforeachofPartyBandthetotalshallbeRMB30m（“fund-holdingonbehalfofholders”）.PartyBshallberesponsibleforutilizingthisfundasregisteredcapitaltoestablishthecompany（hereinaftercalledas“thiscompany”）.

1.2ThiscompanywillsignaseriesofagreementswithPartyA,includingbutnotlimitedto“ExclusiveConsultingandServiceAgreement”,“BusinessOperationAgreement”,“StockEquityDisposalAgreement”and“StockEquityPledgeAgreement”.BothPartieshavebasicallyagreedtothecontentframework（AnnexOne,Two,ThreeandFour）oftheseagreements.

1.3Beingasthenominalholderofshares（hereinaftercalledas“shares-holdingonbehalfoftheholder”）ofthiscompany,PartyBshallperformrelevantshareholders’  rightsonbehalfoftheholderdependingonPartyA’sindication.

1.4Theownershipofshare-holdingonbehalfoftheholderunderthenameofPartyBbelongstoPartyA.PartyBshallonlysetupthiscompanyandholdthesharesofthiscompanyunderthenameofthetrustee.

IIAuthorizationofentrustment

TherightsentrustedbyPartyAtoPartyBtoperformonbehalfofPartyAinclude:

2.1SetupthiscompanyunderthenameofPartyB;

2.2RegisterPartyBtobetheshareholderintheshareholderregistrationrosterofthiscompany;

2.3Performshareholder’srightsastheshareholderofthiscompany,includingbutnotlimitedtochargingdividendorbonus,participatingtheshareholdermeeting,performingvotingrightandetc.;

2.4Performshareholders’otherrightsasperrelevantlaws,regulationsandconstitutionofthiscompanyinregistrationlocation.

IIIPartyA’srightsandobligations

3.1Beingastheactualinvestorofshare-holdingonbehalfoftheholder,PartyAhastherighttoenjoyactualshareholder’srightsandhastherighttoobtainrelevantinvestingincome.

3.2PartyAcanissuecommandstoPartyBatanymomentwithrespecttoPartyA’sperformingshareholders’rightandPartyBshallexecutePartyA’scommandsunconditionally.

3.3PartyAhastherighttotransfertheshare-holdingonbehalfoftheholderandrelevantshareholder’sequitytoitsownaccountortheaccountofanythirdPartydesignatedbyPartyAwhenPartyAthinksroper.PartyBshallagreetotheabove-mentionedtransferenceunconditionallyandshalltransactthetransferenceasperPartyA’scommand.

3.4DuringtheperiodofPartyB’sholdingshare-holdingonbehalfoftheholder,PartyAshallshoulderallofrelevantgeneratedexpensesoftaxation（ifany）;PartyAshallalsoshoulderthegeneratedexpensesoftaxationwhenPartyBtransferstheshare-holdingonbehalfofPartyAtoPartyAoranythirdPartydesignatedbyPartyAtoholdasperPartyA’scommands.

3.5Beingastheactualholderoftheshare,PartyAhastherighttosuperviseandcorrectPartyB’simproperbehaviorsofentrustmentasperthisagreementandalsohastherighttorequirePartyBtocompensateactuallossesduetoPartyB’simproperbehaviors.

3.6PartyAhastherighttonotifycancellingentrustingPartyBatanymomentandrequesttotransferrelevantsharetoPartyAornewtrusteeselectedbyPartyAoranythirdPartydesignatedbythePartyAinaccordancewithlaws.
