NOTICETOUSER:

THISISANAGREEMENTGOVERNINGYOURUSEOFELCOMSOFTSOFTWARE,FURTHERDEFINEDHEREINAS“PRODUCT,”ANDTHELICENSOROFTHEPRODUCTISWILLINGTOPROVIDEYOUWITHACCESSTOTHEPRODUCTONLYONTHECONDITIONTHATYOUACCEPTALLOFTHETERMSANDCONDITIONSCONTAINEDINTHISAGREEMENT.BELOW,YOUAREASKEDTOACCEPTTHISAGREEMENTANDCONTINUETOINSTALLOR,IFYOUDONOTWISHTOACCEPTTHISAGREEMENT,TODECLINETHISAGREEMENT,INWHICHCASEYOUWILLNOTBEABLETOINSTALLOROPERATETHEPRODUCT.BYINSTALLINGTHISPRODUCTYOUACCEPTALLTHETERMSANDCONDITIONSOFTHISAGREEMENT.

ThisElectronicEndUserLicenseAgreement（the“Agreement”）isalegalagreementbetweenyou（eitheranindividualoranentity）,thelicensee,andElcomSoftCo.Ltd.anditsaffiliates（collectively,the“Licensor”）,regardingtheLicensor’ssoftware,asapplicablepursuanttoavalidlicense,youareabouttodownloadand/orotherrelatedservices,includingwithoutlimitationa）allofthecontentsofthefiles,disk（s）,CD-ROM（s）orothermediawithwhichthisAgreementisprovidedandincludingallformsofcode,suchassourcecodeandobjectcode,（the“Software”）,b）allsuccessorupgrades,modifiedversions,modifiedmodules,revisions,patches,enhancements,fixes,modifications,copies,additionsormaintenancereleasesoftheSoftware,ifany,licensedtoyoubytheLicensor（collectively,the“Updates”）,andc）relateduserdocumentationandexplanatorymaterialsorfilesprovidedinwritten,“online”orelectronicform（the“Documentation”andtogetherwiththeSoftwareandUpdates,the“Product”）.YouaresubjecttothetermsandconditionsofthisEndUserLicenseAgreementwhetheryouaccessorobtaintheProductdirectlyfromtheLicensor,orthroughanyothersource.Forpurposeshereof,“you”meanstheindividualpersoninstallingorusingtheProductonhisorherownbehalf;or,iftheProductisbeingdownloadedorinstalledonbehalfofanorganization,suchasanemployer,“you”meanstheorganizationforwhichtheProductisdownloadedorinstalled,thenthepersonacceptingthisagreementrepresentsherebythatsuchorganizationhasauthorizedsuchpersontoacceptthisagreementontheorganization’sbehalf.Forpurposeshereoftheterm“organization,”withoutlimitation,includesanypartnership,limitedliabilitycompany,corporation,association,jointstockcompany,trust,jointventure,labororganization,unincorporatedorganization,orgovernmentalauthority.

Byaccessing,storing,loading,installing,executing,displaying,copyingtheProductintothememoryofaClientDevice,asdefinedbelow,orotherwisebenefitingfromusingthefunctionalityoftheProduct（“Operating”）,youagreetobeboundbythetermsandconditionsofthisAgreement.IfyoudonotagreetothetermsandconditionsofthisAgreement,theLicensorisunwillingtolicensetheProducttoyou.Insuchevent,youmaynotOperateorusetheProductinanyway.

BEFOREYOUPUTACHECKMARKATTHE“IACCEPTTHEAGREEMENT”BUTTONANDPRESS“NEXT,”PLEASECAREFULLYREADTHETERMSANDCONDITIONSOFTHISAGREEMENT,ASSUCHACTIONSAREASYMBOLOFYOURSIGNATUREANDBYCLICKINGONTHE“IACCEPTTHEAGREEMENT”AND“NEXT”BUTTONS,YOUARECONSENTINGTOBEBOUNDBYANDAREBECOMINGAPARTYTOTHISAGREEMENTANDAGREETHATTHISAGREEMENTISENFORCEABLELIKEANYWRITTENNEGOTIATEDAGREEMENTSIGNEDBYYOU.IFYOUDONOTAGREETOALLOFTHETERMSOFTHISAGREEMENT,CLICKTHE“CANCEL”BUTTONANDTHEPRODUCTWILLNOTBEINSTALLEDONYOURCLIENTDEVICE,ASSUCHTERMISDEFINEDBELOW.Foryourreference,youmayrefertothecopyofthisAgreementthatcanbefoundintheHelpfortheSoftware.YoumayalsoreceiveacopyofthisAgreementbycontactingLicensorat:

1.ProprietaryRightsandNon-Disclosure.

1.1.OwnershipRights.YouagreethattheProductandtheauthorship,systems,ideas,methodsofoperation,documentationandotherinformationcontainedintheProduct,areproprietaryintellectualpropertiesandorthevaluabletradesecretsoftheLicensorandareprotectedbycivilandcriminallaw,andbythelawofcopyright,tradesecret,trademarkandpatentoftheRussianfederation,othercountriesandinternationaltreaties.YoumayusetrademarksonlyinsofarastoidentifyprintedoutputproducedbytheProductinaccordancewithacceptedtrademarkpractice,includingidentificationoftrademarkowner’sname.Suchuseofanytrademarkdoesnotgiveyouanyrightsofownershipinthattrademark.TheLicensoranditssuppliersownandretainallright,title,andinterestinandtotheProduct,includingwithoutlimitationsanyerrorcorrections,enhancements,UpdatesorothermodificationstotheSoftware,whethermadebyLicensororanythirdparty,andallcopyrights,patents,tradesecretrights,trademarks,andotherintellectualpropertyrightstherein.Yourpossession,installationoruseoftheProductdoesnottransfertoyouanytitletotheintellectualpropertyintheProduct,andyouwillnotacquireanyrightstotheProductexceptasexpresslysetforthinthisAgreement.AllcopiesoftheProductmadehereundermustcontainthesameproprietarynoticesthatappearonandintheProduct.Exceptasstatedherein,thisAgreementdoesnotgrantyouanyintellectualpropertyrightsintheProductandyouacknowledgethatthelicensegrantedunderthisAgreementonlyprovidesyouwitharightoflimiteduseunderthetermsandconditionsofthisAgreement.

1.2.SourceCodeandModifications.YouacknowledgethatthesourcecodefortheProductisproprietarytotheLicensorandconstitutestradesecretsoftheLicensor.Youagreenottomodify,orcreatederivativeworksbasedupontheProductinwholeorinpartnorreverseengineer,decompile,disassemblethesourcecodeoftheProductinanyway.

1.3.RegistrationCodeFileandConfidentialInformation.Youagreethat,unlessotherwisespecificallyprovidedhereinoragreedbytheLicensorinwriting,theProduct,includingthespecificdesignandstructureofindividualprogramsandtheProduct,includingwithoutlimitationtheRegistrationCodeFileprovidedtoyoubytheLicensorand/oritsauthorizedresellersordistributors,constituteconfidentialproprietaryinformationoftheLicensor.Forpurposeshereof,“RegistrationCode”shallmeanauniquekeyidentificationfileoracombinationofuniqueelectroniccharactersprovidedtoyoubytheLicensorconfirmingthepurchaseofthelicensefromtheLicensor,whichmaycarrytheinformationaboutthelicenseandthenumberofpermittedusers,andenablingthefullfunctionalityoftheProductinaccordancewiththelicensegrantedunderthisAgreement.Youagreenottotransfer,copy,disclose,provideorotherwisemakeavailablesuchconfidentialinformationinanyformtoanythirdpartywithoutthepriorwrittenconsentoftheLicensor.Youagreetoimplementreasonablesecuritymeasurestoprotectsuchconfidentialinformation,butwithoutlimitationtotheforegoing,shallusebesteffortstomaintainthesecurityoftheRegistrationCodeprovidedtoyoubytheLicensorand/oritsauthorizedresellersordistributors.

2.GrantofLicense.

2.1.License.TheLicensorgrantsyouthefollowingrights（“License”）andyouherebyagreeandacceptsuchLicense:

a）.TrialVersion.Ifyouhavereceived,downloadedand/orinstalledatrialversionoftheProductandareherebygrantedanevaluationlicensefortheSoftwareandyoumayOperatetheProductonlyforevaluationpurposesandonlyduringthesingleapplicableevaluationperiodofthirty（30）days,unlessotherwiseindicated,fromthedateoftheinitialinstallation.Followingthistestperiodofthirty（30）daysorless,ifyouwishtocontinuetousetheProduct,youmustregister.Toregisteryouhavetopayforthefullyfunctionalversion.UponpaymentweprovidetheRegistrationCodetoyou.AnyuseoftheProductforotherpurposesorbeyondtheapplicableevaluationperiodisstrictlyprohibited,providedhoweverthat,subjecttotherestrictionscontainedherein,youmaycopyanddistributeatrialversionoftheSoftwarewithoutanymodificationswhatsoevertoanythirdpartysubjecttothisAgreementandfurtherprovidedthatyouhavenotechnicalsupportrightsduringthetrialperiod.Theunregistered（trial）versionmaybefreelydistributed,providedthatthedistributionpackageisnotmodified.NopersonorcompanymaychargeafeeforthedistributionoftheProductwithoutwrittenpermissionfromthecopyrightholder.

b）.GrantofLicense.Unlessotherwisespecificallyindicatedunderavalidlicense（e.g.volumelicense）grantedbytheLicensor,onceregisteredyouaregrantedanon-exclusiveandnon-transferablelicensetoinstallone

（1）copyoftheProductandduringthetermofyourlicense,subjecttothepaymentoftheapplicablefeesandyourcompliancewiththetermshereof,thisAgreementpermitsyouoranyofyouremployeestoOperateonecopyofthespecifiedversionoftheProduct,forinternalpurposesonly,ononecomputer,workstation,orotherelectronicdeviceofwhichthesoftwarewasdesigned（eacha“ClientDevice”）.IfyouhavepurchasedmultiplelicensesfortheProduct,thenthenumberofmultiplelicensesshalldeterminethenumberofcopiesoftheProductyoumayhaveandthenumberofClientDevicesonwhichyoumayOperatetheProduct.IftheProductislicensedasasuiteorbundlewithmorethanonespecifiedsoftwareproduct,thislicenseappliestoallsuchspecifiedsoftwareproducts,subjecttoanyrestrictionsorusagetermsspecifiedontheapplicablepricelistorproductpackagingthatapplytoanyofsuchsoftwareproductsindividually.Additionally,Licensorreservestherighttoprovid
