甲、乙双方本着平等、自愿和诚信的原则，经充分协商，双方就股权赠与事宜达成如下协议：

第一条赠与标的

Clause1Donationobject

1、甲方拥有XX有限公司（以下简称“公司”）股权，是该公司的合法股东;

1.PartyAhassharesoftheXXCo.Ltd.（hereinafterreferredtoasthe"company"）,isthecompany'slegitimateshareholder;

2、甲方同意将其拥有的公司1％的股权给乙方； 

2.PartyAagreestodonateitsown1%companysharestoPartyB;

3、乙方同意接受上述赠与。

3.PartyBagreestoaccepttheabovedonation.

第二条赠与程序

Clause2Donationprocedure

1、甲方应当按照本协议提请公司向登记机关办理股权变更登记，并将股权变动

情况登载于公司的股东名册，同时向乙方出具证明书；

1.PartyAshall,inaccordancewiththisagreement,submitthecompany

totheregistrationauthorityforregistrationofstockrightchange,andchangethestockrightonthelistofshareholdersofthecompany,andissueacertificatetoPartyB.

2、如此项赠与需征得公司其他股东同意的，甲方应负责取得该项同意。

2.Ifsuchdonationshouldbeapprovedbytheothershareholdersofthecompany,PartyAshallberesponsibleforobtainingtheagreement.

第三条赠与的撤销

1、如果乙方有严重损害公司利益或给公司造成损失的情况，甲方可以撤销赠与。

1.IncaseofPartyBhasseriouslydamagedtheinterestsofthecompanyorcausedlossestothecompany,PartyAmayrevokethedonation.

2、赠与撤销后，本协议终止履行。

2.Aftertherevocationofthedonation,thisagreementterminatesitsperformance.

第四条承诺和保证

Clause4PromisesandGuarantees

1、甲方保证对依据本协议赠与给乙方的股权拥有完全的处分权；上述股权未设置任何抵押权或其他担保权;

1.PartyAhastherighttodisposeofthesharesthatshoulddonatetoPartyBaccordingtothisagreement,andnomortgageorothersecurityrighthasbeensetupintheaforesaidshares.

2、乙方承认原公司章程和股东之间的合同，保证按原章程和合同的规定承担股东权利、义务和责任。

2.PartyBacknowledgesthearticlesofassociationoftheoriginalcompanyandcontractsbetweentheshareholders,andundertakestherights,obligationsandresponsibilitiesoftheshareholdersinaccordancewiththeoriginalConstitutionandthecontract.

第五条股权赠与的法律后果

Clause5LegalConsequencesofsharesdonation

1、股权赠与完成后，乙方即成为公司股东，按其股权比例分享公司的利润和分担风险及亏损；

1.Afterthedonationofsharesiscompleted,PartyBbecomestheshareholderofthecompany,andsharesthecompany'sprofits,risksandlossesinproportiontoitsshareright.

2、公司已经发生的债权债务不受股东变更的影响；

2.Thecreditor'srightsandliabilitiesofthecompanyhavenotbeenaffectedbythechangeofshareholders。

第六条费用的负担

Clause6Expenseundertaking

本赠予协议实施所需支付的有关税费双方各负担二分之一。

Thepartiesshallbear1/2oftheburdenoftaxesandfeesforthedonationagreement.

第七条违约责任

Clause7Liabilityforbreachcontract

如果本协议任何一方未按本协议的规定，适当地、全面地履行其义务，应该承担违约责任。

守约一方由此产生的任何责任和损害，应由违约一方赔偿。

Ifanypartytothisagreementisnotinaccordancewiththeprovisionsofthisagreementinplace,fullyfulfilltheirobligations,shouldbeartheliabilityforbreachofcontract.Anyliabilityanddamagesresultingfromthenondefaultingparty,thedefaultingpartyshouldresponsibleforcompensation.

第八条法律适用和争议解决

Clause8TheapplicationoflawandThesettlementofdisputes

1、本协议受中国法律管辖并按其解释；

1.ThisagreementisgovernedbyandconstruedinaccordancewiththelawsofChina.

2、凡因本协议引起的任何争议，双方应协商解决；协商不成，任何一方均可向公司所在地法院提起诉讼。

2.Anydisputesarisingunderthisagreementbythetwosidesshouldberesolvedthroughconsultation;consultationfails,anypartymayfilealawsuitwiththecourtwherethecompanyislocated.

第九条其他

Clause9Others

1、本协议由双方或其委托代理人签字或盖章后生效；

2、本协议正本一式五份，甲乙双方各执一份，公司执一份，其余由有关政府部门留存。
