DefinitionsandInterpretation

Definitions1.1IntheSubcontract（ashereinafterdefined）allwordsandexpressionsshallhavethesamemeaningsasarerespectivelyassignedtothemintheMainContract（ashereinafterdefined）,exceptwherethecontextotherwiserequiresandexceptthatthefollowingwordsandexpressionsshallhavethemeaningsherebyassignedtothem:

（a）（i）"Employer"meansthepersonnamedassuchinPartIIoftheConditionsofSubcontractandthelegalsuccessorsintitleto,orassigneesof,suchperson,astheContractorshallnotifytheSubcontractorfromtimetotime.

（ii）"Contractor"meansthepersonnamedassuchinPartIIoftheConditionsofSubcontractandthelegalsuccessorsintitletosuchperson,butnot（exceptwiththeconsentoftheSubcontractor）anyassigneeofsuchperson.

（iii）"Subcontractor"meansthepersonwhoseofferhasbeenacceptedbytheContractorandthelegalsuccessorsintitletosuchperson,butnot（exceptwiththeconsentoftheContractor）anyassigneeofsuchperson.

（iv）"Engineer"meansthepersonappointedbytheEmployertoactasEngineerforthepurposesoftheMainContractandnamedassuchinPartIIoftheConditionsofSubcontract.

（b）（i）"MainContract"meansthecontractenteredintobetweentheEmployerandtheContractor,particularsofwhicharegiveninPartIIoftheConditionsofSubcontract.

（ii）"Subcontract"meanstheConditionsofSubcontract（PartsIandII）,theSubcontractSpecification,theSubcontractDrawings,theSubcontractBillofQuantities,theSubcontractor'sOffer,theContractor'sLetterofAcceptance,theSubcontractAgreement（ifcompleted）andsuchfurtherdocumentsasmaybeexpresslyincorporatedintheContractor'sLetterofAcceptanceorSubcontractAgreement（ifcompleted）.

（iii）"SubcontractSpecification"meansthespecificationoftheSubcontractWorksincludedintheSubcontractandanymodificationthereoforadditiontheretomadepursuanttoClause9.

（iv）"SubcontractDrawings"meansalldrawings,calculationsandtechnicalinformationofalikenatureundertheSubcontract.

（v）"SubcontractBillofQuantities"meansthepricedandcompletedbillofquantitiesformingpartoftheSubcontractor'sOffer.

（vi）"Subcontractor'sOffer"meanstheSubcontractor'spricedoffertotheContractorfortheexecutionandcompletionoftheSubcontractWorksandtheremedyingofanydefectsthereininaccordancewiththeprovisionsoftheSubcontract,asacceptedbytheContractor'sLetterofAcceptance.

（vii）"Contractor'sLetterofAcceptance"meanstheformalacceptancebytheContractoroftheSubcontractor'sOffer.

（viii）"SubcontractAgreement"meansthesubcontractagreement（ifany）referredtoinSub-Clause3.3.

（ix）"AppendixtoSubcontractor'sOffer"meanstheappendixcomprisedintheformofSubcontractor'sOfferannexedtotheConditionsofSubcontract.

（x）"ConditionsofSubcontract"meansPartsIandIIoftheFederationInternationaledesIngenieurs-Conseils'"ConditionsofSubcontractforWorksofCivilEngineeringConstruction（foruseinconjunctionwiththeConditionsofContractforWorksofCivilEngineeringConstruction,FourthEdition1987Reprinted1992withfurtheramendments）",1994,asadaptedbytheContractorandtheSubcontractorandformingpartoftheSubcontract.

（xi）"ConditionsofMainContract"meansPartIoftheFederationInternationaledesIngenieurs-Conseils'"ConditionsofContractforWorksofCivilEngineeringConstruction,FourthEdition1987Reprinted1992withfurtheramendments",andPartIIofsuchConditionsasadaptedbytheEmployerandtheContractor,whichformpartoftheMainContract.

（c）（i）"Subcontractor'sCommencementDate"meansthedateuponwhichtheSubcontractorreceivesthenoticetocommenceissuedbytheContractorpursuanttoSub-Clause7.1.

（ii）"Subcontractor'sTimeforCompletion"meansthetimeforcompletionoftheSubcontractWorksoranySectionthereofasstatedintheAppendixtoSubcontractor'sOffer（orasextendedunderClause7）calculatedfromtheSubcontractor'sCommencementDate.

（d）"SubcontractPrice"meansthesumstatedintheContractor'sLetterofAcceptanceaspayabletotheSubcontractorfortheexecutionandcompletionoftheSubcontractWorksandtheremedyingofanydefectsthereininaccordancewiththeprovisionsoftheSubcontract.

（e）（i）"MainWorks"meanstheWorksasdefinedintheMainContract.

（ii）"SubcontractWorks"meanstheworksdescribedinPartIIoftheConditionsofSubcontract.

（iii）"Subcontractor'sEquipment"meansallappliancesandthingsofwhatsoevernature（otherthanTemporaryWorks）requiredfortheexecutionandcompletionoftheSubcontractWorksandtheremedyingofanydefectstherein,butdoesnotincludePlant,materialsorotherthingsintendedtoformorformingpartoftheSubcontractWorks.

TheheadingsandmarginalnotesintheConditionsofSubcontractshallnotbedeemedpartthereoforbetakenintoconsiderationintheinterpretationorcon
