THISAGREEMENTismadethe[]dayof[],20[]at[]place.

BETWEEN:

1）[][LIMITED][（acompanyincorporatedin,andexistingunder,thelawsof[]）][withitsregisteredaddressat]（hereinafter"Producer"）;and

2）[][LIMITED][（acompanyincorporatedin,andexistingunder,thelawsof[]）][withitsregisteredaddressat]（hereinafter"TransportationProvider"）.

WHEREAS:

A.Producerrequirestransportationandlogisticsservicesinordertoenableittodistributeitsproductstoitscustomers.

B.TransportationProvidercarriesonbusinessasathirdpartylogisticsproviderarrangingandprovidingforthetransportationofvariousgoodsand]hasagreedtoprovide[such]servicestoProduceronthetermsandconditionshereinaftercontained.

NOWITISHEREBYAGREEDasfollows:

1.INTERPRETATION

1.1InthisAgreement,unlessthecontextotherwiserequires:

"Products"meansany[]manufactured,marketedandsoldbyProducerunderthetrademark（s）orbrandname（s）[]orsuchotherbrandsasProducermayown,produce,market,supplyorsellduringthetermofthisAgreement;

"Goods"meansProductsandanyotheritems,including（withoutlimitation）emptycases,pallets,pointofsale（POS）itemsandpackagingmaterialstransportedbyTransportationProvideronbehalfofProducer;

"ManufacturingPlant”meansanyofthepremisesatwhichProductsaremanufacturedby,oronbehalfof,ProducerandlistedinSchedule1assupplementedoramendedfromtimetotimebywrittenagreementofthepartieshereto;

"Warehouse”meansanyofthewarehouseslistedinSchedule2assupplementedoramendedfromtimetotimebywrittenagreementofthepartieshereto;

"Carrier"meansanowner/operatorofamotorvehicleengagedbyTransportationProvidertotransportProductspursuanttothisAgreement;

"Customer"meansadistributororvendorofProductsappointedorlicensedbyProducer;

"Supplier"meansanyperson,otherthanaCustomerortheowneroroperatorofaManufacturingPlantorWarehousetowhichGoodsmaybetransportedordeliveredfromtimetotime;

"TransportationLogisticsServices"meanstheservicesreferredtoinClause2ofthisAgreement;

"TransportationRepresentative"shallbethepersondesignatedbyProducerfromtimetotimetoreceivenoticespursuanttoClause[]ofthisAgreement;and.

"TransportationServices"meanstheactualcarriageofProductsandotherGoods.

1.2InthisAgreement,referencestoClausesorSchedulesarereferencestoclausesof,orschedulesto,thisAgreement.EachScheduleshallhavebindingeffectasifsetoutinthisAgreement.

2.SERVICESTOBEPROVIDEDBYTRANSPORTATIONPROVIDER

2.1DuringthetermofthisAgreement,TransportationProviderherebyagreestoprovideProducerwiththeTransportationLogisticsServicesmorefullydescribedinthisClause.TransportationProvidershallprovidesuchservicesinaccordancewiththespecificationssetoutinSchedule[]and[].TransportationProvidershall:

（a）Arrangeandcarryoutnotlessthan[Details,Percentage]ofTransportationServicesrelatingtoshipmentofProductsandotherGoodstoandfromeachManufacturingPlant;

（b）Arrangeandcarryoutnotlessthan[Details,Percentage]oftheTransportationServicesrelatingtoshipmentofProductsandotherGoodstoandfromeachWarehouse;

（c）ArrangethesafeandpromptshipmentofProductsandotherGoodsthroughoutthe[Territory,region]to,fromandbetweenManufacturingPlants,Warehouses,Customers,SuppliersandotherauthorisedrecipientsoftheProducts,ifsorequestedbyProducer;

（d）TimebeingoftheessencewithrespecttoshipmentofProducts,provideallequipmentnecessarytoeffectthesafeandpromptshipmentofProductsfromtheirplaceoforigintodestination.TransportationProvideragreesthatitwillnotaccordtoanyothercustomerorclientanyhigherlevelofprioritythanthatgiventoProducer,whetherinrelationtotheavailabilityoftransportequipment,adequatespace,shippingschedulesorotherwise;

（e）ProvideadirectshipmentservicefromplaceoforigintodestinationinrespectofGoodsdeliveredtoitbytheProducer;

（f）EnsureoptimumProductloadsfordeliveryfromeachManufacturingPlantinaccordancewithinstructionsgivenbyProducer,inordertoreducethecostofshipment,maximizedeliveryvehicleutilisation,anddeliverProductspromptly.Forsuchpurpose,TransportationProvidershallgivetoProduceraccesstotheloadoptimisationsystemsothatProducermayperformloadoptimisationasneeded,fortestingandmodellingpurposesoractualuse,atnoadditionalchargetoProducer.SpecificationsfortheloadoptimisationsystemandprocessesaresetoutinSchedule[];

（g）UseitsbesteffortstoeffectcostsavingsforProducerineithertherateschargedbyTransportationProviderorbyimprovingtheprocessesandproceduresforshipmentofGoodsbyProducer;

（h）ArrangeforthetransportationofreturnableGoods,suchas[over-ageorspoiledProducts,pallets（asapplicable）],fromCustomersandSuppliersinthe[territories]listedinSchedule[],toManufacturingPlants,WarehousesorotherlocationsasmaybedesignatedbyProducer,andusereasonableendeavourstoreducequantitiesofreturnableGoodsatCustomers’locationsandreducereturnfreightcosts,inaccordancewiththePerformanceRequirementsspecifiedinSchedule[].Inthecaseof[Territories]notlistedinSchedule[],transportationofreturnableGoodsshallrequirepriorwrittenauthorisationbytheTransportationRepresentative;

（i）ProvidesuchinformationtoProducer,includingbymeansofelectroniccommunications,asProducermayfromtimetotimerequireandensurethatittakesallnecessaryactionwheneverProducergivesinformationtoitfor,orinconnectionwith,theimplementationofthisAgreement;

（j）Performsuchspecialistservicesasmayfromtimetotimebeagreedincluding,withoutlimitation,expeditedtransitand/ortheuseofspecialequipmentsuchasrefrigeratedvehicles;

（k）[ArrangeandcarryoutTransportationServicesassociatedwiththeshipmentofProductsandotherGoodsfromandtoany[SecondaryProducer’sPlant][termtobedefined],butonlytotheextentspecificallyrequestedbyProducer.ItisunderstoodandagreedthatanySecondaryProducerPlantshallbeprimarilyservicedbyanotherthirdpartylogisticsproviderorcarrierwithwhomProducerhasadirectcontractualrelationship];

（l）[ArrangeandcarryoutTransportationServicesassociatedwiththeshipmentofProductsandotherGoodsfromandtoany[SecondaryWarehouse][termtobedefined],butonlytotheextentspecificallyrequestedbyProducer.ItisunderstoodandagreedthatanySecondaryWarehouseshallbeprimarilyservicedbyanotherthirdpartylogisticsproviderorcarrierwithwhomProducerhasadirectcontractualrelationship].

2.2TransportationProvidershallhavetherighttosubcontracttheTransportationServicestobeprovidedhereundertootherCarriers,providedthatanysuchCarriershallbereasonablyacceptabletoProducerbywrittennoticetothetransportationProviderandqualifiedtoperformtherequiredTransportationServices.ThetermsandconditionsonwhichanysuchCarriermaybeappointedbyTransportationProvidershallnotconflictwithanyofthetermsandconditionssetouthereinandshallnotaffecttheTransportationProvider'sliabilityfortheentiretransportationoftheProducts.TransportationProvider

2.3TransportationProvidershallhaveandmaintainatalltimesallnecessarylicencesandpermitsduringthecontinuanceinforceofthisAgreement,andsubcontractTransportationServicesonlytoCarrierswhodemonstratethattheyhaveappropriatelicencestocarryandshiptheProducts,including,withoutlimitation,[specificproducts],asmayfromtimetotimeberequiredbyanyapplicablegovernmentalauthoritiesorregulatorybodies.

2.4DuringthecontinuanceinforceofthisAgreement,TransportationProviderundertakestoProducerthatitwillobserveandcomplywithallrulesandregulationsestablishedbythe[NameofLicensingandotherauthorities,agencies]havingjurisdictionovertheTransportationServicestobeperformedpursuanttothisAgreement.TransportationProvidershallalsomaintainasatisfactorysafetyratingwiththe[Transportdepartment].

3.SERVICEQUALITY

3.1ProducerrequiresTransportationProvidertobeISO9000certifiedandhaveaqualitysystembasedontheISO9000seriesstandardsinperformingalltheServices.

3.2InareasofanyoftheServicesinrespectofwhichnoISO-9000certificationisobtained,thefollowingelementsshallbepresent:

（a）Clearlydefinedresponsibilityandauthorityforqualitysystem,trainingofpersonnel,dispositionofnon-conformingmaterial.
