RECITALS

A.WHEREAS,SellerandtheSubsidiariesare,amongotherthings,engagedthroughaunit（referredtohereinas"POWERSYSTEMS"）ofitsMicroelectronicsandCommunicationsTechnologyGroupintheworldwidemanufacturing,marketing,salesanddistributionofpowersupply,powerconversionandbackuppowerequipmentforwireless,optical,switchingandotherequipmentthatruncommunicationsnetworksandafulllineofpowerproducts,includingTitania（TM）powerproducts,forcomputermanufacturers;andprovidecustomdesign,engineering,installationandtechnicalsupportrelatedtosuchpowerproducts（collectively,the"BUSINESS"）;

B.WHEREAS,theBusinessiscomposedofcertainassetsandliabilitiesthatarecurrentlypartofSellerandtheSubsidiaries;

C.WHEREAS,SellerandtheSubsidiariesdesiretosell,transferandassigntoBuyer,andBuyerdesirestopurchaseandassumefromSellerandtheSubsidiaries,thePurchasedAssets（ashereinafterdefined）,andBuyeriswillingtoassume,theAssumedLiabilities（ashereinafterdefined）,ineachcaseasmorefullydescribedanduponthetermsandsubjecttotheconditionssetforthherein;and

D.WHEREAS,Sellerand/oroneormoreoftheSubsidiariesandBuyerdesiretoenterintoeachAssignmentandBillofSale,eachAssumptionAgreement,theSupplyAgreement,theIntellectualPropertyAgreement,theTransitionServicesAgreement,eachLeaseAssignment,eachSubleaseandeachRealEstateDeed（collectively,the"COLLATERALAGREEMENTS"）.

NOW,THEREFORE,inconsiderationofthemutualagreementsandcovenantshereincontainedandintendingtobelegallyboundhereby,thepartiesheretoherebyagreeasfollows:

1.DEFINITIONS

1.1DEFINEDTERMS

ForthepurposesofthisAgreement,inadditiontothewordsandphrasesthataredescribedthroughoutthebodyofthisAgreement,thefollowingwordsandphrasesshallhavethefollowingmeanings:

"AFFILIATE"ofanyPersonmeansanyPersonthatcontrols,iscontrolledby,orisundercommoncontrolwithsuchPerson.Asusedherein,"CONTROL"meansthepossession,directlyorindirectly,ofthepowertodirectorcausethedirectionofthemanagementandpoliciesofsuchentity,whetherthroughownershipofvotingsecuritiesorotherinterests,bycontractorotherwise.

"AGREEMENT"hasthemeaningassignedinthepreamblehereof.

"ASSETACQUISITIONSTATEMENT"hasthemeaningassignedinSection5.3（b）.

"ASSIGNMENTANDBILLOFSALE"meanseachagreementinsubstantiallytheformsetforthasEXHIBITA.

"ASSUMEDLEASES"meanstheLeasestobeassumedbytheBuyerpursuanttoaLeaseAssignmentorSubleaseandidentifiedonSCHEDULE3.7（a）.

"ASSUMEDLIABILITIES"meanstheliabilitiesandobligationsofSellerandtheSubsidiariesassumedbyBuyerpursuanttotheAssumptionAgreementandSection2.4.

"ASSUMPTIONAGREEMENT"meanseachagreementinsubstantiallytheformsetforthasEXHIBITB.

"BENEFITPLAN"means,inrespectofanyBusinessEmployee,each"employeebenefitplan,"asdefinedinSection3（3）ofERISA（includingany"multiemployerplan"asdefinedinSection3（37）ofERISA）andeachemployment,severance,retention,consulting,orsimilaragreementorarrangementrelatedtoprofit-sharing,bonus,stockoption,stockpurchase,stockownership,pension,retirement,severance,deferredcompensation,excessbenefit,supplementalunemployment,post-retirementmedicalorlifeinsurance,welfareorincentiveplan,orsickleave,long-termdisability,medical,hospitalization,lifeinsurance,otherinsuranceplan,orotheremployeebenefitplan,programorarrangement,qualifiedornon-qualified,fundedorunfunded,maintainedorcontributedtobySellerortheSubsidiaries,providedsuchplans,programs,orarrangementsareinwriting.

"BRAZILIANJVCOMPANY"hasthemeaningassignedinSection2.1（k）.

"BUSINESS"hasthemeaningassignedinRecitalAhereof.

"BUSINESSDAY"meansadaythatisnotaSaturday,aSundayorastatutoryorcivicholidayintheStateofNewYorkoranyotherdayonwhichtheprincipalofficesofSellerorBuyerareclosedorbecomeclosedpriorto2:

"BUSINESSEMPLOYEES"meanstheemployeesofSellerortheSubsidiariesemployedintheBusinessandidentifiedonSCHEDULE3.9（a）.

"BUSINESSRECORDS"meansallbooks,records,ledgersandfilesorothersimilarinformationusedprimarilyintheconductoftheBusiness,includingpricelists,customerlists,vendorlists,mailinglists,warrantyinformation,catalogs,salespromotionliterature,advertisingmaterials,brochures,recordsofoperation,standardformsofdocuments,manualsofoperationsorbusinessprocedures,researchmaterialsandproducttestingreportsrequiredbyanynational,federal,state,provincialorlocalcourt,administrativebodyorotherGovernmentalBodyofanycountry,butexcludinganysuchitemstotheextent（i）theyareincludedin,orprimarilyrelatedto,anyExcludedAssetsorExcludedLiabilities,or（ii）anyapplicableLawprohibitstheirtransfer.

"BUYER"hasthemeaningassignedinthepreamblehereof.

"BUYERDESIGNEE"meansoneormoreAffiliatesofBuyeridentifiedtoSellerpriortotheClosingDate.

"BUYERNONREPRESENTEDSAVINGSPLAN"hasthemeaningassignedinSection5.4（e）.

"BUYERPENSIONPLAN"hasthemean
