TRANSACTIONMANAGEMENTAGREEMENT

ThisTransactionManagementAgreement（hereinafterreferredtoas“THEAGREEMENT”）,isenteredintoasofthis1stSeptember2015,byandbetweenthefollowingPARTIES:

Background

WHEREAS,THECLIENTisinthebusinessofprovidinginvestmentandequityfunding;and

WHEREAS,THECLIENTrequiresaserviceanddeemsittobeinitsbestinteresttoretainTHESERVICEPROVIDERtorendersuchservicesasmaybeneeded;and

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantssetforthinTHEAGREEMENT,thereceiptandsufficiencyofwhichareherebyacknowledged,thePARTIESheretoagreeasfollows:

1.TRANSACTIONMANAGEMENTSERVICES:

THECLIENTherebyretainsTHESERVICEPROVIDERasanindependentTransactionManagertoTHECLIENTandTHESERVICEPROVIDERherebyacceptsandagreestosuchretention.THESERVICEPROVIDERshallrendertoTHECLIENTsuchservicesassetforthinAppendix“A”,attachedheretoandbyreferenceincorporatedherein,andwillusebesteffortstoconductitsoperationsandprovideitsservicesinaprofessionalmannerandinaccordancewithgoodethicalpractice.

AllmaterialofferedbyTHECLIENTisexclusiveinformation.ThisinformationandanyreceivedfromTHESERVICEPROVIDERinthefuturedoesnotconstituteanoffer,solicitationorrecommendationtobuyortosellanysecuritiesforinvestment,noranoffer,solicitationorrecommendationofanyotherkind.Theinformationisgivensolelyforeducational-andinformationalpurposes,requestedbyTHESERVICEPROVIDER,exclusivelyforthepersonaluseofTHESERVICEPROVIDER

2.TERMOFAGREEMENT:

ThetermofthisAgreementshallbe12（Twelve）months,commencingonthedateofthisAgreement.

3.COMPENSATIONANDEXPENSES:

InfullconsiderationoftheservicestobeprovidedforTHECLIENTbyTHESERVICEPROVIDERasfullysetforthinAppendix“A”,THECLIENTagreestocompensateTHESERVICEPROVIDERinthemannersetforthinAppendix“B”.

Inaddition,THESERVICEPROVIDERshallbesolelyresponsibleforallexpensesanddisbursementsanticipatedtobemadeinconnectionwithitsperformanceunderTHEAGREEMENT,withexceptionoflegalfeesorchargesforlegalorcomplianceservices.

THECLIENTshallreimburseTHESERVICEPROVIDERforallexpensesanddisbursements,whichhavebeenpre-approvedinwritingandsignedbyTHEPROVIDER,incurredbyTHESERVICEPROVIDERonbehalfofTHECLIENTinconnectionwiththeperformanceofconsultingservicespursuanttoTHEAGREEMENT.

TheCLIENTshallpayinadvancebusinessclassflightsandhotelaccommodation（notlessthanstar）,fortheSERVICEPROVIDERanditsnominatedassociatedtoHongKongandChinainordertoconductthetransaction.ShouldtheCLIENTrequestanytravelfromtheSERVICEPROVIDERtotheissuingbank,thentheCLIENTwillalsopaythisinadvanceinasimilarmanner.

4.DUTIESANDOBLIGATIONSOFCLIENT:

（a）THECLIENTshallfurnishTHESERVICEPROVIDERwithcurrentinformationanddataasnecessaryforTHESERVICEPROVIDERtounderstandandbaseitsservicetoTHECLIENT,andshallprovidesuchcurrentinformationonTHECLIENT’Sproject/customerasismutuallyagreedisnecessary.

（b）THECLIENTshallberesponsibleforadvisingTHESERVICEPROVIDERofanyinformationorfactswhichwouldaffecttheaccuracyofanypriordatainformationtoTHESERVICEPROVIDER.

5.TERMINATION:

（a）THECLIENT’SrelationshipwithTHESERVICEPROVIDERhereundermaybeterminatedatanytimebymutualwrittenagreementofthepartieshereto.

（b）THEAGREEMENTshallterminateuponthedissolution,bankruptcyorinsolvencyofeitherParty.

（d）WithoutexcusingTHECLIENT’SobligationsunderSection5hereinabove.THESERVICEPROVIDERshallhavetherightanddiscretiontoterminateTHEAGREEMENTshouldTHECLIENTbefoundtohaveviolatedanylaw,ordinance,permitorregulationofanygovernmentalentity（materialbreach）,andshallmakethefundsavailableinaccordancewiththedirectionsofitsbank.

（e）Uponterminationofthisagreement,theCLIENTshallfullyindemnifytheSERVICEPROVIDERagainstanylossordamagessufferedbyeitherPartyduringthecourseoftheTransaction.

6.CONFIDENTIALITY:

THECLIENTwillnot,duringthetermofthisAgreement,disclose,withoutthepriorwrittenconsentorauthorizationofTHESERVICEPROVIDER,anyofsuchinformationtoanyexternalperson,foranyreasonorpurposewhatsoever.Inthisregard,THECLIENTagreesthatsuchauthorizationorconsenttodisclosemaybeconditioneduponthedisclosurebeingmadepursuanttoasecrecyagreement,protectiveorder,provisionofstatute,rule,regulationorprocedureunderwhichtheconfidentialityoftheinformationismaintainedinthehandsofthepersontowhomtheinformationistobedisclosedorincompliancewiththetermsofajudicialorderoradministrativeprocess.

THECLIENTrecognizesandacknowledgesthatithasandwillhaveaccesstocertainconfidentialinformationofTHESERVICEPROVIDERanditsaffiliatesandcustomersthatarevaluable,specialanduniqueassetsandpropertyofTHESERVICEPROVIDERandsuchaffiliates.THECLIENTwillnot,duringthetermofTHEAGREEMENTandforaperiodoffiveyearsthereafterdisclose,withoutthepriorwrittenconsentorauthorizationofTHESERVICEPROVIDER,anyofsuchinformationtoanyeternalperson,foranyreasonorpurposewhatsoever.

7.APPLICABLELAW:

ItistheintentionofthepartiesheretothatTHEAGREEMENTandtheperformancehereunderandallsuitsandspecialproceedingshereunderbeconstruedinaccordancewithandunderandpursuanttothelawsofEnglandandWalesandthatinanyaction,specialproceedingorotherproceedingthatmaybebroughtarisingoutof,inconnectionwithorbyreasonofthisAgreement,thesubstantivelawsofEnglandandWalesshallbeapplicableandshallgoverntotheexclusionofthelawofanyotherforum,withoutregardtothejurisdictiononwhichanyactionorspecialproceedingmaybeinstituted.

8.COUNTERPARTSANDFACSIMILESIGNATURE:

THEAGREEMENTmaybeexecutedsimultaneouslyintwoormorecounterparts,eachofwhichshallbedeemedanoriginal;butallofwhichtakentogethershallconstituteoneandthesameinstrument.ExecutionanddeliveryofTHEAGREEMENTbyexchangeoffacsimilecopiesbearingthefacsimilesignatureofapartyheretoshallconstituteavalidandbindingexecutionanddeliveryofTHEAGREEMENTbysuchparty.Suchfacsimilecopiesshallconstituteenforceableoriginaldocuments.INWITNESSWHEREOF,thepartiesheretohavedulyexecutedanddeliveredTHEAGREEMENT,effectiveasofthedatesetforthabove.

APPENDIX“A”

TRANSACTIONTERMSHEET

PROCEDURE

THECLIENThasarequirementtofundprojectsintheFarEast.THECLIENThasrequestedthatTHESERVICEPROVIDERundertakesTransactionManagementontheirbehalf.Thefollowingprocedureistobeadheredtobytheparties:

1.THECLIENTshallliaisewiththeCASHProviderfortheprovisionofInvestment/EquityFundsequatingtoapproximately€2,500,000,（TwoBillion,FiveHundredMillionEuros）toTHESERVICEPROVIDER.Thiswillberemittedonarollingbasisof€30,000,-€50,000,（ThirtytoFiftyMillionEuros）eachweek（7DayPeriod）.

2.THESERVICEPROVIDERshallreviewandprocesspaperworkfromTHECLIENTandnamed3rdpartiesandshallperformDueDiligenceonbanktobankbasistoensurecorrectdeliverytoTHESERVICEPROVIDERoftheInvestmentFunds.

3.THESERVICEPROVIDER,uponreceiptoftheInvestmentFundsistomakeallrequiredpaymentsofInvestmentFundsonbehalfofTHECLIENT.ThesepaymentsshallbemadeimmediatelyuponreceiptbyTHESERVICEPROVIDERofclearedfunds.

APPENDIX“B”

FEES

THESERVICEPROVIDERshallbecompensatedforservicesrenderedintheamountequatingto5%（FIVEPercentoffundsfacevalue）.Thesefundsshallbeprovidedonanon-recoursebasis,withoutset-off,deductionorcounterclaim.TheFeewillbedeductedfromthereceiptoffundsintotheSERVICEPROVIDERSaccountwithoutfurthernotice:
