1.0Introduction

ThePartieshaveagreedthatContractorshallperformRigServices,asandwhenrequired,attheSite,asdirectedbyCompany,forthedurationoftheContract.InreturnfortheprovisionofsuchServices,ContractorshallbereimbursedinaccordancewithSectionB5.

CCEDrealizesthattherearesomerigdesignsthathavebeenengineeredtobe“newgeneration”ofrig,（suchassupersingles,slingshots,etc）thatCCEDwillconsiderwithinthistender.

Listedbelowarethetwogeneraltypesofwellstobedrilledin2015-1016aspartofthescopeofworkofthistender:

1.BarikWell:

1.1.Drill12-1/4”verticalsurfaceholeandset9.5/8”casingat400meterMD.

1.2.Drill8-1/2”vertical/deviatedholeandset7”productioncasingat1500meterMD.

1.3.Thewellsarenormallypressured.

2.LAB/BuahWell:

2.1.Drill12-1/4”verticalsurfaceholeandset9.5/8”casingat850meterMD.

2.2.Drill8-1/2”vertical/deviatedholeandset7”productioncasingat2600meterMD.

2.3.Thewellsarenormallypressured.

2.0General

2.1DescriptionoftheServices

2.1.1ContractorshallperformtheServicesforCompanyinconnectionwithCompany’sdevelopment,appraisalandexplorationwells.Unlessotherwisespecified,theServicesshallbecontinuouslyavailableseven（7）daysperweekandtwenty-four（24）hoursperdayforthedurationoftheContract（2yearsPrimary+1yearoptionalwithsameT&C+1yearoptionalwithmutuallyagreeableT&C）.

2.1.2Contractorshallmanage,direct,superviseandcontroltheServicesdescribedinArticle3.0hereinandallassociatedobligationsandoperationsasdescribedinthisArticle2.0andshallassumetheobligations,liabilitiesandrightsasspecifiedintheContract.Consequently,exceptwhereexplicitlystatedasbeingprovidedbyCompanyherein,ContractorshallperformallServices,includingbutnotlimitedto:

a）Co-ordinate,organizes,controlandmonitortheServices;

b）HandleandtransportEquipmentandCompanyprovideditems,Materials,facilitiesandContractor’sPersonnelbetweenContractor’sfacilitiesandtheSiteandbetweenandaroundtheSiteincludingpreparationofdispatchnotesandtheprovisionofslings,bindersand/orfastenings,protectorsandallotherthingsnecessary;

c）MobilizepriortotheCommencementDateanddemobilizefollowingcompletionoftheServicesand/orterminationoftheContract;

d）Store,rig-up,rig-down,operate,inspectandcalibrateallEquipmentandCompanyprovidedItems,Materialsandfacilities;

e）SupportandadviceCompanyinorganizing,scheduling,controlling,monitoringandsupportingtheservicesprovidedbyothercontractorsandprovidereasonablesupportthatsuchpartiesrequiretoperformtheirrespectiveservices.

2.1.3Contractorshallbeabletodemonstratethatithastheinfrastructuretosupportandmaintaintherigworkingona365day/24hour/7daysperweekbasis. Thisdemonstrationshallincludebutnotbelimitedto:

a.Spareinventory

b.Maintenancesupport

c.Additionalcrewreplacements

d.HSEandManagementsystem

2.2ContractMobilization

2.2.1Commencementdateofthiscontractistargetedattheendof2014.ContractorshallmobilizeitsEquipment,Materials,Contractor’sPersonnelandfacilitiessuchthatitisreadytofulfillitsobligationsontheCommencementDate.SuchobligationsshallincludeallnecessaryactionstoensurethatallContractorsEquipment,Materials,PersonnelandfacilitiesrequiredtoperformtheServicesinaccordancewiththeContractarereadytocarryouttheServicesimmediatelyontheCommencementDate.

2.2.2Withinone

（1）MonthfromtheEffectiveDate,ContractorshallsubmittoCompanyfortheapprovalofamobilizationplan,outliningallkeyactivitiesthatwillbeexecutedtomobilizeandrigupbytheCommencementDate.AfterCompanyapprovalofsuchplan,anysignificantdelayincompletionofanyofthemilestonesinthisplanshallbeconsideredabreachofContractorobligationsunderthisContract.

2.2.3ContractorshallsubmitanauditplancoveringallContractrequirementstoCompanynotlessthanfourteen（14）dayspriortothedaterequestedbyContractorfortheperformanceoftheCommencementAudit.TheCommencementAuditshallbeperformednotlessthanfourteen（14）dayspriortotheCommencementDate.CompanyshallevaluateandverifytheextenttowhichContractorhasfulfilledallitsobligationsundertheContractandisreadyandabletocommenceoperationsinaccordancewithCompany’srigcommissioningandacceptancechecklistassetforthinB4,Appendix5.

2.2.4Companymayelect,atitssolediscretion,nottoperformtheCommencementAuditreferredtoinArticle2.2.3,howeveritisexpresslyunderstoodthatCompany’sdecisionnottoperformsuchCommencementAuditdoesnotrelieveContractorfromhisobligationsundertheContract.

2.2.5ContractorshallonlycommencetheServicesandbeconsideredoperationalwhenCompanyhasconfirmeditsacceptanceinwriting,afterallmobilizationrequirementsstipulatedintheContracthavebeensatisfied.

2.3ContractDemobilization

2.3.1UponterminationoftheContract,ContractorshalldemobilizeContractor’sEquipment,Materials,facilitiesandPersonnelfromtheSiteandanylandand/orfacilitiestemporarilyallocatedtoContractorinthemostexpeditiousmannerandinaccordancewiththeContract.

2.3.2IfonlylandwashandedovertoContractor,ContractorshallindicateifContractorintendstoleavebarebuildingsandfixedstructuresinplaceandifsowhichones.Companyshallthenhavetherighttotakeoveranybuildingsandfixedstructuresoffered,ortorequestContractortoremovethemandrestorethelandtothestateitwasinwhenitwashandedovertoContractor.

2.3.3Anycostassociatedwithmaintaining,removingorrestoringtheland,buildingsandstructuresshallbeforContractor’saccount.

2.3.4ContractorshallnotcommencedemobilizationuntilcompletionoftheServicestothesatisfactionoftheCompany.IfinstructedbyCompany,ContractorshallperformtheServicesconcurrentlywithCompany’ssucceedingContractorforaperiodthatshallnotexceedone

（1）Monthbeyondtheterminationdate.

2.4Facilitiesandsupport

2.4.1Contractorshallprovidesufficientmanagement,administrativeandsupportServicesandfacilities,includingofficespaceandEquipment,managementsupport,administrationandaccountancyservices,logisticsandsupervisoryservicesasarerequiredtoadequatelysupporttheServices.

2.4.2ContractorshallprovidesufficientoperationalfacilitiesandServicessuchasmaybeusedforstoring,maintaining,inspecting,repairingandoverhaulingContractor’sEquipmentand/orMaterials,includingnecessarycoveredandopenstorageandworkareas.

2.4.3Contractorshallprovidesuchfacilities,utilitiesandServicesofwhatevernaturerequiredtomanage,administerandsupporttheServices.Thisshallincludecampareas,industrialareas,campbuildingsandstructures,industrialbuildings（includingoffices,workshops,storesandwarehouses）,gradingoflandforsuchbuildingsandstructures,fencing,potablewatersupplies,sewagedisposal,telephoneandtelexservicesandotherutilitiesrequired.

2.4.4ContractorshallensuresufficientEquipmentisavailableincludingsufficientback-upEquipmentincaseofbreak-downsorfailurestoensurecontinuousoperations.

2.5Transportation

2.5.1AllCompanyandothercontractorstransportrequirementsaremanagedbythirdpartytransportationcompanies.

2.5.2ContractorshallberesponsiblefortheactivitiesoutlinedinArticle2.1.2b）andContractorshallprocureallitstransportrequirementsfortheContract,noticetobeprovidedtoCompanyinadvance.

2.6AbnormalorHazardousConditions

2.6.1ContractorshallimmediatelynotifyCompanyifanyabnormalorhazardousconditionisencountered,whileexertingeveryreasonableefforttoovercomesuchcircumstancesinaccordancewithagreedoperationsproceduresand,intheabsenceofagreedwrittenprocedures,inaccordancewithGoodIndustryPractice.

2.6.2Intheeventofwellcontrolproblems,includinglostcirculation,wellboreinfluxorunexpectedhighpressureatsurface,ContractorshalltakeimmediateprecautionaryactioninaccordancewithGoodIndustryPracticewellcontrolproceduresandimmediatelynotifyCompany.

2.7Quality

2.7.1ContractorshallbecertifiedtoISO9001orISO/TS29001forallactivitiesrelatedtotheContract.ContractorshallmaintaincertificationforsuchsystemthroughouttheOper
