1.1Legal&EmploymentRequirements

▪SUPPLIERS,allsub-suppliers,andserviceprovidersshallcomplywithalllocalandnationallawsandregulationsofthecountriesinwhichtheyareoperating,aswellastheindustrypractices.Shouldthelegalrequirementsconflictwithlocalorindustrypractices,theSUPPLIERmustmeetthelegalrequirementsoflocalandnationallaws.

▪SUPPLIERSshallguaranteethatmerchandisesoldtoZEBCOdoesnotinfringeuponanypatents,trademarks,orcopyrightsofothers.AttherequestofZEBCO,SUPPLIERSmustprovideZEBCOwithanyapplicablelicensesand/oragreementsforsellingormanufacturingmerchandisesoldtoZEBCO.

▪SUPPLIERagreestoindemnifyandsaveharmlessZEBCO,itsofficers,agents,successors,assignsandcustomersagainstalldamages,claims,demands,attorney’sfees,andcostsofanykindforactualorallegedinfringementofanytrade-name,trade-mark,andpatentorpatents（unlessthegoodsorderedareofZEBCO’Sdesign）becauseofthepossession,saleoruseofanymaterialspecifiedherein.

▪UnlessauthorizedbyZEBCOinwritingthenameofZEBCO,itsparent,subsidiariesand/oranyaffiliatedcorporationsoranyoftheirtrademarksorpatentsshallnotbeusedbySUPPLIERorsub-suppliers.IfthematerialspecifiedonanyPOorengineeringspecificationispeculiartoZEBCO’Sdesign,eitherasanassemblyorcomponentpartofanyassembly,orifthematerialbearsZEBCO’STrade-Marksand/orIdentifyingMark,itshallnotbeartheTrade-MarkorotherdesignationoftheMarkerorSUPPLIERandsimilarmaterialpeculiartoZEBCO’SdesignorhearingitsTrade-MarkorIdentifyingMarkshallnotbesoldorotherwisedisposedoftoanyoneotherthanZEBCO.

▪SUPPLIERSandsub-suppliersshallcompensateemployeesbyprovidingwagesandbenefitsthatcomplywithlocalandnationallawsofthecountryinwhichtheSUPPLIERisoperating.

▪SUPPLIERandsub-supplierswillcomplywithalllaws,regulationsandrequirementsofanygovernmentaloradministrativebody（including,withoutlimitationtheUnitedStatesFederalTradeCommission,UnitedStatesInternalRevenueService,andtheUnitedStatesConsumerProductSafetyCommission）whichmaybeapplicabletothemanufacture,advertising,merchandising,packaging,publicity,promotion,sale,distribution,shipment,importorexportofanyGoodsoritspackaging.Inaddition,SUPPLIERshallrespondpromptlyandfullytoanyinvestigationorrecallofanyGoodsbyanysuchbodyandshallindemnifyandholdharmlessBuyerfromallexpensesassociatedtherewith,including,withoutlimitation,reasonableattorneysfeesandcosts.

▪SUPPLIERandsub-supplierswillnotusechildlabor.Theterm“child”referstoapersonyoungerthaneighteen（18）,（orsixteen（16）wherelocallawallows）,or,ifhigher,thelocallegalminimumageforemploymentortheageforcompletingcompulsoryeducation.IfSUPPLIERemploysyoungpersonswhodonotfallwithinthedefinitionof“children”SUPPLIERwillalsocomplywithanylawsandregulationsapplicabletosuchpersons.

▪SUPPLIERandsub-supplierswillnotuseanyforcedorinvoluntarylabor,whetherprison,bonded,indenturedorotherwise.

▪SUPPLIERandsub-supplierswilltreateachemployeewithdignityandrespect,andwillnotusecorporalpunishment,threatsofviolenceorotherformsofphysical,sexual,psychologicalorverbalharassmentorabuse.

▪ZEBCOrecognizesthatculturaldifferencesexistanddifferentstandardsapplyinvariouscountries.However,ZEBCObelievesthatalltermsandconditionsofemploymentshouldbebasedonanindividual’sabilitytodothejob,notonthebasisofpersonalcharacteristicsorbeliefs.SUPPLIERandsub-supplierswillnotdiscriminateinhiringandemploymentpractices,includingsalary,benefits,advancement,discipline,terminationorretirement,onthebasisofrace,religion,age,gender,nationality,socialorethnicorigin,sexualorientation,politicalopinion,ordisability.

▪W.C.BradleyandZEBCOholditsemployeesandSUPPLIERStothehighestofethicalstandards.SUPPLIERSandsub-suppliersareencouragedtonotoffergiftstoZEBCOemployees.ZEBCOemployeesmaynotreceivegiftsfromSUPPLIERSinexcessof$50.00invalue.ZEBCOemployeeswillberequiredtoreportanygiftstoZEBCO,whichmustbeapprovedbyexecutivemanagement.AnySUPPLIERwhooffersexcessivegifts,monetaryorotherwise,toaZEBCOemployeemaybedemotedtoprobationarystatusorevenrejectedasaSUPPLIER.

1.2AnnualPricing

▪ZebcorequiresallSupplierstoholdpricesfromOctober1toSeptember30ofeachyear

▪PricesmustbefinalizedandconfirmedeachyearbeforeMay1,andtheconfirmedpriceswillthentakeaffectonallPurchaseOrdersissuedfromOctober1toSeptember30unlessotherwiseagreedtoinwritingbybothSupplierandZebco.

▪NopricechangewillbeacceptedduringthisperiodunlessmutuallyagreedtoinwritingbytheDirectorofSourcingfortheBuyerandtheSeller.

▪AllpricingmustbeconfirmedbytheZebcoSourcingDepartmentinwriting.

1.3FormalQuoteProcess

▪Allproducts,tooling,samples,andanyotheritemsmustbequotedusingtheSupplierQuoteForm.

▪TheformalquotationmustbereceivedandapprovedbytheZebcosourcingdepartmentpriortoanypurchases,toolingstart,oranyexpenditure.

▪TheSupplierQuoteFormistheonlydocumentthatwillbehonoredastheactualquote.Suppliersshouldnotquoteoverthephoneorthroughemaildocuments.

▪TheSupplierQuoteFormshouldbesenttotheappropriateZebcocontact,withacopytotheZebco.sourcing@emailaccount.

1.4SupplierSet-up

▪SUPPLIERSofZEBCOproductandserviceswillberequiredtocompleteaSUPPLIERSet-UpformpriortonewordersbeingplacedwithaSUPPLIER.

▪TheZEBCOSourcingdepartmentwillprovidenewSUPPLIERSwithacopyoftheform.Inaddition,anycurrentSUPPLIERSwhohavenotcompletedaSUPPLIERSet-UpformarerequestedtocompleteacopyoftheformandreturntotheSourcingdepartment.

▪Atanytimepriorto,orafterordersareplaced,ZEBCOorathirdpartyauditormayrequesttoaudittheSUPPLIER’Sorsub-supplier’smanufacturingfacilitytoconfirmthatinformationprovidedbytheSUPPLIERisaccurateandcomplete.Auditorsmayalsocheckfactoriestoconfirmconditionsandproceduresrelatedtosafety,security,employeerights,andemployeerecordsallcomplywiththelawsandregulationsofthecountryofmanufactureandwithZEBCO’SStandardforSUPPLIERandGeneralSourcingPolicies.

1.5S.T.A.R.S.SupplierEvaluation

▪S.T.A.R.S.istheStrategicandTacticalAssessmentReportforSuppliers.ThepurposeforthisreportistohelpZebcoSUPPLIERSmaintaincontinuedimprovementinyourbusinesswithZebco.S.T.A.R.S.willshowustheareaswherewecansucceedandgrowtogether.AS.T.A.R.S.reportwillbesenttoeachsupplieronamonthlybasis.Periodicmeetingsandphoneconversationswilltakeplaceasbothtravelpermitsandthesituationrequires.Thereportisdividedintofivesections:

incomingquality,MaterialDiscrepancyReports（MDR）andCorrectiveActionReports（CAR）,ontimeshipments,timingofshippingdocuments,andastatusoftheReturntoVender（RTV）account.

▪IncomingQuality:

ThissectionreportstherateofacceptanceforthegoodsZebcoreceives.Incomingqualityhastwomethodsofrating,POlineitemsacceptedandunitsaccepted.Itisimportanttolookateachacceptancerate.

▪Forexample,PO#1234hastenlineitems.Thefirstlineitemisfor100,000unitsandallareaccepted,whiletheremainingninePOlineitemseachfor100unitswereallrejected.Theunitacceptanceratewouldbe99%butthePOlineitemacceptanceratewouldbe10%.

▪NSR/CAR:

ThissectionofthereportgivesanupdateonNon-StandardReceiptreports（NSR）andCorrectiveActionReports（CAR）.AllitemsthatarriveatZebcoareinspected.IfanitemdoesnotmeettheZebcostandard,anNSRwillbesenttoyoubytheBuyer/Planner.ForeveryNSRsenttoyou,aCARisrequiredfromyouinresponse.AnNSRwillhavean“open”statusuntilthecorrespondingCARhasbeenapprovedbytheZebcoQualitydepartment.AftertheCARhasbeenapproved,theNSRMDRwillshowastatusof“closed”.MoreinformationonthisprocesscanbefoundinSection5.0QualityPoliciesofthismanual.

▪TheSTARSreportwillshowthenumberofopenandclosedNSR’s,aswellasthenumberofCAR’sapprovedorstillintheprocessofbeingapproved.

▪OnTimeShipments:

Itisimportantthatitemsareshippedontime.ThissectionofthereportcomparesthepromiseddeliverydateonthePOwiththeactualdeliverydate.Ifitemsaredeliveredwithinsevendaysofthepromiseddeliverydate,theywillnotbecountedlate.Forexample,itemswithaJanuary1deliverydatemustarriveJanuary7.Iftheyaredeliveredon（orafter）January8,theywillbecountedaslate.Moreinformationon
