1.定义与解释
1.1定义
"LIBOR"meanstheBritishBankers'Association（the"BBA"）InterestSettlementRateforU.S.DollarsfortherelevantInterestPeriodwhichappearsonthe“3750”page,orsuchotherpageforthepurposeofdisplayingsuchrateofinterest,oftheReutersscreenontheQuotationDayforsuchperiod.Iftheagreedpageisreplacedorserviceceasestobeavailable,theLendermayspecifyanotherpageorservicedisplayingtheappropriaterateafterconsultationwiththeBorrower.
“伦敦银行同业拆借利率”是指英国银行家协会（以下简称为“BBA”）针对美元在相关计息期的结算利率，相关计息期详见第“3750”页或路透社为公布该利率于计息期报价日在银屏显示的其它页面。
如果上述页面被替换或服务终止，贷款行与借款人协商后可指定另一页面或服务以公布合适利率。
"Loan"meansaloanmadeortobemadeundertheFacilityortheprincipalamountoutstandingforthetimebeingofthatloan.
“贷款”是指已进行的或即将进行的融资贷款或当时所欠付的本金金额。
"Margin"meansTwopointEightpercent（2.8%）perannum.
“保证金”为每年百分之二点八（2.8%）。
"MaterialAdverseEffect"means,inanyrespectofanyeventorcircumstances（orcombinationthereof）,aneffectwhichmateriallyimpairs,orisreasonablylikelymateriallytoimpair:
“重大不利影响”是指对以下内容的任何方面造成或可能造成重大损害的任何事件或情况（或二者兼备）：
（a）theabilityoftheBorrowertoperformandcomplywithanyofitspaymentorothermaterialobligationsunderthisAgreement;
借款人履行并遵守本协议项下有关付款或其它重要义务的能力;
（b）theabilityoftheBorrowertoperformandcomplywithitsmaterialobligationsundertheContract;
借款人履行并遵守本合同项下重要义务的能力；
（c）thebusiness,operationorfinancialconditionoftheBorrowerwhich,ineachcase,is,orcouldreasonablybeexpectedtobe,materiallyprejudicialtotheinterestsoftheLenderunderorinconnectionwiththisAgreement;
借款人的业务、经营或财务状况在不同情况下对本协议项下或与本协议有关的贷款行的利益构成或可能构成重大损害；
（d）thevalidity,enforceabilityorpriorityofanySecurityinterestpurportedtobecreatedunderthisAgreementortheGuaranteeinamannerortoanextentthatisorwouldbeprejudicialtotheabilityoftheLendertoenforceanySecurityinterest.
在本协议项下设立的任何担保物权的有效性、可执行性或优先权，或可能或在一定程度上对贷款行行使任何担保物权的能力造成损害的担保。
"Month"meansaperiodstartingononedayinacalendarmonthandendingonthenumericallycorrespondingdayinthenextcalendarmonth,exceptthat:
“月”是指自公历月份的一天起至下一个公历月份相应日期结束的期限，下列情况除外：
（a）subjecttoparagraph（c）below,ifthenumericallycorrespondingdayisnotaBusinessDay,thatperiodshallendonthenextBusinessDayinthatcalendarmonthinwhichthatperiodistoendifthereisone,orifthereisnot,ontheimmediatelyprecedingBusinessDay;
根据下文第（c）条，如果相应日期为非工作日，且在本月范围内，则该期限顺延至该公历月份的下一个工作日，或者，如果不在本月范围内，则顺延至最近的一个工作日；
（b）ifthereisnonumericallycorrespondingdayinthecalendarmonthinwhichthatperiodistoend,thatperiodshallendonthelastBusinessDayinthatcalendarmonth;and
如果相应日期不在该期限截止日内，则该截止日应该为该公历月的最后一个工作日；以及
（c）ifanInterestPeriodbeginsonthelastBusinessDayofacalendarmonth,thatInterestPeriodshallendonthelastBusinessDayinthecalendarmonthinwhichthatInterestPeriodistoend.如果计息期自公历月份的最后一个工作日开始计算，则该计息期须在其即将终止的公历月份
最后一个工作日结束。
TheaboveruleswillonlyapplytothelastMonthofanyperiod.
以上规则仅适任何时期的最后一个月。
"Party"meansapartytothisAgreement.“缔约方”指本协议的一方。
"PrepaymentPremium"meansaprepaymentpremiumpayablebytheBorrowertotheLenderinaccordancewithClause7.3.
“提前还款额”是指借款人根据第7.3条支付给贷款行的提前还款额。
"QuotationDay"means,inrelationtoanyperiodforwhichaninterestrateistobedetermined,twoBusinessDaysbeforethefirstdayofthatperiod.
“报价日”与利率确定日的任何期限有关，比该期限首日提前两个工作日。
"RepaymentDate"meansthedatefallingOne
（1）yearandSix（6）MonthsafterthedateofthefirstUtilisation.
“还款日期”是指首次提款日期后的一
（1）年零六（6）个月以后的日期。
"Security"meansamortgage,charge,pledge,lienorothersecurityinterestsecuringanyobligationofanypersonoranyotheragreementorarrangementhavingasimilareffect.
“担保”是指任何按揭、押记、质押、留置权或其它保障任何人的任何义务的担保权益或任何种类的协议或具有类似效果的安排。
"Tax"meansanytax,levy,impost,dutyorotherchargeorwithholdingofasimilarnature（includinganypenaltyorinterestpayableinconnectionwithanyfailuretopayoranydelayinpayinganyofthesame）.
“税费”是指任何税费、税赋、税款、税收或其他具有类似性质的征收或预提（包括任何因未能支付或迟延支付任何上述税项而应付的罚金或利息）。
"TaxDeduction"meansadeductionorwithholdingfororonaccountofTaxfromapaymentunderthisAgreement.
“税额扣减”是指在本协议项下从付款中扣除或扣缴的税收金额。
"UnpaidSum"meansanysum（includingbutnotlimitedto,principal,interest,and/orfees）dueandpayablebutunpaidbytheBorrowerunderthisAgreement.
“未支付金额”是指本协议项下到期应付但借款人却未支付的任何款项（包括但不限于本金、利息和/或费用）。
"U.S.Dollar","USD"or"US$"meansthelawfulcurrencyoftheUnitedStatesofAmerica.
“美元”，“USD”或“US$”是指美利坚合众国的法定货币。
"Utilisation"meansautilisationoftheFacility.“提款”是指该贷款的提取。
"UtilisationDate"meansthedateofaUtilisation,beingthedateonwhichtherelevantLoanistobemade.
“提款日期”是指贷款的提款日期，即办理有关贷款的日期。
"UtilisationRequest"meansanoticesubstantiallyintheformsetoutinSchedule1.
“提款申请”是指附表1中列明的相关格式的通知。
1.2Construction解释
（a）Unlessacontraryindicationappears,anyreferenceinthisAgreementto:
除非有相反指示，否则本协议中的任何参考应解释如下：
（i）the"Lender",the"Borrower"orany"Party"shallbeconstruedsoastoincludeitssuccessorsintitle,permittedassignsandpermittedtransferees;
“贷款行”，“借款人”或任何“缔约方”应解释为包括其权利继承人、许可继受人及和许可受让人;
（ii）"assets"includespresentandfutureproperties,revenuesandrightsofeverydescription;
“资产”包括当前及未来的各类财产、收入和权利;
（iii）"indebtedness"includesanyobligation（whetherincurredasprincipalorassurety）forthepaymentorrepaymentofmoney,whetherpresentorfuture,actualorcontingent;
“债务”包括任何付款或还款义务（不论本金或保证金），不论是当前还是将来的实际或或有负债;
（iv）a"person"includesanyindividual,firm,company,corporation,government,stateoragencyofastateoranyassociation,trust,jointventure,consortiumorpartnership（whetherornothavingseparatelegalpersonality）;
“人”包括任何个人、商号、公司、企业、政府、国家或一个国家机构、或任何协会、信托、合资企业、财团或合作企业（不论其是否具有独立的法人资格）;
（v）a"regulation"includesanyregulation,rule,officialdirective,requestorguideline（whetherornothavingtheforceoflaw）ofanygovernmental,intergovernmentalorsupranationalbody,agency,departmentorofanyregulatory,self-regulatoryorotherauthorityororganisation;and
“规定”包括任何政府、政府间或超国家团体、代理、部门或任何监管、自我监管或其它机关或组织的法规、规则、官方指令、要求或指导方针；以及
（vi）aprovisionoflawisareferencetothatprovisionasamendedorre-enacted.
法律规定作为修订或重新规定的参考。
（vii）wordsindicatingthesingularwillincludethepluralandviceversawherethecontextrequires.本协议中，单数用语亦包括复数，反之亦然。
（b）Unlessacontraryindicationappears,areferenceto"determines"or"determined"usedinthisAgreementmeansadeterminationmadeintheabsolutediscretionofthepersonmakingthedetermination.
除非有相反指示，否则本协议中使用的“决定”或“已决定”均指决定人有绝对酌情权做出的决定。
（c）Section,ClauseandScheduleheadingsareforeaseofreferenceonly.
本协议章节、条款及附表的标题仅供查阅方便之用。
（d）ADefault（otherthananEventofDefault）is"continuing"ifithasnotbeenremediedorwaived.
如果违约行为未经纠正或弃权，则该违约行为（违约事件除外）则视为“继续存续”。
1.3ThirdPartyRights第三方利益
ApersonwhoisnotaPartyhasnorightundertheContracts（RightsofThirdParties）Act1999toenforceortoenjoythebenefitofanytermofthisAgreementexceptasotherwisespecificallyprovidedinthisAgreement,buteventhenthePartiesheretoshallatalltimesbeentitledtorescindorvarythisAgreementwithouttheconsentofthepersonconcerned.
根据1999年合同法（第三方权益）之规定，除非本协议中另有规定，非缔约方无权执行或享有本协议项下任何条款的权益，但即使本协议各缔约方未经当事人同意，在任何时间均有权撤销或变更本协议。
2.THEFACILITY贷款
2.1TheFacility贷款
（a）SubjecttothetermsofthisAgreement,theLendermakesavailabletotheBorroweratermloanfacilityinanaggregateamountofThreeHundredThousandU.S.Dollars（US$300,000.-）.
根据本协议规定的条款，贷款行同意向借款人提供总额为三十万美元（US$300,000.-）的定期贷款。
3.PURPOSE用途
3.1Purpose用途
TheBorrowershallapplyallamountsborrowedbyitunderthisAgreementsolelyforthepurposeoffinancingitsgeneralworkingcapitalrequirements.
借款人应将其在本协议项下借贷的所有款项仅用于满足其一般营运资本需求。
3.2Monitoring监控
TheLenderisnotboundtomonitororverifytheapplicationofanyamountborrowedpursuanttothisAgreement.
贷款行无须监视或验证其根据本协议借贷的任何金额的款项使用。
4.CONDITIONSOFUTILISATION提款条件
4.1ConditionsPrecedenttotheInitialUtilisation初次提款前的先决条件
PriortoandasconditionsprecedenttotheInitialUtilisationhereunder,thefollowingdocumentsandevidenceshallhavebeenreceivedbytheLenderinformandsubstancesatisfactorytotheLender:
在初次提款之前，贷款行应收到满足其格式及内容要求的下述文件及证据：
（a）ArticlesofIncorporation.Acertifiedcopyofthe
