NCNDA-IMFPA-TEMPLATE1

INTERNATIONALCHAMBEROFCOMMERCE（I.C.C400/500/600）monbenefitofthepartieshereto,includingtheiraffiliates,subsidiaries,stockholders,partners,co-ventures,tradingpartners,andotherassociatedorganizations（hereinafterreferredtoasAffiliates）.NOWTHEREFOREinconsiderationofthemutualpromises,assertionsandcovenantshereinandothergoodandvaluableconsiderations,thereceiptsofwhichisacknowledgedhereby,thepartiesherebyagreeasfollows:

1.TERMSANDCONDITIONSA.Thepartieswillnotinanymannersolicit,noracceptanybusinessinanymannerfromsourcesortheiraffiliates,whichsourcesweremadeavailablethroughthisagreement,withouttheexpresspermissionofthepartywhomadeavailablethesourceand,B.Thepartieswillmaintaincompleteconfidentialityregardingeachotherbusinesssourcesand/ortheirAffiliatesandwilldisclosesuchbusinesssourcesonlytothenamedpartiespursuanttotheexpresswrittenpermissionofthispartywhomadeavailablethesource,and,C.Thattheywillnotinanyofthetransactionsthepartiesaredesirousofenteringintoanddo,tothebestoftheirabilitiesWetheundersignedherewithreferredasthe,underpenaltyofperjurydoherebyirrevocablyconfirmandirrevocablyaccepttopayallintermediariesandfeeholdersatthesametimeandinamannerasthesellerisbeingpaidforeachandeverytransactionofthiscontractuptothecompletionofthecontractplusrolloversandextensionsandinaccordancewiththebankdetailstobespecifiedinthehardcopiesofthiscontract.We,theBUYER,irrevocablyconfirmthatwewillorderanddirectourbanktoendorseautomaticpaymentorderstothebeneficiariesnamedbelow;furthermore,We,theBUYER,confirmthatallpayordersshallautomaticallytransferfundsasdirectedintoeachbeneficiariesdesignatedbankaccountwithin1（one）dayafterthedateofclosingandcompletionofeachandeveryshipmentoftheproductduringthecontracttermplusany/orextensionsandrolloverofthespecifiedcontract.Forthepurposeofclarity,weconfirmthattheclosingandcompletionofeachandeveryshipmentshallbedeemedtotakeplacewhentheletterofcreditissuedbythebuyerhasbeendrawndownatthecountersoftheissuingbank.We,BUYER,agreestoprovideallbeneficiarieswithwrittenevidenceofthepayorderslodgedwithourbanktogetherwithacknowledgementsoftheiracceptance.Furthermore,ourbankshallbeinstructedtoprovidedulysignedandstampedacknowledgementofthisinstructionassetoutintheannex.Formingpartofthisagreement.ItisunderstoodthatforthepurposesofthisMasterFeeProtectionAgreement,ourbankshallbethesamebankandthisIMFPAactsasanintegralpartofit.assuretheotherthatthetransactioncodesestablishedwillnotbeaffected.D.Thattheywillnotdisclosenames,addresses,e-mailaddress,telephoneandtele-faxortelexnumberstoanycontactsbyeitherpartytothirdpartiesandthattheyeachrecognizesuchcontractsastheexclusivepropertyoftherespectivepartiesandtheywillnotenterintoanydirectnegotiationsortransactionswithsuchcontractsrevealedbytheotherpartyandE.Thattheyfurtherundertakenottoenterintobusinesstransactionwithbanks,investors,sourcesoffundsorotherbodies,thenamesofwhichhavebeenprovidedbyoneoftheF.Partiestothisagreement,unlesswrittenpermissionhasbeenobtainedfromtheotherparty（ies）todoso.Forthesaleofthisagreement,itdoesnotmatterwhetherinformationobtainedfromanaturaloralegalperson.Thepartiesalsoundertakenottomakeuseofathirdpartytocircumventthisclause.G.ThatintheeventofcircumventionofthisAgreementbyeitherparty,directlyorindirectly,thecircumventedpartyshallbeentitledtoalegalmonetarypenaltyequaltothemaximumserviceitshouldrealizefromsuchatransactionplusanyandallexpenses,includingbutnotlimitedtoalllegalcostsandexpensesincurredtorecoverthelostrevenue.H.Allconsiderations,benefits,bonuses,participationfeesand/orcommissionsreceivedasaresultofthecontributionsofthepartiesintheAgreement,relatingtoanyandalltransactionswillbeallocatedasmutuallyagreed.I.ThisAgreementisvalidforanyandalltransactionbetweenthepartieshereinandshallbegovernedbytheenforceablelawinAllCommonwealthCountrys,EuropeanUnionCountrys,USACourts,orunderSwissLawinZurich,intheeventofdispute,thearbitrationlawsofstateswillapply.J.Thesigningpartiesherebyacceptsuchselectedjurisdictionastheexclusivevenue.ThedurationoftheAgreementshallperpetuateforfive（5）yearsfromlastdateofsigning.2.AGREEMENTTOTERMSA.SignaturesonthisAgreementreceivedbythewayofFacsimile,Mailand/orE-mailshallbeanexecutedcontract.AgreementenforceableandadmissibleforallpurposesasmaybenecessaryunderthetermsoftheAgreement.B.AllsignatoriesheretoacknowledgethattheyhavereadtheforegoingAgreementandbytheirinitialsandsignaturethattheyhavefullandcompleteauthoritytoexecutethedocumentforandinthenameofthepartyforwhichtheyhavegiventheirsignature.WetheundersignedbeingBUYERorthesellernamedlegallyauthorizedrepresentativeasstatedwithinthesignedandlegallybindingmaintransaction,contractunconditionallyagreeandundertaketoapproveandoriginateallpaymentsinUSDcurrencytoallbeneficiariesnamedbelowastheirrightfulandpayablecommissions.Thisagreementalsoactsasarecordconfirmingthecommissionamountsforeachnamedbeneficiaryassetoutbelow:

-TERMCONDITIONS:

Thismasterfeeprotectionagreementcoverstheinitialcontractandshallincludeanyrenewals,extensions,rollovers,additionsoranynewortransfercontractanyhoworiginatedfromthistransactionbecauseoftheaboveintermediariesorchangingcodesoftheinitialcontractenteredintobetweentheBUYERandSELLER.Thismasterfeeprotectionagreementandanysubsequentlyissuedpayordersshallbeassignable,transferableanddivisibleandshallnotbeamendedwithouttheexpresswrittenandnotarizedconsentofthereceivingbeneficiary.Allpartiesagreeneithertocircumventnortoattemptcircumventeitherforthetransactionofthiscurrentcontractorinthefutureforaperiodoffive（5）yearsfromthedateoftheexecutionofthisfeeprotectionagreement.Thisdocumentbindsallparties,theiremployees,associates,transfereesandassigneesordesignees.Allfaxedand/ore-mailedsignaturesshallbeconsideredasoriginalsignaturesforthepurposeofbindingallpartiestothisagreement.Thisdocumentmaybesignedinanynumberofcounterpartsallofwhichshallbetakentogetherandshallconstituteasbeingonethesameinstrument.Anypartymayenterintothisdocumentandtheagreementconstitutedtherebybysigninganycounterpartanytime,dateorperiodmentionedinanyprovisionofthisdocumentshallonlybeamendedbyagreementinwritingandsignedoffbyallpartiesconcerned.Furthermore,weagreethatanyandallcommissionsdueshallbepaidtothebeneficiaryasaresultofanyextensionorrollsofthecontractandthatweshalleffectallnecessarydocumentationwithourbankwithoutanyunduedelaystoensuresuchcommissionsandpaidwithinthetermsoftheagreement.PARTIALINVALIDITY:

Theillegality,invalidityandnon-enforceableprovisionofthisdocumentunderthelawsofanyjurisdictionshallnotaffectitsillegality,validityorenforceabilityunderthelawofanyotherjurisdictionorprovision.GOVERNINGLAWANDJURISDICTION:

ThisdocumentshallbegovernedconstruedinaccordancewithcurrentEnglishorI.C.C400/500/600signedbetweenpartnersNCNDlaws.ARBITRATION:

Allpartiesagreetoreferanydisputesbetweenthepartiesarisingoutoforinconnectionwiththisagreementincludinganyquestionsregardingitsexistence,validityorterminationtoarbitrationrulesoftheinternationalarbitrationcentre（I.A.C）.TheappointedarbitratorshallholdtheproceedingsinanycountrychosenbythepartiesandtherulesoftheIACshallapply.Thisdocumentissignedandacceptedbypartiesnamedbelowastobeincludedinthemaincontract.Acceptedandagreedwithoutchange（Electronicsignatureisvalidandacceptedashandsignature）EDT（ELECTRONICDOCUMENTTRANSMISSIONS）1.EDT（Electronicdocumenttransmissions）shallbedeemedvalidandenforceableinrespectofanyprovisionsofthisContract.Asapplicable,thisagreementshallbe:

-IncorporateU.S.PublicLaw106-229,ElectronicSignaturesinGlobalNationalCommerceActorsuchotherapplicablelawconformingtotheUNCITRALModelLawonElectronicSignatures（2019）2.ELECTRONICCOMMERCEAGREEMENT（ECE/TRADE/257,Geneva,May2019）adoptedbytheUnitedNationsCentreforTradeFacilitationandElectronicBusiness（UN/CEFACT）.3.EDTdocumentsshallbesubjecttoEuropeanCommunityDirectiveNo.95/46/EEC,asapplicable.EitherPartymayrequesthardcopyofanydocumentthathasbeenpreviouslytransmittedbyelectronicmeansprovidedhowever,thatanysuchrequestshallinnomannerdelaythepartiesfromperformingtheirrespectiveobligationsanddutiesunderEDTinstruments.--TOTALCOMMISSIONSHALLBEPAIDBYTHEBUYERASFOLLOWS:

-Theamountofdeliveredrefineryshouldbesettledashereinstatedtobetransferredintotheaccountasfollows:
