MasterCollateralandIntercreditorAgreement股东及债权人条约doc

MasterCollateralandIntercreditorAgreement股东及债权人协议-

（i）ContinuedEffectiveness.TheJuniorCreditorsherebyagreethattheirobligationshereundershallbecontinuing,absoluteandunconditionalandnotsubjecttoanyreduction,limitation,impairment,termination,defenseorrecoupmentwhatsoeverbyreasonof,orbeotherwisediminishedby,anyofthefollowing:

（a）anyextension,modificationorrenewalof,orindulgencewithrespectto,orsubstitutionfor,theSeniorDebtoranypartthereoforanyagreementrelatingtheretoatanytime;（b）anyfailureoromissiontoperfectormaintainanylienorsecurityintereston,orpreserverightsto,anysecurityorcollateralortoenforceanyright,powerorremedywithrespecttotheSeniorDebtoranypartthereoforanyagreementrelatingthereto,oranycollateralsecuringtheSeniorDebtoranypartthereof;（c）anywaiverofanyright,powerorremedyorofanydefaultwithrespecttotheSeniorDebtoranypartthereoforanyagreementrelatingtheretoorwithrespecttoanycollateralsecuringtheSeniorDebtoranypartthereof;（d）anyrelease,surrender,compromise,settlement,waiver,subordinationormodification,withorwithoutconsideration,of,anycollateralsecuringtheSeniorDebtoranypartthereof,anyguarantieswithrespecttotheSeniorDebtoranypartthereof,oranyotherobligationsofanypersonorentitywithrespecttotheSeniorDebtoranypartthereof;（e）theenforceabilityorvalidityoftheSeniorDebtoranypartthereoforthegenuineness,enforceabilityorvalidityofanyagreementrelatingtheretoorwithrespecttoanycollateralsecuringtheSeniorDebtoranypartthereof;（f）anySeniorFacilityRepresentative’selection,inanycaseorproceedinginstitutedunderchapter11oftheUnitedStatesBankruptcyCode,oftheapplicationofsection1111（b）

（2）oftheUnitedStatesBankruptcyCode;（g）anyborrowing,useofcashcollateral,orgrantofasecurityinterestbytheBorrowers,asdebtorinpossession,undersection363or364oftheUnitedStatesBankruptcyCode;or（h）thedisallowanceofalloranyportionofanyoftheAgent’sortheLenders’claimsforrepaymentoftheSeniorDebtundersection502or506oftheUnitedStatesBankruptcyCode.TheSeniorFacilityRepresentativesmaydirecttheMasterCollateralAgenttotakeanyactionorexerciseanyremedywithrespecttoanyCollateralfromtimetotimeandatanytimeintheirsolediscretion,withoutnoticetotheJuniorCreditors.ThetermsofthisAgreement,thesubordinationeffectedhereby,andtherightsandtheobligationsoftheJuniorCreditors,theBorrowers,andtheSeniorCreditorsarisinghereundershallnotbeaffected,modifiedorimpairedinanymannerortoanyextentby:

（a）anyamendmentormodificationoforsupplementtotheanySeniorFacilityAgreementoranyJuniorFacilityAgreement;（b）thevalidityorenforceabilityofanyofsuchdocuments;or（c）anyexerciseornonexerciseofanyright,powerorremedyunderorinrespectoftheSeniorDebtortheJuniorDebtoranyoftheinstrumentsordocumentsreferredtoinclause（a）above.TheJuniorCreditorsherebyacknowledgethattheprovisionsofthisAgreementareintendedtobeenforceableatalltimes,whetherbeforethecommencementof,afterthecommencementof,inconnectionwithorpremisedontheoccurrenceofaProceeding.

（j）NoContest.TheJuniorCreditorsagreethattheywillnotatanytimecontestthevalidity,perfection,priorityorenforceabilityoftheSeniorDebtortheSeniorFacilityAgreementsortherightsoftheholdersoftheSeniorDebtintheCollateralhereunder.

Section18TermOfAgreement.ThisAgreementshallbeterminateduponthefinalindefeasiblepaymentofallObligationsandtheterminationoftheSeniorFacilityAgreementsandtheJuniorFacilityAgreements.

Section19Notices.Alldemands,noticesandcommunicationsrelatingtothisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhenreceivedbytheotherpartyorpartiesattheaddressshownonScheduleIorintheJoinderSupplementbywhichtheybecameapartyhereto,whetherbypersonaldelivery,expressdeliveryorfacsimile,orsuchotheraddressasmayhereafterbefurnishedtotheotherpartyorpartiesbylikenotice.Anysuchdemand,noticeorcommunicationhereundershallbedeemedtohavebeenreceivedonthedatedeliveredtoorreceivedatthepremisesoftheaddressee.

Section20GOVERNINGLAW;VENUE;CONSENTTOJURISDICTION.

（A）THISAGREEMENTSHALLBECONSTRUEDINACCORDANCEWITHANDGOVERNEDBYTHELAWOFTHESTATEOF_________,WITHOUTGIVINGEFFECTTOITSCONFLICTOFLAWPROVISIONS（OTHERTHANSECTIONS51401AND51402OFTHE_________GENERALOBLIGATIONSLAW）.

（B）VENUEFORANYACTIONBROUGHTUNDERTHISAGREEMENTMAYBEINANY_________STATECOURTORFEDERALDISTRICTCOURTSITTINGIN_________COUNTY,_________.EACHPARTYTOTHISAGREEMENTHEREBYCONSENTSTOTHEJURISDICTIONOFSUCHCOURT.

Section21Assignment.Exceptasexpresslypermittedherein,nopartytothisAgreementmayassignitsrightsordelegateitsobligationsunderthisAgreementwithouttheexpresswrittenconsentoftheotherparties.

Section22Counterparts.ForthepurposeoffacilitatingtheexecutionofthisAgreementandforotherpurposes,thisAgreementmaybeexecutedsimultaneouslyinanynumberofcounterparts,eachofwhichshallbedeemedtobeanoriginal,andtogethershallconstituteandbeoneandthesameinstrument.

Section23Headings.ThesectionheadingsarenotpartofthisAgreementandshallnotbeusedinitsinterpretation.

Section24ThirdPartyBeneficiaries.ItisherebyagreedbythepartiesheretothattheSecuredPartiesare,andareintendedtobe,thirdpartybeneficiariesunderthisAgreementwiththerighttoenforcethisAgreementasifsuchSecuredPartieswerepartieshereto.

Section25Defaults;CertainRemedies.

（a）EventofDefault.AnEventofDefaultshallexistunderthisAgreementifthereexistsanSeniorDefaultorJuniorDefault.ForthepurposeofthisAgreement,aDefaultshallmeananyoccurrenceorconditionwhich,withthegivingofnoticeorthepassageoftime,orboth,wouldbeanEventofDefault.UnlessanduntiltheMasterCollateralAgenthasactualknowledgethatanEventofDefaultshallhaveoccurredandiscontinuing,theMasterCollateralAgentshallnottakeanyactionunderthisAgreementexceptfortheperformanceofsuchdutiesasarespecificallysetforthhereinandexceptasmaybesetforthfromtimetotimeinwritteninstructionsbytheRequiredFacilityRepresentativesinaccordancewiththisAgreement,anduponreceiptofsuchwritteninstruction,theMasterCollateralAgentshallgivesuchnoticeordirectionorexercisesuchright,remedyorpowerhereunderasshallbespecifiedinsuchinstruction.

（b）NoticeofEventofDefault;ControlbyRequiredFacilityRepresentatives.IftheMasterCollateralAgenthasactualknowledgethatanEventofDefaultshallhaveoccurred,theMasterCollateralAgentshallgivepromptnoticethereoftoeachFacilityRepresentative;andifandforsolongastheMasterCollateralAgentshallnothaveactualknowledgethatsuchEventofDefaultshallnolongerbecontinuing,theMasterCollateralAgentshallexercisesuchrights,powersandremedies（whethervestedinitbythisAgreementorbylaworinequityorbystatuteorotherwise）fortheprotectionandenforcementofitsrightsunderthisAgreementastheMasterCollateralAgentmaybedirectedinwritingbytheRequiredFacilityRepresentativesinaccordancewiththisAgreement,andinsuchexerciseshallusethesamedegreeofcareandskillasaprudentpersonwoulduseunderthecircumstancesintheconductofsuchperson’sownaffairs.TheRequiredFacilityRepresentatives,byaninstrumentorinstrumentsinwritingexecutedanddeliveredtotheMasterCollateralAgent,shallhavetherighttodirectthemethodandplaceofconductingtheactiontobetakenbytheMasterCollateralAgentinconnectionwiththeprotectionandenforcementoftheMasterCollateralAgent’srightsunderthisAgreement.

（c）DefaultRemedies.IfanyoneormoreEventsofDefaultexistandshallbecontinuing,theMasterCollateralAgentshallhavetherighttoproceedtoprotectandenforceitsrightshereunderbyexercisingalloranyoftherightsandremediesavailabletoitunderapplicablelaw（eitherbysuitinequityorbyactionatlaworbyanyotherappropriateproceeding）andalloranyoftherightsandremediesconferredinthisAgreement,whetherforthespecificperformanceofanycovenantoragreementhereinorthereincontainedorinexecutionoraidofanypowerhereinorthereingranted,orforforeclosurethereunder,insuchorderastheMasterCollateralAgentmaydetermineinitssolediscretion（subjecttothedirectionoftheRequiredFacilityRepresentativespursuanttoSection25（b））.

Nopower,rightorremedyconferredontheMasterCollateralAgentinthisAgreementisintendedtobeexclusiveofanyotherright,powerorremedyandeachandeveryrightandremedyshallbecumulativeandshallbeinadditiontoeveryotherrightorremedygivenhereinornoworhereafterexistingatlaworinequityorbystatuteorotherwise.TheMasterCollateralAgentshall,atthewrittendirectionoftheRequiredFacilityRepresentatives,alsodooneormoreofthefollowing（subjecttoSection12hereof）:

（i）instituteproceedingsinitsownnameandonbehalfoftheSecuredPartiesasMasterCollateralAgentforthecollectionofallamountsthenpayableontheSeniorDebtand/ortheJuniorDebtwithrespectthereto,whetherbydeclarationorotherwise,enforceanyjudgmentobtained,a
