Article1LoanAmountandPurpose

1.1TheloantypeofthepresentcontractisS1.1A（personalcarloan/personalconsumptionloan/personalbusinessloan/personalcreditloan/others:

Article2LoanTerm,InterestRateandMethodforInterestCalculation

2.1Theloanterm（andthedebtperformanceperiod）underthepresentcontractisS2.1A（“year（s）andmonth（s）”）,anditsstartdateisexpectedfromthedateS2.1B（fromMMDDYYtoMMDDYY）.Theactualloanstartdateissubjecttothedaterecordedontheloanreceipt.

2.2Thevaluedateoftheloanunderthepresentcontractisthedateofloanrelease.Themethodforinterestcalculationisasfollows:

theloaninterestwillbecalculatedonadaily,monthlyandyearlybasis.Thecalculationmethodsoffull-year,full-monthandfull-dayshallbeadoptedforloaninterest.Iffull-year,full-monthandfull-daycannotbereached,thelastdayattheendofendisthefull-day.Iftheloanperiodcomestothecompletionofyear,theinterestshallbecalculatedasperannualinterestrate;iftheloanperiodcomestothecompletionofmonth,theinterestshallbecalculatedaspermonthlyinterestrate;iftheloanperiodcoversfullyear（month）andremnantdays,theinterestofthepartoffullyear（month）shallbecalculatedasperyearly（monthly）interestrate,andtheinterestoftheremnantdaysshallbecalculatedaccordingtotheactualnumberofdays.Theformulaofcomputationisasfollows:

Forthefullyearandfullmonth:

Interest=principal×period（thenumberofyear（s）ormonth（s））×yearlyormonthlyinterestrate;

Forthefullyear（month）andremnantday（s）:

Interest=principal×[period（thenumberofyear（s）ormonth（s））×yearlyormonthlyinterestrate+thenumberofremnantday（s）×dailyinterestrate]

2.3Exceptotherwisespecifiedbythebothparties,thedateofsettlementoftheloaninterestunderthepresentcontractistherepaymentdateforeachperiodagreedinthepresentcontract.

2.4Theloaninterestrateunderthepresentcontractcanadoptthefloatinginterestrate,fixedinterestrateorquasi-fixedinterestrate,andactuallyadoptsthemethod:

□Floatinginterestrate

ItshallbeexecutedaccordingtothebenchmarkloaninterestrateandfloatingrangepublishedbythePeople'sBankofChinainthecorrespondingperiod.TheloaninterestrateunderthepresentcontractisS2.4A–1–1（“□above□below%”）onthebasisofthebenchmarkloaninterestratepublishedbythePeople'sBankofChinainthecorrespondingperiod.IfthePeople'sBankofChinaadjuststhebenchmarkloaninterestratewithintheloanperiod,then,sincethetimethatthecontractloaninterestagreedinthepresentcontractisadjusted,thenewcontractloaninterestratewillbeexecutedafterthefloatingaccordingtotheabovesaidfloatingproportiononthebasisofthenewloanbenchmarkinterestrate.

ThebenchmarkloaninterestrateofthePeople'sBankofChinainthecorrespondingperiodwhilesigningthepresentcontractis:

S2.4A–1–2（“%（annualinterestrate）”）.TheexecutedinterestrateisdeterminedaccordingtothebenchmarkloaninterestrateontheactualdateofloanreleaseregulatedbythePeople'sBankofChinainthecorrespondingperiodaswellasthefloatingproportionunderthepresentcontract.Monthlyinterestrate=annualinterestrate/12,dailyinterestrate=annualinterestrate/360,andtheinterestrateperperiod=annualinterestrate×thenumberofthemonth（s）ofeachperiod/12.

IfthebenchmarkloaninterestrateregulatedbythePeople'sBankofChinaisadjustedwithintheloanperiod,thenthecontractinterestrateshallbeadjustedaccordinglyaspertheS2.4A–1–3method:

□Adjustmentbyyear,andinterestaccrualbystage.Thatis,thenewinterestratewillbeexecutedaccordingtothebenchmarkloaninterestrateregulatedbythePeople'sBankofChinaaswellasthefloatingproportionstipulatedunderthepresentcontractasofthefirstcalendardayofthenextcalendaryearaftertheinterestrateadjustment.

□Nointerestrateadjustment,andnointerestaccrualbystage.

□Others:

S2.4A–1–3

□Fixedinterestrate

ItshallbeexecutedaccordingtothefixedloaninterestrateandfloatingrangestipulatedbyShanghaiPudongDevelopmentBankinthecorrespondingperiod.TheloaninterestrateunderthepresentcontractisS2.4A–2–1（“□above□below%”）onthebasisofthefixedloaninterestratepublishedbyShanghaiPudongDevelopmentBankinthecorrespondingperiod.IfthePeople'sBankofChinaadjuststhebenchmarkloaninterestrateorShanghaiPudongDevelopmentBankadjuststhefixedinterestrateapplicabletothisbusinesswithintheloanperiod,thentheinterestrateexecutedinthepresentcontractwillnotbeadjusted.Thefixedinterestrateofthecorrespondingperiodwhilesigningthepresentcontractis:

S2.4A–2–2（“%（annualinterestrate）”）.TheexecutedinterestrateisdeterminedaccordingtothefixedloaninterestrateontheactualdateofloanreleasepublishedbythePeople'sBankofChinainthecorrespondingperiodaswellasthefloatingproportionunderthepresentcontract.Monthlyinterestrate=annualinterestrate/12,dailyinterestrate=annualinterestrate/360,andtheinterestrateperperiod=annualinterestrate×thenumberofthemonth（s）ofeachperiod/12.

□Quasi-fixedinterestrate

FixedinterestratewillbeexecutedforS2.4A–3–1（“month（s）,estimatedtillMMDDYY）fromthedateofloanrelease.Thatis,itwillbeexecutedaccordingtothefixedloaninterestrateandfloatingrangestipulatedbyShanghaiPudongDevelopmentBankinthecorrespondingperiod（theloanperiodisfromthedateofloanreleasetillthedateofexpiryofthecontract）.TheloaninterestrateunderthepresentcontractisS2.4A–3–2（“□above□below%”）onthebasisofthefixedloaninterestratepublishedbyShanghaiPudongDevelopmentBankinthecorrespondingperiod.IfthePeople'sBankofChinaadjuststhebenchmarkloaninterestrateorShanghaiPudongDevelopmentBankadjuststhefixedinterestrateapplicabletothisbusinesswithintheloanperiod,thentheinterestrateexecutedinthepresentcontractwillnotbeadjusted.Thefixedinterestrateofthecorrespondingperiodwhilesigningthepresentcontractis:

S2.4A–3–3（“%（annualinterestrate）”）.TheexecutedinterestrateisdeterminedaccordingtothefixedloaninterestrateontheactualdateofloanreleasepublishedbythePeople'sBankofChinainthecorrespondingperiodaswellasthefloatingproportionunderthepresentcontract.Monthlyinterestrate=annualinterestrate/12,dailyinterestrate=annualinterestrate/360,andtheinterestrateperperiod=annualinterestrate×thenumberofthemonth（s）ofeachperiod/12.

Aftertheexpiryofthefixedinterestrate,i.e.,S2.4A–3–4（fromMMDDYYtoMMDDYY）,afloatinginterestratewillbeexecuted.Thatis,itshallbeexecutedaccordingtothebenchmarkloaninterestrateandfloatingrangestipulatedbythePeople'sBankofChinainthecorrespondingperiod（theloanpe
