andothermattersconcerningtheestablishmentofthecooperative
venture
companyfromrelevantdepartmentsinchargeofChina;
Processingtheapplicationfortherighttotheuseofasitetothe
authorityinchargeoftheland;
Organizingthedesignandconstructionofthepremisesandother
engineeringfacilitiesofthecooperativeventurecompany;
AssistingPartyBtoprocessimportcustomsdeclarationforthe
machineryandequipmentcontributedbyPartyBasinvestmentand
arranging
thetransportationwithintheChineseterritory;
Assistingthecooperativeventurecompanyinpurchasingorleasing

equipment,materials,rawmaterials,articlesforofficeuse,means
of
transportationandcommunicationfacilitiesetc.;
Assistingthecooperativeventurecompanyincontactingandsettling
thefundamentalfacilitiessuchaswater,electricity,
transportation
etc.;
AssistingthecooperativeventureinrecruitingChinesemanagement
personnel,technicalpersonnel,workersandotherpersonnelneeded;
Assistingforeignworkersandstaffinapplyingforentryvisas,
work
licensesandhandlingtheirtravelprocedures;
Responsibleforhandlingothermattersentrustedbythecooperative
venturecompany.

Providingcash,machineryandequipment,industrialproperty...in
accordancewiththeprovisionsofArticle11andArticle12,13,and
responsibleforshippingcapitalgoodssuchasmachineryand
equipment
etc.contributedasinvestmenttoaChineseport;
Handlingthemattersentrustedbythecooperativeventurecompany,
suchasselectingandpurchasingmachineryandequipmentoutside
China,
etc.;
Providingnecessarytechnicalpersonnelforinstalling,testingand
trialproductionoftheequipmentaswellasthetechnicalpersonnel
for
productionandinspecting;
Trainingthetechnicalpersonnelandworkersofthecooperative
venturecompany;
IncasePartyBisthelicensor,itshallberesponsibleforthe
stableproductionofqualifiedproductsofthecooperativeventure
company
inthelightofdesigncapacitywithinthespecifiedperiod;
Responsibleforothermattersentrustedbythejointventure
company.

Chapter7DistributionofProfitsandRepaymentforPartyB's
