在中国境内设立的合营企业该当能
够促进中国经济的发展和科学技术水
平的提高有利于社会主义现代化建
设。
JointventuresestablishedwithinChineseterritoryshallbe
abletopromotethedevelopmentoftheeconomyandthe
enhancementofthescienceandtechnologyofChinaand
facilitateChina’ssocialistmodernization.
国家鼓励、允许、限制、或者禁止设
立合营企业的行业按照国家指导外
商投资标的目的的规定及外商投资产业指
导目录执行。
Industriesinwhichtheestablishmentofjointventuresis
encouraged,permitted,restrictedorprohibitedbytheState
shallbedeterminedinaccordancewithprovisionsofthe
StateintheRegulationsonForeignInvestmentGuidelines
andtheGuidelineCatalogueofForeignInvestment
Industries.
在中国境内设立合营企业必需经中
华人民共和国对外贸易经济合作部
以下简称对外贸易合作部审查批
准。
TheestablishmentofajointventurewithinChineseterritory
shallbesubjecttotheexaminationandapprovalbythe
MinistryofForeignTradeandEconomicCooperationofthe
People’sRepublicofChina（MOFTEC）.
批准后由对外贸易经济合作部发给
批准证书。
Uponapproval,MOFTECshallissueacertificateofapproval

Thetotalinvestmentofajointventureiswithintheamount
limitedbytheauthorityasgrantedbytheStateCouncilfor
examinationandapprovalofinvestment,andthesourceof
capitaloftheChinesepartyhasbeenascertainedand
不需要国家增拨原材料不影响燃料、
动力、交通运输、外贸出口配额等方
面的全国平衡的。
NoadditionalallocationofrawmaterialsbytheStateis
requiredandthenationalbalanceinrespectoffuel,power,
transportation,foreigntradeexportquotaisnotaffected.
依照前款批准设立的合营企业该当
报对外贸易合作部备案。
Jointventuresestablishedinaccordancewithprovisionsof
theproceedingparagraphsshallbereportedtoMOFTECfor
record.
对外贸易合作部和国务院授权的省、
自治区、直辖市人民政府或者国务院
有关部门以下统称审批机构。
MOFTECandthepeople’sgovernmentsofprovinces,
autonomousregions,municipalitiesdirectlyunderthe
CentralGovernmentauthorizedbytheStateCouncilorthe

同向审批机构报送下列文件
Whenapplyingforestablishingajointventure,theChinese
andforeignpartnersshalljointlysubmitthefollowing
documentstotheexaminationandapprovalauthority:
1设立合营企业的申请书
（1）anapplicationfortheestablishmentofthejointventure;
2合营各方共同编制的可行性研究
敷陈
（2）thefeasibilitystudyreportjointlypreparedbytheparties
tothejointventure
3由合营各方授权代表签署的合营
企业协议、合同和章程
（3）thejointventureagreement,contractandarticlesof
associationexecutedbythedulyauthorizedrepresentatives
ofthepartiestothejointventure
4由合营各方委派的合营企业董事
长、副董事长、董事人选名单
（4）listofthecandidatesforthechairman,vice-chairmanand
directorsofthejointventurenominatedbythepartiestothe
jointventureand
5审批机构规定的其他文件。
（5）otherdocumentsspecifiedbytheexaminationand
approvalauthority.
前款所列文件必需用中文书写其中
第2、3、4项文件可以同
时用合营各方商定的一种外文书写。
Thedocumentslistedintheproceedingparagraphsmustbe
writteninChinese,amongthem,documents
（2）,（3）and（4）
maybewrittensimultaneouslyinaforeignlanguageagreed
uponbythepartiestothejointventure.
两种文字书写的文件具有同等效力。
Documentswritteninbothlanguagesshallbeequally
authentic.
审批机构发现报送的文件有不当之处
的该当要求限期修改。
Ifanythinginappropriateisfoundinthedocuments

审批机构自接到本条例第五条规定的
全部文件之日起3个月内决意批准
或不批准。
Theexaminationandapprovalauthorityshall,withinthree
monthsofthereceiptofallthedocumentsstipulatedin
Article5oftheseregulations,decidewhethertoapproveor
nottoapprovesuchdocuments.
申请者该当自收到批准证书之日起1
个月内按照国家有关规定向工商
行政办理机关办理登记手续。
Theapplicantshall,withinonemonthofthereceiptofthe
certificateofapproval,gothroughtheregistrationprocedures
withtheadministrativeauthorityofindustryandcommercein
accordancewiththerelevantstipulationsoftheState.
合营企业的营业执照签发日期即为
该合营企业的成立日期。
Thedateonwhichthebusinesslicenseofajointventureis
issuedshallbethedateoftheestablishmentofthejoint
venture.
按照《中华人民共和国中外合资经营
企业法》和中国其他有关法令法规
上海太阳有限公司以下简称“甲方”
与沃伦有限公司以下简称“乙方”本
着平等互利的原则通过友爱协商
同意在中华人民共和国“中国”上海
共同成立一家合资经营公司“合营公
司”特签订本合资经营合同“合
同”。
InaccordancewiththeLawofthePeople’sRepublicof
ChinaonChinese-ForeignEquityJointVenturesandother
relevantChineselawsandregulations,ShanghaiSunCo.,
Ltd（hereinafterreferredtoas“PartyA”）andWarrenInc
（hereinafterreferredtoas“PartyB”）,adheringtothe
principlesofequalityandmutualbenefit,andthroughfriendly
consultations,agreetojointlyestablishanequityjoint
venturecompany（the“JVcompany”）inShanghai,the
People’sRepublicofChina（“China”）,andherebyenterinto

Sun-WarrenCo.,Ltd.”。
ThenameoftheJVcompanyis“上海太阳-沃伦有限公司”in
Chinese,and“ShanghaiSun-WarrenCo.,Ltd.”inEnglish.
合营公司的法定地址为中国上海市东
怡路1705号。
ThelegaladdressoftheJVCompanyis1705DongYiRoad,
Shanghai,China.
如果合营期限内任何时候一方不再作
为合营公司的合营方而其时合营公
司名称和/或标识的任何一部分带有
与该方公司名称或标识相同或近似的
任何语言的字眼和/或标识另一方则
应促使合营公司在该另一方不再作为
合营公司一方后60日内更改合营公
司的名称删去公司名称内所包含的
该等字眼和/或标识并促使立即销毁
所有载有上述公司名称和/或标识的
所有文具、书面材料和出版物。
IfeitherpartyceasestobeapartyoftheJVCompanyatany
timeduringtheJointVentureTerm,andifatsuchtimeany
wordinanylanguageand/orlogowhichisthesameasor
similartothecorporatenameand/orlogoofthatparty
appearsinanypartofthenameand/orlogooftheJV
Company,theotherpartyshallprocurethattheJVCompany
shallforthwithchangeitsnametoexcludesuchwordand/or
logofromthecorporatenamewithinsixty（60）daysofthat
partyceasingtobeapartytotheJVCompany,andshall
procurethattheallstationary,writtenmaterialsand
publicationscontaininganyreferencetosuchcorporate
nameand/orlogoshallbeforthwithdestroyed.
合营公司为有限责任公司以其所有
资产对外承担责任。
TheJVCompanyshallbealimitedliabilitycompany;Itshall
beliabletothefullextentofitsassets.
各方对合营公司的责任以其按照本合
同认缴的、对合营公司注册本钱的出
资额为限。
TheliabilityofeachpartytotheJVCompanyshallbelimited
totheamountithascontributedtotheregisteredcapitalof

公司不负超出其认缴的出资额的任何
责任。
Unlessotherwiseagreedbytheparties,neitherpartyshall

任何一方均不就合营公司债务和义务
对任何第三方有任何连带责任。
Neitherofthepartyshallbejointlyandseverallyliabletoany
thirdpartyfortheJVCompany’sliabilitiesandobligations.
合营公司组织形式为有限责任公司。
TheJVCompanyshallbealimitedliabilitycompany.
各方以其认缴的出资额对合营公司的
债务承担责任。
Eachparty’sliabilitytotheCompanyshallbelimitedtothe
amountofcapitalcontributionsubscribedbyit.
各方按其出资额在合营公司注册本钱
中的比例分享利润和分管风险及亏
损。
Thepartiesshallsharetheprofitsandbeartherisksand
lossesinproportiontotheirrespectivecontributiontothe
registeredcapitaloftheJVCompany.
合营公司为中法律王法公法人受中法律王法公法令管
辖和庇护。
JVCompanyisalegalpersoninChinawhoshallbe
governedandprotectedbyChineselaw.
合营公司的一切活动应遵守中国的法
律法规的规定。
AllitsactivitiesshallcomplywiththeprovisionsofChinese
lawsandregulations.
本合同各方按照《中国人民共和国外
资企业法》及其实施细则和中国其他
有关法规同意在中国上海市共同经
营一家外商独资企业。
InaccordancewiththeLawofthePeople’sRepublicof
ChinaonForeignInvestmentEnterprisesandits
implementationrulesandotherrelevantlawsandregulations
ofChina,thePartiestothisContractagreetojointlyoperate
awhollyforeign-ownedenterpriseinShanghai,China.
公司为中法律王法公法人性质为外商独资经
营企业受中法律王法公法令管辖和庇护。
ThecompanyshallbealegalpersoninChina,whichisby

公司的一切活动必需遵守中华人民共
