LicenseandDistributionAgreement发行许可协议-
WHEREAS,AAAownsgoodandvaluabletrademarksandlogos;and
WHEREAS,COMPANYwishestolicenseuseoftheLogoinaccordancewithAAA’terAAAandconditionsdescribedbelow,NOWTHEREFORE:
Thepartiesherebyagreeasfollows:
1.DEFINITIONS
ForpurposesofthisLogoAgreement,thefollowingterAAAshallhavethefollowingmeanings:
（a）LogoshallmeantheFeaturingVisualBasicTechnologylogodepictedintheattachedExhibitAorsuchadditionalorreplacementlogosasAAAmayprovidefromtimetotimeunderthisLogoAgreement.
（b）ProductshallmeantheCOMPANYproductorproductsdescribedintheattachedExhibitBwhichhavebeensubmittedtoVeriTestInc.fortestingassetforthinExhibitBandhavepassedsuchtests.
2.LICENSEGRANT
（a）SubjecttoandexpresslyconditioneduponcompliancewiththeterAAAandconditionsofthisLogoAgreement,AAAherebygrantstoCOMPANYaworldwide（exceptasprovidedinSection2（b））,nonexclusive,personalrighttousetheLogosolelyinconjunctionwithProductinthemannerdescribedintheguidelinessetforthintheattachedExhibitCandasmaybeprescribedbyAAAfromtimetotime.
（b）ThelicenserightsetforthinSection2（a）shallnotextendtotheRepublicofChina（Taiwan）,SouthKorea（Korea）,orthePeople’sRepublicofChina（PRC）,unlessanduntilCOMPANYprovidesAAAwithwrittennoticeofCOMPANY’sintenttodistributeProductinthesecountries.COMPANYagreesnottousetheLogoinsuchcountriesandshallnotbelicensedpursuanttothisLogoAgreementtodosountilCOMPANYhasprovidedAAAwithsuchwrittennotice.
（c）COMPANYmaynotuseorreproducetheLogoinanymannerwhatsoeverotherthanasexpresslydescribedinExhibitC.
（d）COMPANYagreesandacknowledgesthatAAAretainsallright,titleandinterestinandtotheLogo.ExceptasexpresslygrantedinthisLogoAgreement,COMPANYshallhavenorightsintheLogo.UndernocircuAAAtanceswillanythinginthisLogoAgreementbeconstruedasgranting,byimplication,estoppelorotherwise,alicensetoanyAAAtechnologyorproprietaryrightotherthanthepermitteduseoftheLogopursuanttoSection2（a）.
（e）COMPANYagreesthatitwillusetheLogosolelyasprovidedinthisLogoAgreementandwillnotusetheLogoforpromotionalgoodsorforproductswhich,inAAA’reasonablejudgment,willdiminishorotherwisedamageAAA’goodwillintheLogo,includingbutnotlimitedtouseswhichcouldbedeemedtobeobscene,pornographic,excessivelyviolentorotherwiseinpoortasteorunlawful,orwhichpurposeorobjectiveistoencourageunlawfulactivities.
3.NOFURTHERCONVEYANCES
ThelicensegrantinSection2（a）ispersonaltoCOMPANY,andCOMPANYshallnotassign,transferorsublicensethisLogoAgreement（oranyrightgrantedherein）inanymannerwithoutthepriorwrittenconsentofAAA.
4.QUALITY,INSPECTION,ANDAPPROVAL
（a）COMPANYagreestomaintainthequalityofProductusedinconjunctionwiththeLogoatalevelthatmeetsorexceedsindustrystandardsandatleastcommensuratewiththequalityofProductpreviouslydistributedbyCOMPANY.
（b）COMPANYshallsupplyAAAwithsuitablespecimensofProductandCOMPANY’suseoftheLogoinconnectionwithProductatthetimesandinthemannerdescribedinExhibitC,oratanytimeuponreasonablenoticefromAAA.
COMPANYshallcooperatefullywithAAAtofacilitateperiodicreviewofCOMPANY’suseoftheLogoandofCOMPANY’scompliancewiththequalitystandardsdescribedinthisLogoAgreement.
（c）COMPANYshallfullycorrectandremedyanydeficienciesinitsuseoftheLogo,conformancetotheVisualBasicTechnologycompatibilitycriteria,and/orthequalityofProductusedinconjunctionwiththeLogo,uponreasonablenoticefromAAA.
（d）COMPANYrepresentsandwarrantsthatProductmeetstheapplicableVisualBasicTechnologycompatibilitycriteriasetforthinExhibitB.COMPANYshallprovideAAAwithcopiesorsummariesoftheresultsofapplicablecompatibilitytestsfollowingthecompletionofsuchtests.
（e）COMPANYagreesthatitwillcomplywithallapplicablelaws,rules,andregulationsandwillnotviolateorinfringeanyrightofanythirdparty.
5.IDENTIFICATIONANDUSE
（a）COMPANYshallmarkeveryuseoftheLogowiththetrademarkdesignationsetforthinExhibitAandasdescribedinExhibitCandshallcomplywithAAA’trademarkuseguidelinesasamendedfromtimetotime.
（b）COMPANYacknowledgesAAA’ownershipoftheLogoandtheVisualBasictrademark.COMPANYshallemployreasonablecommercialeffortstousetheLogoinamannerthatdoesnotderogatefromAAA’rightsintheLogoandwilltakenoactionthatwillinterferewithordiminishAAA’rightsintheLogo,eitherduringthetermofthisLogoAgreementorafterwards.COMPANYagreesnottoadopt,useorregisteranycorporatename,tradename,trademark,servicemarkorcertificationmark,orotherdesignationsimilarto,orcontaininginwholeorinpart,theLogo.COMPANYagreesthatalluseoftheLogobyCOMPANYwillinuretothebenefitofAAA.COMPANYmaynotusetheLogoinanywayasanendorsementorsponsorshipofProductbyAAA.
6.DEFENSEOFINFRINGEMENTCLAIM
（a）Subjectto7,AAAagreestodefendCOMPANYagainst,andpaytheamountofanyadversefinaljudgment（orsettlementtowhichAAAconsents）resultingfrom,thirdpartyclaim（s）（hereinafterIndemnifiedClaiAAA）thattheLogoinfringesanyregisteredtrademarkrightsenforceableintheUnitedStates,Canada,Australia,Japan,theEuropeanUnion,andNorwayandinothercountriesforuseoccurringafterregistrationoftheLogoinsuchadditionalcountries;providedAAAisnotifiedpromptlyinwritingoftheIndemnifiedClaimandhassolecontroloveritsdefenseorsettlement,andCOMPANYprovidesreasonableassistanceinthedefenseofthesame.
（b）IntheeventAAAreceivesinformationconcerninganintellectualpropertyinfringementclaim（includinganIndemnifiedClaim）relatedtotheLogo,AAAmayatitsexpense,withoutobligationtodoso,either（i）procureforCOMPANYtherighttocontinuetodistributetheallegedinfringingLogo,or（ii）replaceormodifytheLogotomakeitnon-infringing,andinwhichcase,COMPANYshallthereuponceasedistributionoftheallegedinfringingLogo.
（c）AAAshallhavenoliabilityforanyintellectualpropertyinfringementclaim（includinganIndemnifiedClaim）basedonCOMPANY’s（i）manufacture,distribution,oruseoftheLogoafterAAA’writtennoticethatCOMPANYshouldceaseuseofsuchLogoduetosuchaclaim.ForallclaiAAAdescribedinthisSection6（c）,COMPANYagreestoindemnifyanddefendAAAfromandagainstalldamages,costsandexpenses,includingreasonableattorneys’fees.
（d）AAAshallhavenoobligationtoCOMPANYforanyIndemnifiedClaiAAAwhichariseoutsidethegeographicalboundariesoftheUnitedStates,Canada,Australia,Japan,theEuropeanUnion,andNorway（IncludedJurisdictions）,andothercountrieswheretheLogohasbeenregisteredbyAAAatthetimesuchclaimarises.
（e）AAAMAKESNOWARRANTIES.THEDEFENSEPURSUANTTO6（a）ISEXCLUSIVEANDISINLIEUOFALLWARRANTIES,EXPRESS,IMPLIED,STATUTORYOROTHERWISEWITHRESPECTTOTHELOGO,INCLUDINGANYWARRANTYOFNON-INFRINGEMENT,IMPLIEDWARRANTIESOFMERCHANTABILITYORFITNESSFORAPARTICULARPURPOSE.
7.CONSEQUENTIALET.AL.DAMAGES
INNOEVENTSHALLAAABELIABLEFORANYCONSEQUENTIAL,INCIDENTAL,INDIRECT,PUNITIVEORSPECIALDAMAGES（INCLUDINGLOSSOFBUSINESSPROFITS）ARISINGFROMORRELATEDTOCOMPANY’SMARKETING,DISTRIBUTIONORANYUSEOFTHELOGO,REGARDLESSOFWHETHERSUCHLIABILITYISBASEDONBREACHOFCONTRACT,TORT,STRICTLIABILITY,BREACHOFWARRANTIES,INFRINGEMENTOFINTELLECTUALPROPERTY,FAILUREOFESSENTIALPURPOSEOROTHERWISE,EVENIFADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.INNOEVENTSHALLAAABELIABLEFORANYDAMAGESFORCOMPANY’SUSEOFTHELOGOINVIOLATIONOFTHETERAAAANDCONDITIONSOFTHISLOGOAGREEMENT.
8.INFRINGEMENT
COMPANYshallpromptlynotifyAAAofanysuspectedinfringementoforchallengetotheLogooranyofitsconstituentelements.
9.TERMOFLOGOAGREEMENT
（a）ThetermofthisLogoAgreementshallbeforaperiodoftwo
（2）yearsfromtheEffectiveDate;providedhowever,thatAAAshallhavetherighttoterminatethisLogoAgreementwithorwithoutcauseuponthirty（30）days’priorwrittennotice.
（b）FromandafterterminationorexpirationofthisLogoAgreement,COMPANYshallceaseanddesistfromalluseoftheLogo.However,unlesstheLogoAgreementisterminatedforbreach,COMPANYmaydistributethen-existingunitsofProductandadvertisingmaterialscontainingtheLogoforaperiodofninety（90）daysfromtheterminationdateprovideduseoftheLogoinconnectionwithsuchinventoryisincompliancewiththeterAAAandconditionsofthisLogoAgreement.
10.NOTICES
AllnoticesandothercommunicationsunderthisLogoAgreementshallbeinwritingandshallbedeemedgivenifdeliveredpersonally,mailedbyregisteredorcertifiedmail,returnreceiptrequested,orsentbytelecopywithareceiptconfirmedbytelephone,tothepartiesatthefollowingaddressesortosuchotheraddressesasapartymayfromtimetotimenotifytheotherparties.

11.ENTIRELOGOAGREEMENT;AMENDMENT
