PARTI–GENERALCONDITIONSDefinitionsandInterpretationIntheSubcontract（ashereinafterdefined）allwordsandexpression1.1shallhavethesamemeaningsasarerespectivelyassignedtothemintheMainContract（ashereinafterdefined）,exceptwherethecontextotherwiserequiresandexceptthatthefollowingwordsandexpressionsshallhavethemeaningsherebyassignedtothem:

（a）（i）“Employer”meansthepersonnamedassuchinPartIIoftheConditionsofSubcontractandthelegalsuccessorsintitleto,orassigneesof,suchperson,astheContractorshallnotifytheSubcontractorfromtimetotime.（ii）“Contractor”meansthepersonnamedassuchinPartIIoftheConditionsoftheSubcontractandthelegalsuccessorsintitletosuchperson,butnot（exceptwiththeconsentoftheSubcontractor）anyassigneeofsuchperson.（iii）“Subcontractor”meansthepersonwhoseofferhasbeenacceptedbytheContractorandthelegalsuccessorsintitletosuchperson,butnot（exceptwiththeconsentoftheSubcontractor）anyassigneeofsuchperson.（iv）“Engineer”meansthepersonappointedbytheEmployertoactasEngineerforthepurposesoftheMainContractandnamedassuchinPartIIoftheConditionsofSubcontract.（b）（i）“MainContract”meansthecontractenteredintobetweentheEmployerandthecontractor,ParticularsofWhicharegiveninPartIIoftheConditionsofSubcontract.（ii）“Subcontract”meanstheConditionsofSubcontract（PartIandII）,theSubcontractSpecification,theSubcontractDrawings,theSubcontractBillofQuantities,theSubcontract’sOffer,theContract’sLetterofAcceptance,theSubcontractAgreement（ifcompleted）andsuchfurtherdocumentsasmaybeexpresslyincorporatedintheContractor’sLetterofAcceptanceorSubcontractAgreement（ifcompeted）.（iii）“SubcontractSpecification”meansthespecificationoftheSubcontractWorksincludedintheSubcontractandanymodificationthereoforadditiontheretomadepursuanttoClause9.（iv）“SubcontractDrawings”meansalldrawings,calculationsandtechnicalinformationofalikenatureundertheSubcontract.（v）“SubcontractBillofQuantities”meansthepricedand

completedbillofquantitiesformingpartoftheSubcontractor’sOffer.（vi）“Subcontractor’sOffer”meanstheSubcontractor’spricedoffertotheContractorfortheexecutionandcompletionoftheSubcontractWorksandtheremedyingofanydefectsthereininaccordancewiththeprovisionsoftheSubcontract,asacceptedbytheContractor’sLetterofAcceptance.（vii）“Contractor’sLetterofAcceptance”meanstheformalacceptancebytheContractoroftheSubcontractor’sOffer.（viii）“SubcontractAgreement”meansthesubcontractagreement（ifany）referredtoinSub-Clause3.3.（ix）“AppendixtoSubcontractor’sOffer”meanstheappendixcomprisedintheformofSubcontractor’sOfferannexedtotheConditionsofSubcontract.（x）“ConditionsofSubcontract”meansPartsIandIIoftheFIDIC“ConditionsofSubcontractforWorksofCivilEngineeringConstruction（foruseinconjunctionwiththeConditionsofContractforWorksofCivilEngineeringConstruction,ForthEdition1987Reprinted1922withfurtheramendments）”,1994,asadaptedbytheContractorandtheSubcontractorandformingpartoftheSubcontract.（xi）“ConditionsofMainContract”meansPartIoftheFIDIC“ConditionsofContractforWorksofCivilEngineeringConstruction,ForthEdition1987Reprinted1922withfurtheramendments”,andPartIIsuchConditionsasadaptedbytheEmployerandtheContractor,whichformpartoftheMainContract.（c）（i）“Subcontractor’sCommencementDate”meansthetimeforcompletionoftheSubcontractWorksoranysectionthereofasstatedintheAppendixtoSubcontractor’sOffer（orasextendedunderClause7）calculatedfromtheSubcontractor’sCommencementDate.（ii）“Subcontractor’sTimeforCompletion”meansthetimeforcompletionoftheSubcontractWorksoranySectionthereoffortheexecutionandcompletionoftheSubcontractWorksandtheremedyingofanydefectsthereininaccordancewiththeprovisionsoftheSubcontract.（d）“SubcontractPrice”mean
