Article8PartyBshallnottransferpartofortheentireoftheR&DworkstipulatedintheContracttothethirdpartywithouttheconsentofPartyA.Butunderthefollowingcircumstances,PartyBmaytransferpartofortheentireoftheR&DworkstipulatedintheContracttothethirdpartywithouttheconsentofPartyA.

ThedetailedcontentoftheR&DworkwhichPartyBmaytransferincludes

Article9AsfortheliabilityforrisksinvolvedinafailureorpartialfailureinresearchanddevelopmentcausedbyinsurmountabletechnicaldifficultiesunderthecurrenttechnologyandconditionoccurringintheprocessofperformanceoftheContact,itshallbeundertakenbythetwopartiesinaccordancewiththefollowingstipulations:

Confirmedbybothparties,thetechnicalriskstipulatedintheContactshallbeassessedinthemannerof.Themaincontentofthe

technicalriskassessmentshallincludeitsexistence,scope,degree,lossandsoon.Thetechnicalriskassessmentshouldhavethefollowingbasicconditions:

1.TheprojectmentionedintheContractisdifficultenoughforthepresenttechnologiclevel;

2.PartyBsubjectivelycommitsnofaultandthefailureofresearchanddevelopmentisconsideredbyexpertsasreasonable.

Onceonepartydiscoversthatthesituationislikelytocauseafailureorpartialfailureinresearchanddevelopment,theDiscoverershallinformtheotherpartyofthesituationwithindaysandtakeappropriate

measurestoreducelosses.Ifonepartyfailstoinformtheotherpartyinduetimeandtakeappropriatemeasuresandasaresultthelossesareaggravated,theresponsiblePartyshallbeartheliabilityfortheaggravatedpartofthelosses.

Article10IntheperformanceoftheContract,thetechnologywhichistheobjectofaresearchanddevelopmenthasbeenmadepublicbyothers（includingtheformofpatent）.OnepartyshallnotifytheotherpartytorescindtheContractwithindays.Ifonepartyfailstoinformthe

otherpartyinduetimeandasaresulttheotherparty'slossesoccur,theotherpartyhasrighttoclaimcompensationforitslosses.

Article14PartyBshallguaranteethattheresearchanddevelopmentachievementsdeliveredtoPartyAshallnotinfringethelegitimaterightandinterestsofanythirdparty.IfathirdpartyallegesthattheuseofsuchachievementsbyPartyAinfringesanyrightsofanotherparty,PartyBshall

Article15Confirmedbythetwoparties,theR&DachievementsandtheadscriptionoftherelevantintellectualpropertyrightgeneratedfromtheContractshallbesettledbythe__method.

Article17TheR&DstaffofPartyBwhohasaccomplishedtheContractprojectshallhavetherighttobenamedassuchinthedocumentrelatedtothetechnologicalachievementsandtherighttoreceivecertificatesofhonorandawards.

Article18Theownerofthepropertyrightsofequipments,suppliesanddataprocuredwiththefundsofresearchanddevelopmentis（Party

Article19Withthetwoparties'confirmationandontherequestofPartyA,PartyBshallprovidetechnicalguidanceandtrainingtothepersonneldesignatedbyPartyAorprovidethetechnicalservicerelatedintheapplicationoftheresearchanddevelopmentachievementsafterthedeliveryoftheR&Dachievements.
