ThisContractismadebyandbetweenChinaNationalChemicalsImport&ExportCorporation,________BeijingChina（hereinaftercalledtheBuyers）and___________,___________Canada（hereinaftercalledtheSellers）wherebytheBuyeragreestobuyandtheSelleragreestoselltheunder-mentionedcommodityonthefollowingtermsandconditions:

6.Weight

TheRockPhosphateshallbeweighedunderthesupervisionofbothSeller’sandBuyer’srepresentatives（thecaptainofthecarryingvesselmaybeappointedastheBuyer’srepresentative）,duringloadingoperationatVancouverorPrinceRupertbyaselfactingbalance,attheexpenseoftheSeller.

过磅

磷酸岩的过镑须在买卖双方的代表（载货船船长可被指定为买方代表）共同监督下进行，在温哥华或鲁伯特装货操作时以自动磅进行，费用由卖方承担。

7.Inspection

ThedeterminationofqualityofRockPhosphateissubjecttotheresultofanalysisoftherepresentativesampledrawnfromtheactuallylandedcargo,conductedbytheChinaCommodityInspectionBureauafterarrivalofthegoodsatdestination.Thesamplesfortestingmoisturewillbedrawnduringloading,twobottlesofthesameshouldbesentbytheSeller,c/othevessel,totheChinaNationalForeignTradeTransportationCorporationatdestination.TheBuyershallhavetherighttoclaimagainsttheSellerforcompensationoflosseswithin60daysafterarrivalofthegoodsattheportofthedestination,shouldthequalityofthegoodsbefoundnotinconformitywiththespecificationsstipulatedintheContractafterreinspectionbyChinaCommodityInspectionBureau.TheBuyershallhavetherighttoclaimagainsttheSellerfor

compensationofshort-weightwithin60daysafterthearrivalofthegoodsattheportofdestination,shouldtheweightbefoundnotinconformitywiththeBillofladingafterreinspectionbytheChinaCommodityInspectionBureau.

检验

磷酸岩质量的确定，以代表性样品化验结果为准。

代表性样

品在货物到达目的地后自实际到货中抽取，抽样和化验均由中国商品检验局办理。

测验含水量的样品在装货时抽取，由卖方将两瓶该样品船运转交目的地的中国对外贸易运输公司。

中国商品检验局复验后.发现货物质量与合同规定的规格不符，买方有权在货物到目的港后60天之内要求卖方赔偿损失。

如在中国商品检验局复验后发现重量与提单规定不符，货到目的地卸货60天内买方有权向卖方提出短重补偿的索赔。

8.Invoicing

Theprovisioninvoicingwillbemadeoutforqualityof72%ofCa3P2O8andtheshippedweightinB/Lless1%.ShouldtheofTribasicPhosphateofLimefallbelowtheguaranteed72%,andallowanceonthebasisof2%ofthesalespriceforeachunitshallbecalculatedanddeductedfromthepurchaseprice,fractionsprorata.ShouldthecontentoftheTribasicPhosphateofLimefallbelow70%,theBuyershavetherighttorefusethecargo.Insuchcase,allthelosesandtheexpensearisingtherefromshallbebornebytheSeller,oralternativelythepriceshallberenegotiated.IftheIronandAluminiumOxidescombinedcontentexceeds2.8%,anallowanceonthebasisof2.8%ofthesalespriceforeachunitshallbecalculatedanddeductedfromthepurchaseprice,fractionsprorata.Atthetimeofloading,themoisturecontentofthewholecargoshouldbeindicatedinthequalitycertificateandshouldbealsodeductedfromtheinvoicedweight.

单据

临时性的发票按质量为72%磷酸钙并按提单所列的装运重量减1%开具。

磷酸钙含量低于所保证的72%，须按每单位售价的2%计算朴贴，自货款中扣除。

不足一个单位者按比例计算。

如磷酸钙含量低于70%，买方有权拒绝收货。

在这种情况下，由此引起的损失和费用均由卖方承担，或者重新谈判价格。

如氯化铁和氧化铝的混合含量超2.8%，须按每单位售价的2.8%计算补贴，自货款中扣除，不足一个单位者按比倒计算在装货时，全部货物的含水量须在品质证书列明，同时从发票票重量中扣除。

9.Payment

TheBuyershallopenwiththeBankofChina,Beijing,anirrevocableletterofcreditinfavouroftheSellerinUSDollarscoveringtheFOBstowedandtrimmedvalueofeachshipmentpayableagainstreceiptbytheissuingBankofthefollowingshippingdocuments:

买方应通过北京中国银行开立不可撤销的美元信用证，以卖

方为受益人，按每批船货包括理舱、平舱费的连价总值，由开证行

凭下列装船单付款：

（1）Fullset（includingthreecopiesofthenegotiableandnon-negotiable）ofcleanonboardBillofLadingorCharterPartyBillofLadinginaccordancewiththeCharterParty,madeouttoorder,blankendorsed,notifyingtheChinaNationalForeignTradeTransportationCorporationattheportofdestination.

全套（包括可转让的与不可转让的各三份）清洁装船提单或与合同一致的租船合同下的提单,空白抬头、空白背书，在目的港通知中国对外贸易运输公司。

（2）Provisionalinvoicecoveringanamountcorrespondingtothefullvalueofeachshipment,weight1%lessthanthatinB/L,andqualitybaseson72%TribasicPhosphateofLime.

临时发票，金额为每批船货的总值，重量为提单所列重量减1%，质量以含磷酸钙72%为基础。

（3）CertificateofqualityandweightdeterminationissuedbutheSellerattheportofloading.TheBuyershouldopentherelativeletterofcreditlatest20daysbeforethearrivalofthecarryingvesselsattheportofloadingwithvalidityfor90daysfromthedateofopening.

确定质量与重量的证明书，由卖方在装货港签发。

买方最迟须于货船到达装货港前20天开立有关信用评自开证日起，有效期90天。

10.TermsofShipment

装运条款

（1）InsuranceshouldbecoveredbytheBuyer.

保险由卖方负责。

（2）TheBuyershallundertaketocharterthecarryingvessel.TheBuyerofthecharteringagentshalladvisetheSellerbyfacsimileorteleprinter10dayspriortothearrivalofthecarryingvesselattheportofshipment,ofthecontractnumber,nameofthecarryingvessel,approximateloadingcapacity,laydaysandportofloading,inordernameofthecarryingvessel,inordertoenabletheSellertomakepreparationsforloading.TheSellershallconfirmbyfaxuponreceiptoftheaboveadvice.TheBuyer'schatteringagentshallmakedirectcontactwiththeSellerfromtimetotime.ShouldforcertainreasonstheBuyernotbeabletoinformtheSelleroftheforgoingdetails10dayspriortothearrivalofthevesselattheportofloadingorshouldthecarryingvesselbeadvancedordelayed,theBuyerortheirchatteringagentshalladvisetheSellerimmediatelyandmakenecessaryarrangements.

买方须承办租船。

买方或其租船代理人须于货船到达装运港口10天之前，以传真或电传将合同号码、船名、约计装载兰、受载期及装货港通缸卖方，以便使卖方能为装货做好准备。

卖方在收到该传真后，应以传真证实收妥。

买方租船代理人应随时与卖方联系。

如由于某些原因，买方未能在货船到达装货港10日前将前述细节通红卖方，或者，如货船提前或延迟，买方或期租船代理人应立印通知卖方并作出必要的安排。

（3）ShouldtheSellerfailstoeffectloadingontimewhenthe

vesselcharteredbytheBuyerarrivesattheportofshipment,theSellershallbeheldfullyresponsibleforthedeadfreight,demurrageandallotherlossesthussustained.

当买方租赁的货船到达装运港口时，如卖方未能按时装船，卖方必须对由此而遭受的空舱费、滞期费及一功其他损失承担全部责任。

（4）TimetoCommence:

From8a.m.onthefirstworkingdayfollowingreceiptofwrittennoticefromtheMasterduringofficehoursthatthevesselhasenteredportandisinfreepratiqueandineveryrespectreadytoload,whetherinberthornot.

开始时间：

在办公时间接到船长的书面通知的次日上午8时起，为第一个工作日；通知货船已进港，已取得入港许可证，且不论是否进入泊位，已在各方面做好装货的准备。

（5）Theshipownerswillpaylightdue,extraquarantinedues,gratuitiestopilotsandboatmen,shorelabour（iflabourrequiredbyMaster）aswellasallship’sdisbursementsuchasnightwatchmen,storesorprovisions,laundry,medica1assistance,te1egraphicandpostalexpense.Pilotagefeesattherateof50Poundspervessel.

船主应支付灯塔费、额外检疫费、领航重验招工酬劳费、岸上劳务费（如系船长要求之劳务）以及船只的一切支出，诸如守夜人、补给品及供应品、洗衣费、医疗费及邮电费。

领航费按每艘轮船50英镑的费率计算。

（6）ItShouldbenotedthattheship’sdraughtwillbeasfollows:

（7）Firstopeningandlastclosingofvessel’shatchestobeperformedbyship’screwatowner’sexpense.

首次启舱与最后闭舱由轮船水手执行，并由船主负担费用。

（8）Loadingrate:

10,000metrictonsperweatherworkingdayof24consecutivehours（weatherpermitting）,Sundaysandholidaysattheportofloadingincluded.

装货量：

每晴天工作日连续24小时（如果天气许可）装货10，000公吨，星期日及装货港的节假日包括在内.

（9）Demurrage/DespatchMoneytobesettleddirectbetween

theShippersandtheOwnersaccordingtotheCharterParty.

ItisunderstoodthatallCharterPartiesinvolvedunderthis

Contractshallstipulatethatdespatchmoneytobehalfthedemurrageforallworkingtimesavedattheloadingport.

滞期费/速遣费由托运人和船主按租船合同直接商定。

双方理解，租船合同中对在装货港节省的全部时间应支付的速遣费按滞期费的一半计算。

（10）Foranyotherclausesnotstipulatedinthiscontract,thepartyshallactinaccordancewiththeCharterpartystipulations.TheBuyershallfurnishtheSellerwithonecopyofeachsuchCharter

Partyassoonassigned.

凡本合同未作规定的其他条款，有关各方须按租船合同的规定办理，一旦租船何同签订，买方应立即向卖方提供一份。
