篇二：
委托设计开发服务协议（中英文）
委托设计研发协议
甲方****集团（以下简称“EEG”）与乙方*****nc.（以下简称“SF”）就在此合同第一段所述的业务达成委托协议，该业务具体包括“AAA和BBB”品牌的服装的生产、加工和销售，以及该品牌服装装饰和任何相关的配饰。
“AAA和BBB”是由EEG在中国市场经营。
根据本协议，当事人双方同意通过增进双方的知名度和商业信誉在中国市场上推广AAA和BBB品牌，从而达到共赢的目的。
1.委托雇佣范围
为了能够使EEG顺利运作，EEG应当将以下的业务委托给SF，SF同意接受此委托并忠诚地履行相关义务；
1）服装设计
（i）按如下设计产品（于第一季度生产成品）
70种样式的上衣和裤子（35种为AAA，35种为
BBB）
（ii）针对新消费者（35-50岁）为AAA和BBB设计品
牌标志
2）任何与以上业务相关的业务
2．业务移交
为了上述条款中的业务的顺利完成，SF应当按照以下内容行事。
原则上每季度应带AAA和BBB设计组到往中国三次
第一次会见：
针对概念和季度的颜色
第二次会见：
针对设计
第三次会见：
针对样品核查
第一次会见：
原则上，设计指导Ms.Matsumura将与参加会见。
第二、第三次会见：
将参加会见。
3．款项，付款日期和付款方式
1）EEG应当就委托业务支付以下的委托费用。
①年度委托费：
45，000，000YEN（AAA和BBB）
以上数值是扣除EEG在中国汇款给SF所应缴纳的预提所得税（如果有）后的净数值。
若要缴纳预提所得税，则年度委托费将自动增加从而使扣除所缴税后的净数值等同于以上数值。
②支付方式：
年度委托费将被分为12次支付，EEG应当在每月最后的银行工作日将款项支付给SF。
EEG将承担每次付款所涉及的其他费用。
首次支付将于XX年1月21日起。
2）原则上，EEG应当负责SF所有的开销和安排，例如与本委托
协议相关的差旅费。
若SF提前支付了此费用，EEG应在SF理算后要求时偿还实际的费用。
并且，EEG在安排航班和住宿时，将根据相应的级别安排；
当事人双方明确出发地或者是日本东京或者是意大利米兰，这取决于参加在此第二段所述会晤的成员的所在地。
●为Ms.Matsumura提供的航班：
商务仓酒店：
四星或以上质
量
●为设计师提供的航班：
经济仓，可调换时间。
酒店：
四星或以上质量
4.协议有效期
本协议有效期为两
（2）年，自XX年1月21日起至XX年12月30日止。
有效期将自动延续两
（2）年，除非一方当事人在本协议有效期满前至少三（3）个月通知对方当事人不再延续协议。
本条件同样适用于之后的期限。
本协议的有效期将延续以上时间，若协议的履行应为国家政策规定、动乱、战争、自然灾害、罢工、火灾以及其他当事人不可抗力的原因而中止。
5.保密义务
1）EEG和SF作为执行者将谨慎处理任何所有另一方提供或披露的信息（包括由获取方所得到的信息产生的次级信息）（以下简称“机密信息”），并且，未经披露方书面同意，获取方不得将机密信息披露或泄露给第三方，也不得基于以下目的适用机密信息
2）EEG应当保证不将受委托的设计组为以下品牌提供设计的事实公开。
3）在没有对方当事人同意的情况下，EEG和SF都不得利用任何由本协议而建立的私人关系，除非是为了履行本协议。
6.协商
若双方当事人因本协议中未涉及的事项发生争议，或因对本协议的条款的解释发生争议，双方应通过协商解决争议。
7.适用的法律、语言和争议管辖权
本协议将受日本法律管辖。
日语是本协议的原本和官方语言，出现任何有关语言问题的争议，以日语为标准。
双方当事人同意东京地方法院将对任何相关的第一审诉讼以及其他与合同相关的诉讼有专属管辖权。
双方当事人就此签订协议的原件复印件达成协议，协议原件EEG和SF双方各保留一份。

regardingmanufacturing,development,andthesalesofclothes,aclothingornament,ornamentsofdress,andanyfurnishedaccessoriesofthe“AAA和BBB”brandwithwhichEEGconductsinaCHINAmarket.Underthisagreement,bothpartiesagreetopromoteAAA和BBBbusinessinaCHINAmarketthroughmaintaining,improvingbothparties’prestigiouspositionandbusinesscreditsoastodevelopthemutualprosperity.
1.ScopeofCommission
InordertocontributetosmoothenterprisemanagementofEEG,EEGshallentrusttoSFthe
businessdescribedbelow,andSFagreestoacceptsuchentrustmentandtoaccomplishitsobligationsinsincerity;
１）WearDesign
（i）Designsofproductsasfollow（Productizedin1season）
TopsandPants70patterns（35patternsforAAAand35patternsforBBB）
（ii）propositionofbrandimageofAAA和BBBtowardsnewcustomers（Age35～50’s）
２）Anybusinessthatrelatestotheabove.
2.PerformanceofConsignment
SFshallconductfortheaccomplishmentofthebusinessintheprecedingclauseasfollows.

3.FeeAmount,DueDateandMethodofPayment
1）Inconsideration,EEGshallpaySFthefollowingconsignmentfeeofthecommissionedbusiness.
①AnnualCommissionFee：

Theaboveamountisthenetamountafterdeductingthewithholdingtax（ifany）imposedinCHINAwhenremittingtoSFfromEEG.Whenthewithholdingtaxisimposed,the
annualcommissionfeeisautomaticallyincreasedsothatthenetamountafterthe
deductionofthewithholdingtaxbecomesequaltotheamountoftheabove.
②PaymentMethod：
annualcommissionfeesshallbedividedbytwelveandEEGshallpayto
SFuntiltheendofthebankbusinessdayofeverymonth.EEGshallbeartheservice
chargeateverypayment.ThefirstpaymentstartsfromJan21th,XX.
2）Inprinciple,EEGshallberesponsibleforanyexpensesandarrangementsincurredbySFsuchasSF’stravelexpenseswhicharerelatedtothisentrustmentagreement.Also,ifSFpaysinadvance,EEGshallreimbursetoSFtheamountofactualexpensesbasedontheclaimofSFatthelateradjustment.
Also,whenEEGarrangestheairplaneticketsandlodging,therankwillbeasfollowed;
BothpartiesunderstandthedeparturecitiesareeitherTokyoinJapanorMilaninItalydependinguponthelocationofmembersattendingthemeetingdescribedinParagraph2hereof.
