Throughfriendlyconsultation,bothpartieshavereachedthecontract,wherebyPartyBshallprovidePartyAwiththefollowinglogisticsservices:

1.Scopeofservices

1.1PartyAdesignatesPartyBasitslogisticsserviceprovider,andPartyBshallprovidethelogisticsservicesaspertheproductsdescribedinAppendix*.

1.2PartyBprovidesPartyAwithlogisticssolutions,collectionofpayment,logisticsinsuranceandotherrelevantservicesaswellasstorage,allotment,allocation,distributionofthecommodity.（Thecontractshallsetforththespecificitemsofthelogisticsservices,thephysicalattributesofthegoods,alltherequirementsforloading,unloadingandhandlingandtransportation,modeoftransportation,informationflowandeachandeverydetailofthelogisticsprocess）.

2.Obligationsofbothparties

2.1PartyA’sobligations

（1）PartyAguaranteesthelegitimacyofthearticlesconsignedandguaranteesthattheexternalpackageiscompleteandfreeofdefectsanddamages.

（2）PartyAisobligedtodescribethegoodsaccuratelyinAppendix*,putforthclearrequirementsforthetransportationandcustodyinthecorrespondingpartoftheAppendix*,andprovidethesamplevouchersfortakingdeliveryofthegoodsasdescribedinAppendix*.

（3）PartyAshallprovidePartyBwiththedocumentsandmaterialsatthetimecovenantedinthelogisticssolutionsconfirmedbybothpartiesandberesponsiblefortheappropriatenessandauthenticityoftheauthorizeddocumentsprovided.

（4）IncasePartyBisrequiredtoprovidethetransportationservices,PartyAshallsendwrittennotificationtoPartyB（tobenegotiatedanddeterminedseparatelyforurgentallocationanddistribution）andclearlynotifyPartyBofthefollowingcontent:

Nameandquantityofthegoods;

ShipmentplaceandconsignmentaddressofthegoodsaswellasthenameandcontactphonenumberofPartyA’sshipper;

Addressandtimefortakingdeliveryandplaceofunloading;and

Name,addressandphonenumberofthecollectingunit,postcode,contactpersonandotherdetails.

（5）PartyBdoesnotacceptthedeclarationformmadebycallinprinciple,butincasePartyAcannotmakethedeclarationinwritinginspecialcircumstances,thedeclarationformmaybepre-processedbycallwithcorrespondingindicationsmadeonsupplementarydeclarationformsinwritingthatfollow.

（6）Incaseofanychangetotheallocationanddistribution/shipmentuponstartofshipment,PartyAshalldulynotifyPartyBofsuchchangeinwriting,whichchangeshouldbeconfirmedbyPartyB.AnyextraexpensesincurredwiththetransportationaftersuchchangeshouldbebornebyPartyA.

（7）PartyAshallprovidePartyBwiththewrittenconfirmationwithin___hoursaccordingtotheshipmentrequirements.

（8）PartyAshallprovidethegoodsintheformatofthetransportationplanoftheattachedForm*.Specialpersonsshallbedesignatedfordeliveryofthegoods,whoshallsignonthedeliverybillrecognizedbybothpartiesforhandlingwiththedeliveryformalitiesonbehalfofPartyA.Incasethedeliverycannotbemadeatthetimedescribedintheplan,PartyAshallsendnotificationtoPartyBhoursinadvance.

（9）PartyBshallprovidePartyAwithDTWexpressbillsandstandardpackingmaterials,andPartyAshallselectthematchingpackageaccordingtotheattributesofthearticlestransportedandadoptnecessarypreventionandprotectionmeasures.

（10）PartyAshallberesponsibleforthelossesarisingoutofPartyB’sexecutionoftheinstructionsfromPartyAduetoerrorsorillegibilityinthedocumentsandbillsprovidedbyPartyA,andPartyAshallalsoundertakealltheexpensesincurredthereofbyPartyB.

（11）Incaseofanydelayduetoweather,transportationvehicle,accidentsandothersimilarreasonsthatbeyondcontrol,PartyBisentitledtopostponedeliveringthegoods.

（12）PartyAshallpaythelogisticsexpensesandthecommissionsdescribedinAppendix*tothecontractandatthetimestipulatedbythecontract.

（13）Whenfreightistobepaidbyanotherpartyortobepaidunlessanduntilthegoodsisdelivered.PartyAshallberesponsibleforpayingthefreightandotherrelevantexpenseswhentheconsigneeorthethirdpartyhasrefusedtopaysuchfreight.

（14）Duringtheperformanceofthecontract,theabove-mentionedserviceshouldnotbetransferredfromPartyAtoanotherpartybyPartyA（unlessotherwiseagreedbyPartyB）.

2.2PartyB’sobligations

（1）PartyBisobligedtopreparethelogisticssolutionsdescribedinAppendix*accordingtotheproductcatalogueinAppendix*andtherequirementsfortransportationandcustodyinAppendix*providedbyPartyA.

（2）PartyBshallmakearrangementswiththelogisticsoperationsaccordingtothelogisticssolutionsinAppendix*andguaranteetoprovidetheinformationonthegoodsunderinquiryaspertherequestofPartyA.

（3）PartyBshallsendthegoodstotheconsigneeattheplacespecifiedbyPartyAatthecovenantedtimeaccordingtotherequirementsofthelogisticssolutionsinAppendix*andberesponsiblefortakingbackthecollectionvouchersasdescribedinAppendix*providedbyPartyAorotherdocumentsoflegaleffects,orthecustomersmaysignonthecollectionbills,allofwhichshallbedeemedasPartyBhascompletedtheservicesincompliancewiththecontract.

（4）PartyBshalldesignatespecialpersonstotakedeliveryofthegoodsintheformatdescribedinthetransportationplanoftheattachedForm*,whoshallsignonthedeliverybill（inForm*）recognizedbybothpartiesforhandlingwiththedeliveryformalitiesonbehalfofPartyB.

（5）IncasePartyB’semployeeshavefoundthatthecontentofthedocumentsprovidedbyPartyAisinconsistentwiththedescriptionsofAppendix*（ProductCatalogue）orwiththepackageoftheactualgoods,PartyBisresponsiblefornotifyingPartyAassoonaspossibletoconfirmtherelevantdocuments.

（6）PartyBshallexecutetheserviceprojectinstrictaccordancewithPartyB’sinstructions.

Uponarrivaloftheshipmentatthedestination,PartyBshallcarryouton-sitecheckwithPartyA’scustomers,andthepackagewithoutdamagesandtheaquantityofgoodsshouldbetakenasthebasisfortheacceptanceexamination.Incaseofanydamagestotheexternalpackageoranyerrorinthequantityofthegoods,PartyBshallsendnotificationtoPartyAimmediatelyandmarktheindicationsontheacceptancebillofthegoods.

（7）PartyBshallformaspecialteamforservingPartyA’slogisticsprojects,alltheinformationinstructionsshallbeaccessedbetweenthespecialteamandPartyA,andPartyBwillnotprovideaccesstootherregionalcentersofPartyA.

（8）Providedthatthetransportationcycleandservicequalityareguaranteed,PartyBpreservestherightsforadjustingthemodeoftransportationwiththecontentofsuchadjustmentnotifiedtoPartyAinwriting.

（9）Inemergency,withoutaccuratewritteninstructionsofPartyA,PartyBmaysendtheshipmentaccordingtocallrecords,providedthatPartyBshouldnotberesponsibleforanymistakesduetooralcommunicationofinformation.

（10）Incaseofanydelayoftheserviceduetoweather,transportationvehicle,accidentsandothersimilarreasonsthatbeyondcontrol,PartyBshallsendnotificationtoPartyAwithin___hoursafterknowingtheoccurrenceofsuchincidents.

（11）Incaseofanylossorpollutioncausedbythegoodsduetoanyforcemajeureduringthetransportation,PartyBshallberesponsibleforhandlingwellwiththeshipmentrecordswiththerelevantdepartmentsattheplaceoftheincidentsorthetransferanddulysendthenotificationtoPartyA,whilePartyBshallprovidePartyAwiththerelevantcertificatesandassistPartyAinmakingclaimsagainstinsurer.

（12）PartyBshallberesponsibleforallrisksfromthetimewhenPartyAtransfersthegoodstopartyBtothetimewhenthegoodsaredeliveredtotheconsigneedesignatedbyPartyAatthedestinationoftheshipment.

（13）PartyBisobligedtosubmitreportstoPartyAonthetransit,storageanddeliveryofthegoodsincompliancewiththelogisticssolutionsdescribedinAppendix*,andshallberesponsiblefortheappropriatenessandauthenticityofsuchreports.

（14）PartyBshallprovidetherelevantservicesaccordingtotherequirementsfortransportationandstorageofthegoodsofPartyA,andincasePartyBfailstoprovidetherelevantservicesaccordingtotherequirements,orincaseofanydirectlossesduetothenegligenceormistakesofthebusinesspersonnelofPartyB,PartyBshalltakethecorrespondingresponsibilities.

3.Settlementofcharges

3.1Renminbishallbethesettlementcurrencyforbothparties.

3.2Bothpartiesshalleffectthesettlementonceamonth.PartyBshallprovidePartyAwiththestatementofaccountdescribedinAppendix*forthelogisticsservicesoftheprecedingmonthbeforethe5thofeachmonthandPartyAshallcompletereviewingandconfirmingsuchstatementofaccountbeforethe10thofeachmonth,overduetimeofwhichwillbedeemedasPartyAhasimplicitlyconsentedtosuchstatementprovidedbyPartyB.

3.3PartyBshallissuetheinvoiceswithinthreeworkingdaysuponreceiptoftheconfirmationofthestatementsofPartyA,andPartyAshallmakeallthepaymentwithinfiveworkingdaysuponreceiptoftheinvoices,andincaseofdelayofthepaymentbyPartyA,PartyAshallpay
