CLEARANCEmeansanyauthorization,consent,clearance,approval,license,ruling,permit,exemption,filingorregistrationbyorwith（exceptanyfilingrelatingtotheperfectionofsecurityinterests）,orvarianceoforfromanyGovernmentalAuthority.

CNACSUPPORTCONTRACTmeanstheSupportContract,datedthedatehereof,betweentheCompanyCCCasarrangerthereunder.

COLLATERALmeans,collectively,allpropertyandassetswithrespecttowhichaLienisgrantedundertheSecurityDocuments.

COMMENCEMENTDATEhasthemeaninggivensuchtermintheConstructionContract.

COMMITMENToftheArrangermeans,foreachtypeofLoan,theamountsetforthoppositetheArranger’snameonAnnexB.

COMPANYhasthemeaningprovidedinthepreambletothisContract.

CONSTRUCTIONCONTRACTmeanstheContractforConstructionServicesbetweentheCompanyandCCCdatedasof,_________（Y）.

DEFAULTmeans,withrespecttoanydocument,anyeventwhich,withthegivingofnoticeorthepassingoftime,orboth,orthefulfillmentofanyotherapplicablecondition,wouldbecomeaneventofdefaultundersuchdocument.

ENVIRONMENTALLAWSmeansanylaws,rules,regulations,andotherlegalrequirementsofanyGovernmentalAuthority,foreignordomestic,pertainingtothereleaseofmaterialsintoorprotectionoftheenvironment,includingallsuchlegalrequirementspertainingtohumanhealthandsafety.

EVENTOFDEFAULThasthemeaningprovidedinSection6.1.

EVENTOFEMINENTDOMAINmeansanycompulsorytransferortaking（includingbycondemnation,confiscation,seizureorrequisitionoftitleoruseortransferunderthreatofcompulsorytransferortaking）ofalloranymaterialpartofthePowerStationortheCollateralbyanyGovernmentalAuthority.

EVENTOFLOSSmeans（i）aneventthatcausesalloraportionofthePowerStationortheCollateraltobedamaged,destroyedorrenderedunfitfornormaluseforanyreasonor（ii）theoccurrenceofanEventofEminentDomain.

FINANCINGDOCUMENTSmeanstheContract,theNotes,theSecurityDocumentsandtheOtherContracts.

FINANCINGEVENTOFDEFAULTmeansanEventofDefaultunderanyFinancingDocument.

FUELSUPPLYCONTRACTmeanstheGasPurchaseandSupplyContract,dated,_________（Y）betweentheCompanyandChengduHuachuanPetroleumNaturalGasExplorationandDevelopmentCompanyforthelongtermsupplyofnaturalgastothePowerStation.

GOODFAITHCONTESTmeansthecontestofanitemif:

（i）theitemisdiligentlycontestedingoodfaithbyappropriateproceedingstimelyinstitutedand（ii）thefailuretopayorcomplywiththecontesteditemduringtheperiodofsuchcontestcouldnotreasonablybeexpectedtohaveaMaterialAdverseEffect.

GOVERNMENTRULEmeansanyconstitution,law,regulation,ordinance,rule,directive,judgment,administrativepractice,order,writ,injunctionordecreeoforbyanyGovernmentalAuthority.

GOVERNMENTALAUTHORITYmeansanygovernmentalauthorityorjudicial,regulatoryoradministrativebody,agencyorinstrumentalityofanycountryorpoliticalsubdivisionthereofexercisingjurisdictionoverthePowerStation,theCompany,theArrangeroranypartytoaProjectDocumentorFinancingDocument.

GUARANTEEbyanyPersonmeansanyobligation,contingentorotherwise,ofsuchPersondirectlyorindirectlyguaranteeinginanymannerthepaymentorperformanceofanyIndebtednessorotherobligationofanyotherPerson.

GUARANTEEDCOMPLETIONDATEhasthemeaninggivensuchtermintheConstructionContract.

HUAXISUPPORTCONTRACTmeanstheSupportContract,datedthedatehereof,betweentheCompanyandChengduHuaxiElectricPowerShareholder（Group）CompanyLtd.asarrangerthereunder.

INDEBTEDNESSmeans,foranyPerson,atanydate,withoutduplication（i）obligationscreated,issuedorincurredbysuchPersonforborrowedmoney;（ii）obligationsofsuchPersontopaythedeferredpurchaseoracquisitionpriceofpropertyorservices,otherthantradeaccountspayable（otherthanforborrowedmoney）arising,andaccruedexpensesincurred,intheordinarycourseofbusiness;（iii）IndebtednessofotherssecuredbyaLien（otherthanaPermittedEncumbrance）onthepropertyofsuchPerson;（iv）obligationsofsuchPersoninrespectoflettersofcreditorsimilarinstrumentsissuedoracceptedbybanksandotherfinancialinstitutionsfortheaccountofsuchPerson（excepttotheextentsuchlettersofcreditorsimilarinstrumentsaredescribedinanyoftheFinancingDocumentsortheProjectDocuments（includingperformancebonds））;（v）capitalleaseobligationsofsuchPerson;and（vi）IndebtednessofothersGuaranteedbysuchPerson.

INDEMNIFICATIONCONTRACTmeanstheIndemnificationContractdated,_________（Y）betweentheCompanyandChengduHuaxiElectricPowerShareholdering（Group）CompanyLtd.

INTERCONNECTIONCONTRACTmeanstheInterconnectionandDispatchContract,datedasof,_________（Y）,betweenSichuanPowerDispatchBureauandtheCompany.

JOINTVENTURECONTRACTmeanstheCooperativeJointVentureContract,dated_________,_________,_________（M,D,Y）,amongDDD,CCC,andAESChinaGeneratingCompanyLimited.

LANDCONTRACTmeanstheStateOwnedLandUseRightsContracttobeenteredintobetweentheCompanyandStateLandBureauwithrespecttotheuseoflandlocatedattheSite.

LETTER（S）OFUNDERTAKINGmeanstheletter（s）ofundertakingfromgovernmententitiesstatingthattheywillrenderallnecessarysupporttothePowerPurchasersothatthePowerPurchasercanperformitsobligationsunderthePowerPurchaseContract,includingwithoutlimitation（i）theUndertakingLetteroftheChengduCityEconomicCommissiondated,_________（Y）;（ii）theUndertakingLetteroftheChengduCityCommodityPriceControlBureaudated,_________（Y）and（iii）theUndertakingLetteroftheChengduForeignEconomicandTradeCommissiondated,_________（Y）.

LIENmeans,withrespecttoanyproperty,anymortgage,lien,pledge,charge,lease,easement,servitude,securityinterest,assignmentorencumbranceofanykindonorwithrespecttosuchproperty.

LOANmeanseitheraConstructionLoanortheTermLoanandLoansmeanscollectivelytheConstructionLoansandtheTermLoan.

LOSSPROCEEDSmeansallnetproceedsorcompensationreceivedinrespectofanyEventofLoss.

MANDATORYREPAYMENTDATEmeanstheearlierof（i）datetheCompanydeliverstheCertificateofPerformanceAcceptancetothecontractorundertheConstructionContractand（ii）theGuaranteedCompletionDate;provided,however,thatifsuchdateisnotaBusinessDay,theMandatoryRepaymentDateshalloccuronthenextfollowingBusinessDay.

MATERIALADVERSEEFFECTmeansamaterialadverseeffectonthefinancialposition,resultsofoperationsorbusinessprospects,takenasawhole,oftheCompany,including,withoutlimitation,amaterialadverseeffecton（i）thecommercialoperationofthePowerStation,（ii）theabilityoftheCompanytoperformanyofitsmaterialobligationsundertheContract,theProjectDocumentsortheFinancingDocuments,（iii）thevalidityorpriorityoftheLiensonanyoftheCollateral,（iv）therepaymentofeithertheConstructionLoansortheTermLoan,asthecasemaybe,or（v）thevalidityandenforceabilityofanyoftheFinancingDocumentsortheProjectDocuments.

NOTEmeanseithertheConstructionLoanNoteortheTermLoanNote,andNotesmeanscollectivelytheConstructionLoanNoteandtheTermLoanNote.

OTHERCONTRACTSmeanstheCNACSupportContractandtheHuaxiSupportContract.

OTHERARRANGERSmeansCCCandDDD,actingasarrangersundertheOtherContracts.

PARTYmeanseachoftheArrangerandtheCompany.

PEOPLE’SREPUBLICOFCHINAACCOUNTINGRULESmeanstheRulesofthePeople’sRepublicofChinaonaccountingforChineseForeignJointVentureEnterprisesandotherrelevantrulesandregulationsofthePeople’sRepublicofChina.

PERMITTEDINDEBTEDNESSmeans,foranyPerson:

（i）IndebtednessincurredundertheFinancingDocuments;（ii）IndebtednessarisingundertheProjectDocuments;（iii）tradeaccountspayable（otherthanfor（a）borrowedmoneyandoperatingleaseobligationsor（b）thepurchaseofequipmentwithavalue,individuallyorintheaggregate,inexcessofUS$,_________）arising,andaccruedexpensesincurred,intheordinarycourseofbusiness,and（iv）otherIndebtednessofsuchPersonnottoexceedintheaggregateUS$,_________ortheequivalentthereof.
