Chapter2PartiesoftheCooperativeVenture

Chapter3EstablishmentoftheCooperativeVentureCompany

InaccordancewiththeCooperativeVentureLawandotherrelevantChineselawsandregulations,bothparliesoftheCooperativeventureagreetosetup

AllactivitiesoftheCooperativeventurecompanyshallbegovernedbythelaws,decreesandpertinentrulesandregulationsofthePeople'sRepublicofChina.

TheorganizationformoftheCooperativeventurecompanyisalimitedliabilitycompany.Theprofits,risksandlossesoftheCooperativeventurecompanyshallbesharedbythepartiesaccordingtotherelevantprovisionsthereafter.

Chapter4ThePurpose,ScopeandScaleofProductionandBusiness

ThegoalsofthepartiestotheCooperativeventurearetoenhanceeconomiccooperationtechnicalexchanges,toimprovetheproductquality,developnewproducts,andgainacompetitivepositionintheworldmarketinqualityandpricebyadoptingadvancedandappropriatetechnologyandscientificmanagementmethods,soastoraiseeconomicresultsandensuresatisfactoryeconomicbenefitsforeachCooperator.

ThecashcontributedbyPartyBshallbepaidininstallment.Eachinstallmentshallbeasfollows:

Article13

ThemachinesandequipmentcontributedbyPartyBasinvestmentshallmeettheneedsofthecooperativeventurecompany,andshallbecarriedtotheChineseportdaysbeforethecompletionofthepremisesconstruction.

Chapter6ResponsibilitiesofEachPartytotheJointVenture

Article14

ParlyAandPartyBshallberespectivelyresponsibleforthefollowingmatters:

ResponsibilitiesofPartyA:

Handlingofapplicationsforapproval,registration,businesslicenseandothermattersconcerningtheestablishmentofthecooperativeventurecompanyfromrelevantdepartmentsinchargeofChina;

Processingtheapplicationfortherighttotheuseofasitetotheauthorityinchargeoftheland;

Organizingthedesignandconstructionofthepremisesandotherengineeringfacilitiesofthecooperativeventurecompany;

AssistingPartyBtoprocessimportcustomsdeclarationforthemachineryandequipmentcontributedbyPartyBasinvestmentandarrangingthetransportationwithintheChineseterritory;

Assistingthecooperativeventurecompanyinpurchasingorleasingequipment,materials,rawmaterials,articlesforofficeuse,meansoftransportationandcommunicationfacilitiesetc.;

Assistingthecooperativeventurecompanyincontactingandsettling（hefundamentalfacilitiessuchaswater,electricity,transportationetc.;

AssistingthecooperativeventureinrecruitingChinesemanagementpersonnel,technicalpersonnel,workersandotherpersonnelneeded;

Assistingforeignworkersandstaffinapplyingforentryvisas,worklicensesandhandlingtheirtravelprocedures;

Responsibleforhandlingothermattersentrustedbythecooperativeventurecompany.ResponsibilitiesofPartyB:

Providingcash,machineryandequipment,industrialproperty...inaccordancewiththeprovisionsofArticle11andArticle12,13,andresponsibleforshippingcapitalgoodssuchasmachineryandequipmentetc.contributedasinvestmenttoaChineseport;Handlingthemattersentrustedbythecooperativeventurecompany,suchasselectingandpurchasingmachineryandequipmentoutsideChina,etc.;

Providingnecessarytechnicalpersonnelforinstalling,testingandtrialproductionoftheequipmentaswellasthetechnicalpersonnelforproductionandinspecting;

Trainingthetechnicalpersonnelandworkersofthecooperativeventurecompany;

IncasePartyBisthelicensor,itshallberesponsibleforthestableproductionofqualifiedproductsofthecooperativeventurecompanyinthelightofdesigncapacitywithinthespecifiedperiod;

Responsibleforothermattersentrustedbythejointventurecompany.

Chapter7DistributionofProfitsandRepaymentforPartyB'sInvestment

Article15

Thecooperativeventurecompanyshalldistributeitsprofitsinaccordancewiththefollowingprocedureafterpayingtheincometax:

%asallocationsforreservefunds,expansionfunds,welfarefundsandbonusesforstaffandworkersofthecooperativeventurecompany;

%asrepaymentforPartyB'sInvestmentandYearsscheduledtopaybackallPartyB'sInvestment;

%oftheleftdistributedtoPartyAand%toPartyB.

Chapter8SellingofProducts

Article16

TheproductsofcooperativeventurecompanywillbesoldbothontheChineseandtheoverseasmarket,theexportportionaccountsfor%,%forthedomesticmarket.

Productsmaybesoldonoverseasmarketsthroughthefollowingchannels:

Thecooperativeventurecompanymaydirectlysellitsproductsontheinternationalmarket,accountingfor%.

ThecooperativeventurecompanymaysignsalescontractswithChineseforeigntrade

companies,entrustingthemtobethesalesagenciesorexclusivesalesagencies,accountingfor%.

ThecooperativeventurecompanymayentrustPartyBtosellitsproducts,accountingfor%.

Article18

Thecooperativeventure'sproductstohesoldinChinamayhehandledbytheChinesematerialsandcommercialdepartmentsbymeansofagencyorexclusivesales,ormaybesoldbythecooperativeventurecompanydirectly.

Article19

InordertoprovidemaintenanceservicetotheproductssoldbothinChinaorabroad,thecooperativeventurecompanymaysetupsalesbranchesformaintenanceservicebothinChinaorabroadsubjecttotheapprovaloftherelevantChinesedepartment.

Chapter9TheBoardofDirectors

Article20

Thedateofregistrationofthecooperativeventurecompanyshallbethedateoftheestablishmentoftheboardofdirectorsofthecooperativeventurecompany.

Article21

Theboardofdirectorsiscomposedofdirectors,ofwhichshallbeappointedbyPartyA,byPartyB.ThechairmanoftheboardshallbeappointedbyPartyA,anditsvice-chairmanbyPartyB.Thetermofofficeforthedirectors,chairmanandvice-chairmansfouryears,theirtermofofficemayberenewedifcontinuouslyappointedbytherelevantparty.

Article22

Thehighestauthorityofthecooperativeventurecompanyshallbeitshoardofdirectors.Itshalldecideallmajorissuesconcerningthecooperativeventurecompany.Unanimousapprovalshallberequiredforanydecisionsconcerningmajorissues.Asforothermatters,approvalbymajority
