兹经买卖双方同意按照以下条款由买方购进卖方售出以下商品：

ThisContractismadebyandbetweentheBuyersandtheSellers,wherebytheBuyersagreetobuyandtheSelleragreetoselltheunder-mentionedcommodityaccordingtothetermsandconditionsstipulatedbelow:

PACKING:

货物包装在适于长途运输的木箱内,要防潮,防碰撞,防腐蚀及野蛮装运。

由于卖方不适当包装原因而造成的货损,生锈等损害,卖方应当负责。

Tobepackedinnewstrongwoodencase（s）suitableforlongdistanceoceantransportationandwellprotectedagainstdampness,moisture,shock,rustandroughhandling.TheSellersshallbeliableforanyrust,damageandlossattributabletoinadequateorimproperprotectivemeasurestakenbytheSellersinregardtothepacking.

如货物使用木质包装，卖方应将表皮剥落并随运输单据向买方提交一份卖方国家有关动植物检验检疫部门签发的熏蒸证明，表明包装已经过热处理或熏蒸处理。

包装箱上应显著标明处理的方式、地点和处理机构的名称代码。

如货物采用非木质包装，卖方应向买方提供非木质包装证明，表明未使用木质材料包括相应的办法。

如有必要，卖方应提前将上述证明提交买方。

Incasethegoodsarepackedinwoodencase（s）,theSellershallremovethecortexandsubmittotheBuyertogetherwiththeshippingdocuments,afumigationquarantinecertificateissuedbycompetentofficialplantandanimalquarantineauthorityofSeller`scountyprovingthatheattreatmentorfumigationtreatmenthasbeencarriedout.Thepackageshallbeconspicuouslymarkedwiththetreatmentmeasure,place,andnameorcodeoftheinstitutionthatcarriedoutthetreatment.

Incasethegoodsarepackedinnon-woodencase（s）,theSellershallprovidetotheBuyerawrittenstatementcertifyingthatthenon-woodenmaterialwasusedincludingthecorrespondenceway.

Ifnecessary,theSellersshallsendtheBuyersthea.mcertificatesbycourier（express）

inadvance.

5.唛头：

SHIPPINGMARK:

在每个包装箱表面上,应注明箱号,体积,毛重,净重和如下字句:

“此面向上”、“小心轻放”、“保持干燥”等,搬运点及唛头也应由不褪色漆注明。

Onthesurfaceofeachpackage,thepackagenumber,measurement,grossweight,netweightandthewordings“RIGHTSIDEUP”,“HANDELWITHCARE”,“KEEPDRY”,theliftingpositionandtheaboveshippingmarkshallbestenciledwithfadelesspaint.

（1）FOB和CFR条件下：

装运后由买方负责投保。

由卖方按发票金额的110%投保一切险。

thesellersshallcovertheinsurancefor110%oftheinvoicevalueagainstallrisks.

10.付款条件：

（1）信用证条件下：

买方在收到第12条规定的卖方装船通知后，装运期15-20天前，通过中国银行北京分行开出以卖方为受益人的不可撤消的信用证，金额为装运货物的总价。

凭开证行开出的汇票和第11条规定的装船单据支付。

信用证的有效期为装船后15天。

IncasebyL/C:

TheBuyers,uponreceiptfromtheSellersoftheshippingadvicespecifiedinArticle12hereof,shallopenanirrevocableLetterofCreditwiththeBankofChinaBeijingBranch,15-20dayspriortothedateofdelivery,infavoroftheSellersforanamountequivalenttothetotalvalueoftheshipment.TheCreditshallbepayableagainstthepresentationofthedraftdrawnonopeningbankandtheshippingdocumentsspecifiedinClause11hereof.TheLetterofCreditshallbevaliduntilthe15thdayaftertheshipmentiseffected.

（2）托收条件下：

在装运后，卖方通过卖方银行将第11条规定的装船单据提交中国银行北京分行，向买方收取货款。

IncasebyCollection:

Afterdeliveryismade,theSellersshallsendtheshippingdocumentsspecifiedinClause11hereoffromtheSellers’bank,throughtheBankofChina,BeijingBranchtotheBuyersforcollection.

（3）信汇或电汇条件下：

在收到第11条规定的装船单据7天内付款。

IncasebyM/TorT/T:

PaymentshallbeeffectednotlaterthansevendaysafterreceiptoftheshippingdocumentsspecifiedunderClause11ofthisContract.

11.单据：

DOCUMENTS:

（1）海运条件下：

Incaseofsea-freight:

全套清洁已装船海运提单，注明“运费到付”或“运费已付”，空白背

书，并且通知买方；

Fullsetofcleanonboardoceanbillsofladingmarked“FreighttoCollect”or“FreightPrepaid”madeouttoorderblandendorsednotifyingtheBuyer;

空运条件下：

Incaseofair-freight：

两份空运提单，注明“运费到付”或“运费已付”；

Twocopiesofairwaybillmarked“FreighttoCollect”or“FreightPrepaid”

totheBuyers;

空运邮包条件下：

Incaseofairparcelpost:

向买方提供的两份邮包收据；

TwocopiesofairparcelpostreceiptaddressedtotheBuyers；

内陆运输条件下：

Incaseofoverlandtransportation:

向买方提供两份铁路运输单据，注明“运费到付”或“运费已付”。

Twocopiesofrailwaybillmarked“FreighttoCollect”or“FreightPrepaid”addressedtotheBuyers.

（2）5份发票，注明合同号和唛头（如果有超过一个唛头，发票应分开开具），根据相关合同注明货物详细情况。

Invoiceinfivecopiesindicatingcontractnumberandshippingmark（incaseofmorethanoneshippingmark,theinvoiceshallbeissuedseparately）,madeoutindetailaspertherelativecontract.

（3）卖方出具的5份箱单。

Packinglistin5copiesissuedbytheSellers.

（4）制造商出具的质量证明。

CertificateofQualityissuedbytheManufactures.

（5）本合同第12条第3项规定的保险单

InsurancePolicy/Certificateasstipulatedinitem（3）a.ofclause12ofthis

Contract.

（6）在装货后立即以电报或信件的复印件的形式通知买方装货的详细情况。

而且卖方在装船后10天内，空邮三份上述单据（除了第6项，一套直接寄于买方，另两份寄于目的港的中国外贸运输公司）。

Copyofcable/lettertotheBuyersadvisingparticularsofshipmentimmediatelyaftershipmentismade.InadditiontheSellers,within10daysaftershipment,sendbyairmailthreeextrasetsoftheaforesaiddocuments（exceptitem（6）,onesetdirectlytotheBuyersandtwosetsdirectlytoChinaNationalForeignTradeTransportationCorporationattheportofdestination）.

12.装运条款：

TERMSOFSHIPMENT:

（1）FOB条件下：

IncaseofFOBterms:

a.卖方在合同规定的装运期前60天，以电报或信函的方式通知买方合同号、商品、数量、价值、件数、毛重、体积和在装运港的备货期以便买方订舱。

如果包装在重量上超过20吨，长超过10米，宽超过34米和高超过3米，卖方在发货前50天，应提供买方5份外包装图纸，注明具体尺寸和重量，以便买方安排运输。

TheSellersshall,60daysbeforethedateofshipmentintheContract,advisetheBuyers,bycable/letteroftheContractNo.,commodity,quantity,value,numberofpackage,grossweight,measurementanddateofreadinessattheportofshipmentfortheBuyerstobookshippingspace.Shouldanypackagereachofexceed20toninweight,10metersinlength,34metersinwidthand3metersinheight,theSellersshallprovidetheBuyerswith5copiesofdrawingforexternalpackingindicatingdetailedmeasurementandweight,50daysbeforedispatchofthegoodsinordertoenabletheBuyerstoarrangetransportation.

b.由买方的运输代理负责订舱。

BookingofshippingspaceshallbeattendedtobytheBuyers’ShippingAgentsMessrs.

c.买方的运输代理（或班轮代理）应在船舶抵达装运港的预计日期前10天，通知卖方船名、预计装船日期和合同号，以便卖方安排装运。

卖方应和运输代理保持密切联系。

当需要改变承运船或在船舶提前或推迟到达时，买方或运输代理应及时通知卖方。

如果船舶迟于买方通知的日期30天到达装运港，买方应承担从第31天起的储存费和保险费。

Buyers’shippingagents（orliner’sagents）shallsendtotheSellers10daysbeforetheestimateddateofarrivalofthevesselattheportofshipment,apreliminarynoticeindicatingthenameofvessel,estimateddateofloading,ContractNo.fortheSellerstoarrangeshipment.TheSellersarerequestedtogetinclosecontactwiththeshippingagents.Whenitbecomesnecessarytochangethecarryingvesselorincaseofherarrivalhavingtobeadvancedordelayed,theBuyersortheshippingagentsshalladvisetheSellersintime.Shouldthevesselfailtoarriveattheportofloadingwithin30daysafterthearrivaldateadvisedbytheBuyers,theBuyersshallbearthestorageandinsuranceexpensesincurredfromthe31stday.

d.在承运船按时到港后，如果卖方没能备好货，卖方应支付滞期的空舱费。

TheSellersshallbeliableforanydeadfreightofdemurrage,shouldithappenthattheyhavefailedtohavethecommodityreadyforloadingafterthecarryingvesselhasarrivedtheportofshipmentontime.

e.卖方应负责货物在越过船舷，从吊钩放下之前的所有费用、风险。

在货物越过船舷，从吊钩放下之后的费用由买方负责。

TheSellersshallbearallexpenses,risksofcommoditybeforeitpassesovertherailofthevesselandisreleasedfromthetackle.Afterithaspassedovertherailofthevesselandbeenreleasedfromthetackle,allexpenseofthecommodityshallbefortheBuyers’account.

（2）CFR条件下：

IncaseofCFRterms:

a.卖方应在装运期内把货物从装运港运至目的港。

运送合同货物的船只不应悬挂买方不接受的国家的旗帜。

TheSellersshallshipthegoodswithintheshipmenttimefromtheportofshipmenttotheportofdestination.Transshipmentisnotallowed.AvesselflyingtheflagofthecountrythattheBuyerscannotacceptshallnotcarrythecontractedgoods.

b.在货物以邮包邮寄或空运的情况下，卖方应在第六条规定的装运期前30天，以电报或信函的方式通知买方预计交货期、合同号、商品、发票金额等。

在发运货物后，卖方应立即以电报或信函的方式通知买方合同号、商品、发票金额及发运期，以便买方及时办理保险。

Incasethegoodsaretobedispatchedbyparcelpost/air-freight,theSellersshall,30daysbeforethetimeofdeliveryasstipulatedinClause6,informtheBuyersbycableorletteroftheestimateddateofdelivery,ContractNo.,commodity,invoicedvalue,etc.TheSellersshall,immediatelyafterdispatchofthegoods,advisetheBuyersbycable/letteroftheContractNo.,commodity,invoicedvalueanddateofdispatchfortheBuyerstoarrangeinsuranceintime.

（3）CIF条件下：

IncaseofCIFterms:

a.卖方有责任选择一个在海运/陆运/空运/空运邮包保险方面有良好信用政策的保险公司，让买方得到对其有利的保单。

卖方负责按发票金额的110%投保，并可在北京索赔。

投保战争险或包括偷窃提货不着险的所有保险，破碎险、泄漏险并注明“在目的港遇有货损货差,由商检局负责在港口检验”。

ItshallbethedutyoftheSellersofprocureattheSellers’owncostfromanInsurancecompanyofgoodreputeapolicyofmarine/overlandtransportation/airfreight/airparcelpostinsurance,evidencingavalidandsubsistingContractwhichshallbeavailableforthebenefitoftheBuyers,coveringthegoodsduringthewholeofthecourseoftransitcontemplatedinthisContract,includingcustomarytransshipment,ifany,insurancepolicy/Certificateshallbefor110%oftheinvoicevalue,showingclaimspayableatBeijing,coveringWarRiskandAllRisksincludingTPND.BreakageandLeakageirrespectiveofpercentageandindicating“Intheeventoflossordamage,requestforsurveyuponarrivalofthegoodsattheportofdestinationshallbemadetotheChinaCommodityInspectionBureauofthatport
