公司代表先生（以下简称为“卖方”）和有限公司代表，公司法定签署人先生（以下简称为“买方”）基于相关法令，签订以下合同：
1.SUBJECTOFTHECONTRACT合同主旨
1.1TheSellerhassold,andtheBuyerhasbought,onbasisonCIFPortVLADIVOSTOC/TianjinPortofChinaloadingatoneberthatfirst,andaftermonthly,thebuyercanoptionanysafeportofChina.MAZUTM100（10585-75）hereinafternamed"
Goods”,qualitytoconformtoAppendix№1,inquantityof50,000MTforonemonth,foratotalof600,000MTfor12monthsfromthedateofsigningofthepresentcontract.Tobedeliveredintankerlotstoconformto（Appendix№2）,deliveriesstartingMay,2011,perminimumcargo50,000MTormaximum100,000MT.
卖方将卖，而买方将买，“第一次由装货港海蔘威，以CIF的条件运至到卸货中国天津港,而后每个月可由买方选择在一个安全港口卸货，货品品质符合附件1规范的MAZUTM100（10585-75）（以下简称“货品”）一个月50,000公吨的货品,总数量为600,000公吨/12个月。
货品的运输方式将按照附件2的规定，货品将由2011年5月开始，最小运货量为50,000公吨或最大运货量为100,000公吨。
1.2.FortheContracttoenterintoforce,thefollowingdocumentsshallbeattachedandshallbeconsideredanintegrating,obligatorypartofthepresentContract:
为使合同生效，合同中应附以下文件，这些附件与合同本身一起构成现有合同完整的、不可分割的一部分。

f）ClauseofPOPVerification
验证产品证明（POP）條款
1.3SellerandBuyercollaterallyagreedasfollows:
卖方和买方达成协议如下
（1）TheonlylegalwaytoverifythefullProofofProduct（POP）isbyswiftbetweenSeller’sbankandBuyer’sbank.
唯一合法途径来验证产品证明（POP）的是經由终端卖方银行与终端买方银行的swift。
（2）IncaseanypartyeitherSellerorBuyerisnotbyswiftbetweenbanks,thenthispartyisregardedalreadytobreachthecontract.
如果任何一方,终端卖方或终端买方银行之间不經由swift，那么这方被认为已经违反了合同。
2.TERMSOFDELIVERY出货条款
2.1.ThedateofdeliveryGoodsunderthisContractisdateoftheBillofLadingforGoodsloadedonC.I.FtermsatRussianport.
本合同项下的交货日期为提货单日期（货物根据C.I.F条款在俄罗斯港口进行装载）。
2.2.Thefirstdeliveryshalltakeplacewithin25calendardaysfromtheaccepteddateofBuyer’sfinancialinstrumentAndarrieveatbuyer’sdesignatedloadingportwithin45days.
第一个装运日期为接到买方财务工具后的25天内装船发运，並於45天内抵達买方指定卸货港口。
2.3.ThefirstdeliveryoftheGoods-August2011.
首批货物交付日期为2011年08月。
2.4.TheSellerwarrantstoperformdeliveryofthetransactedcommodityonCIF,insidecustomsoutturnbasis,totheBuyer’sdesignateddischargeport（s）.QualityandquantityshallbebasedonloadportSGS/SAYBOLTsurveyreports.
卖方保证根据CIF，基于产品品质与数量履行报关，并承诺将已交易的商品运至买方指定的卸载港口，产品数量质量要符合装货港SGS/SAYBOLT检验要求，要有检验报告。
2.5.DestinationPort:
China'
sGuangzhouHuangpuPORT,ShandongHuangdaoPort，TianjinPort,LongkouPort，NingboPort.
卸货港：
中国的广州黄埔港、山东黄岛港、天津港、龙口港、宁波港。
3.PRICEANDTERMSOFPAYMENT价格和付款条件
3.1.ThepriceandtermsofpaymentarestipulatedinAppendix№3and№4respectively.
附录3和附录4分别规定了支付价格和支付期限。
4.QUALITY品质
4.1.ThequalityofGoodssoldunderthisContractshallmeetthespecificationindicatedinAppendix№1.
本合同所售产品品质应符合附录1中的相关规定。
4.2.ThequalityofeachdeliveredlotofGoodsattheportofloadingshallbetestedinthemannercustomaryforInternationalstandards（SGSorSayboltatSeller’schoice）.
在装货港所需交付的货物品质应根据惯用的国际标准予以检测。
（买方选择SGS标准或由卖方选择Saybolt标准）
5.DELIVERYANDACCEPTANCE出货与接受出货
5.1.Deliveryandacceptanceofgoodsshallbeexecutedinaccordancewith
thestipulationsofthepresentContractandAppendix№1bythetransferoftheBillofLadingtotheBuyer,
根据现有合同和附录1的相关规定，通过将提货单传送至买方以实现货物的交付及接收。
5.2.ThequalityofGoodsdeliveredunderthepresentContractisasindicatedintheCertificateofQualityissuedbytheinternationalindependentlaboratory（SGSorSayboltatSeller’schoice）attheloadingport.
本合同项下已交付的货物品质应有装货口岸的国际独立实验室（SGS或由卖方选择Saybolt）所出具的品质证明书。
5.3.ThequantityoftheGoodsdeliveredbytheSellerandacceptedbytheBuyerisdefinedasthequantityindicatedintheBillofLading.
卖方所交付的货物数量和买方所接收的货物数量应符合提货单所规定的货物数量。
5.4.ThequantityofGoodsistobedeterminedbyindependentsurveyorandwilldedonebySGS/Sayboltattheloadingport.AfterthegoodsreachtheportofdestinationinspectionbyanindependentandimpartialbodySGSre-inspectioninordertoSGSasproofofpayment.
货物数量将由装货港的独立公证人来确定，且整个过程将由位于装货港的SGS/Saybolt来实施。
货物运达目的港后将由独立公正的检验机构SGS复验，以SGS作为付款凭证。
5.5.ThequantitystatedintheBillofLading,inaccordancewithreadingsandmeasurementsasperclause5.4ofthisContract,istobeconsideredfinalandbindinguponbothParties.
提货单所规定的货物数量与测量与合同5.4的每一条相一致，并被认为对合同双方均具有最终约束力。
5.6.Qualityasestablishedbyanindependentsurveyor（SGSorSayboltatSeller’schoice）attheportofloadingonthebasisofcompositesamplesistobefinalandbindinguponbothparties.
装货港的独立公证人（SGS还是Saybolt由卖方选择）出具的有关混合样品的品质报告。
5.7QuantityandQualityinspectioncostsattheloadingportshallbeassumedbytheSeller,whileQuantityandQualityinspectioncostsatthedischargeport（ifany）shallbeassumedbytheBuyer.
在装货口岸所实施的货物数量和品质检验开支将由卖方承担；
卸货港口货物数量品质检验费用（如果有检验的话）由买方承担。
5.8.InadditiontotheSGS/Sayboltreportandtest,duringloadingofthetanker,arbitrationsamplesaretobetakenfromtheautosamplerorflowmeter.SamplingshouldbeperformedaccordingtothestandardprocedurecurrentlyacceptedinRussia.Samplesthustakenshallbethoroughlymixed,putintobottlesandsealed.
除SGS/Saybolt报告和测试外，在油船装载期间，作仲裁用的样品通过自动采样器或流量计来选取。
应根据俄罗斯目前所接受的标准程序实施采样。
所采的样品应在完全混合后置于瓶内，并加以密封。
5.9.OnepartofthesesamplesfilledintonotlessthantwobottlesandsealedbySellerortheirappointedrepresentative,istobeplacedonboardthetankerunderthecareoftheCaptainfordeliverytotheBuyerortheirnominatedrepresentativeatthedischargeport.Theotherpartofthesamesamples,filledintonotlessthantwobottles,issealedbytheCaptain,anddeliveredtotheSeller.
这些样品的一部分应由卖方或其指定的代表注入至少两个瓶内，予以密封；
这些装有样品的瓶子置于油船上，并由船长妥善保管以交付至位于卸货港的买方或其指定的代理人。
这些样品的另外一部分应注入至少两个瓶内，且由船长密封并交付至卖方。
5.10.Thetakensamplesshallbeconsideredastheonlysamplesforarbitration.Ifloadingwasmadeundertheobservationofarbitrationsamples
如果装载是在独立公证人的监督下进行的，那么该公证人所取样品应被视为仲裁唯一的样品。
5.11.BothPartiesshallkeepthesesampleswithinthedurationofthisContract,andincaseofclaims-tillmomentofsettlement.
合同双方应在合同有效期内保留这些样品，以防索赔时需要--直至索赔纷争得以解决为止。
5.12.Laytime卸货时间
5.12.1.Noticeofreadiness（NOR）shallbegiven,onship’sarrivalatthebuyer’sdesignateddischargeport（s）,bytheship’smastertoBuyer，Buyer’simportagentand/ordisportvesselagent,byradio,cableorbyhand,atanytimeincludingsaturdays,sundaysandholidays.
当货船即将到达买方指定卸货港，船长须通过无线电或电报通知买方，买方进口代理商或船舶卸港船务代理告知其已经准备就绪。
通知时间不限定，包括星期六、星期天和节假日。
5.12.2.Laytimeshallcommenceupontheexpirationofsix（6）hoursaftertenderofnoticeofreadiness,oruponvesselbeingallfastinberth,whicheverisearlier.
卸货时间从准备就绪通知发出后6小时开始计算，或从船到泊位开始计算，两者以先到为准。
5.12.3..buyerwarrantsthatseller’snominatedvessel（s）50,000MTwillbeallowedtodischargehercargowithinonehundredandtwenty（120）freerunninghoursshinc’plussix（6）hoursnor,andhowever,maintainingattheship’smanifoldsanaveragedischargepressureofnotmorethanten（10）kilogramspersquarecentimeter（kg/cm2）andbuyershallobtainfreeinandfreeoutofthesellervesel,selleragreedischargingtheoilfromflangesontwosidesoftheveseel，（If100，000MTofdischargeallowedis192hours）。
买方保证卖方所指定伍万吨货船允许卸货时间包括星期天和节假日在内在120小时，外加上6小时准备时间。
卖方同意从油船两侧阀门同时卸货。
然而，维持船平均压力不得低于十千克每平方分米（10KG/CM2），（如果卸货壹拾万吨的时间就是192小时）。
5.12.4Timespentforcustoms/health/portauthorityformalitiesforshipandgoods,pilotagefromanchorageareatoberth,mooring,orcrossingrivermouth,shallnottocountaslaytime.
船舶办理联检（入关、卫检、港监手续、从锚地到泊位的领航等）所花费时间不计入卸货时间。
