Article9 

AsfortheliabilityforrisksinvolvedinafailureorpartialfailureinresearchanddevelopmentcausedbyinsurmountabletechnicaldifficultiesunderthecurrenttechnologyandconditionoccurringintheprocessofperformanceoftheContact,itshallbeundertakenbythetwopartiesinaccordancewiththefollowingstipulations:

Onceonepartydiscoversthatthesituationislikelytocauseafailureorpartialfailureinresearchanddevelopment,theDiscoverershallinformtheotherpartyofthesituationwithin_____daysandtakeappropriatemeasurestoreducelosses.Ifonepartyfailstoinformtheotherpartyinduetimeandtakeappropriatemeasuresandasaresultthelossesareaggravated,theresponsiblePartyshallbeartheliabilityfortheaggravatedpartofthelosses.

Article10IntheperformanceoftheContract,thetechnologywhichistheobjectofaresearchanddevelopmenthasbeenmadepublicbyothers（includingtheformofpatent）.OnepartyshallnotifytheotherpartytorescindtheContractwithin_____days.Ifonepartyfailstoinformtheotherpartyinduetimeandasaresulttheotherparty’slossesoccur,theotherpartyhasrighttoclaimcompensationforitslosses.
