SurveyingCompany（hereafterreferredtoassurveyor）

发包人委托测量人承担基坑监测、单位工程坐标定位、测量放线、沉降观测任务。

根据《中华人民共和国合同法》及国家有关法规规定，结合本工程的具体情况，为明确责任，协作配合，确保工程测量质量，经发包人、测量人协商一致，签订本协议，共同遵守。

Employercommissionsurveyortoundertaketheworksofpitmeasurement,coordinatepositionofunitproject,settingoutandsettlementobservation.InaccordancewithLAWOFCONTRACTandotherrespectinglawsandregulationofState,combinewiththeparticularsofthisproject,clarifytheresponsibilitiesofpartieshereto,processcoordinationandcooperationsoastoensurethequalityofprojectsurvey,thisagreementhavebeenmadeandenteredintobyandbetweenemployerandsurveyorbymutualnegotiationfortheircommonabidance.

第一条工程概况ArticleOneProjectOverview

工程名称：

NameofProject

工程建设地点：

PlaceofProject

工程规模、特征：

建筑面积为3200平方米，人工挖孔桩基础、主体为十层楼框架结构

SizeandCharactersofProject:

Constructionareaof3,200squaremeters,hand-dugpilefoundationandmainstructureoften-storeyframe.

工程内容：

负责综合楼的基坑监测、单位工程坐标定位、测量放线、沉降观测。

ProjectContents:

Responsiblefortheworksofbuilding’sthepitmeasurement,coordinatepositionofunitproject,surveyandsettingoutandsettlementobservation.

第二条发包人应及时向测量人提供下列文件资料，并对其准确性、可靠性负责。

ArticleTwoEmployershouldprovidesurveyorintimewithfollowingdocuments/dataandbeliablefortheaccuracyandreliabilitythereof.

2.1提供本工程批准文件（复印件），以及用地（附红线范围）、施工、测量报告（复印件）。

Provisionofapprovaldocumentsofthisproject（photocopy）,reportsofland（withinredline）,constructionandsurvey（photocopy）.

2.2提供工程测量任务委托书、技术要求和工作范围的地形图、建筑总平面布置图。

Provisionofpowerofattorneyforprojectsurvey,technicalrequirementandtopographicmapforworksscope,planoftotalconstruction.

2.3提供测量工作范围已有的技术资料及工程所需的坐标与标高资料。

Provisionofthetechnicalmaterialswhichhavebeencoveredinthesurveyscopeinadditiontodataofcoordinatesandelevation.

2.4提供测量工作范围地下已有埋藏物的资料（如电力、电讯电缆、各种管道、人防设施、洞室等）及具体位置分布图。

Provisionofthematerialsoftreasuretrovesundergroundwithinsurveyscopeincludingcablesofelectricityandtelecommunication,pipesofvariouskinds,airdefensefacilitiesandcavernsandsoon,inadditiontolocationmapofdistributionthereon.

2.5如果发包人不能提供上述资料，由测量人收集的，发包人应向测量人支付相应费用。

Providedthatemployerfailtofurnishtheforegoinginformationwhicharecollectedbysurveyoritself,employershouldeffectcorrespondingpaymentthereoftosurveyor.

第三条测量人向发包人提交测量成果资料并对其质量负责。

测量人负责向发包人提交测量成果资料四份，发包人要求增加的份数另行收费。

ArticleThreeSurveyorwillprovideemployerwiththeachievementsofsurveyandliabletothequalitythereof.Surveyorwillprovidefourcopiesofmaterialoftheachievementsofsurvey,theaddedcopiesbytherequirementofemployershallbechargedanotherfees.

第四条开工及提交测量成果资料的时间和收费标准及付费方式

4.1开工及提交测量成果资料的时间

TimeofCommencement,ProvisionofSurveyAchievement

4.1.1本工程的测量工作定于日开工，工程竣工之前提交测量成果资料。

如果由于发包人或测量人的原因未能按期开工或提交成果资料时，按本合同第六条规定办理。

Commencementofprojectsurveywillbeonthedateofandtheachievementthereofwillbesubmittedbeforethecompletionofproject.Providedthatiffailureofcommencementorsubmissionofsurveyachievementduetothereasonofemployerorsurveyor,shallbeprocessedunderArticleSixhereof.

4.1.2测量工作有效期限以发包人下达的开工通知书或合同规定的时间为准，如遇特殊情况（设计变更、工作量变化、不可抗力影响以及非测量人原因造成的停、窝工等）时，工期顺延。

PeriodlimitedofsurveyshallbesubjecttoCommencementNoticeissuedbyemployerorthestipulationofcontract,providedthatifspecialcircumstancesoccur,includingsuspensionandstopofworkduetoalterationofdesignorquantity,forcemajeureandthereasonswhicharenotliabletosurveyor,extensionofworkperiodmaybecorrespondinglyallowed.

　　4.2收费标准及付费方式ChargeStandardandPayment

4.2.1本工程测量按国家规定的现行收费标准包干价计取费用。

CostandpriceofthisprojectshallbecalculatedbylumpsumpricewhichsubjecttotheexistingchargestandardbyState.

4.2.2本工程测量费预算为美元，合同生效后三天内，发包人应向测量人支付预算测量费的20％作为定金，计美元（本合同履行后，定金抵作测量费）；

提交测量成果资料后10天内，发包人应一次付清全部工程费用。

TheprojectbudgetisUSDollars.Employershall,withinthreedaysuponvalidityofcontract,makepaymentof20％ofbudgetcosttosurveyor,equaltoUSDollarswhichwillbeoffsetagainsttheprojectcostafterimplementationofcontract;

employershallmakethepaymentoflumpsumfullremainofprojectcostuponsubmissionoftheachievementmaterialsbysurveyor.

　　第五条发包人、测量人责任ArticleFiveResponsibilitiesofEmployerandSurveyor

　　5.1发包人责任ResponsibilitiesofEmployer

5.1.1发包人委托任务时，必须以书面形式向测量人明确测量任务及技术要求，并按第二条规定提供文件资料。

Employershould,atthetimeofdelegationofdutiestosurveyor,makespecificationinwritingofsurveyworksandtechnicalrequirementandsubmitthedocuments/dataasstipulationofArticleTwo.

5.1.2在测量工作范围内，没有资料、图纸的地区（段），发包人应负责查清地下埋藏物。

如果因未提供上述资料、图纸，或提供的资料图纸不可靠、地下埋藏物不清，致使测量人在测量工作过程中发生人身伤害或造成经济损失时，由发包人承担相关责任。

Theareas（section）withinthezoneofsurvey,if,withoutdataanddrawingsthereof,employershouldbeliableforidentificationoftheobjectsburiedunderground.Providedthatiffailureorunreliabilityofsubmissionofdataanddrawingsaforesaidoruncertaintyofburiedobjects,whichresultinthepersonalinjuryoreconomiclosstosurveyorduringthecourseofworks,employershallundertakerelatedliabilities.

5.1.3发包人应及时为测量人提供并解决测量现场的工作条件，包括平整施工现场、修好通行道路、接通电源水源、挖好排水沟渠以及水上作业用船等，并承担其费用。

Employershouldprovideandsettleintimetheworkconditionsonsiteforsurveyorincludingflatsite,buildingaccessroad,powersource,dugdrainageditchesandvesselsforwaterworks,andassumethecostthereof.

5.1.4工程测量前，若发包人负责提供材料的，应根据测量人提出的工程用料计划，按时提供各种材料及其产品合格证明，并承担费用和运到现场，派人与测量人的人员一起验收。

Providedthatifemployerisliabletoprovidematerial,employershouldpriortotheprojectsurvey,aspertheplanofusedmaterialbysurveyor,provideonschedulevariousmaterialswithcertificationofqualitythereof,assumethecostthereofandmaketransportationtothesite,dispatchrepresentativetotakeacceptancejoiningwiththepersonofsurveyor.

　5.1.5测量过程中的任何变更，经办理正式变更手续后，发包人应按实际发生的工作量支付测量费。

Anyalterationduringtheworkofsurveyprojectshould,onsubsequenttotheofficialprocedureofalteration,bepaidthepaymentofsurveyworksbyemployerontheactualquantity.

5.1.6由于发包人原因造成测量人停工，除工期顺延外，发包人应支付停工费；

如果发包人要求测量人在合同规定时间内提前完工（或提交测量成果资料）时，发包人应按每提前一天向测量人支付美元/天计算加班费。

Wherethesuspensionofworksduetothereasonofemployer,thepaymentthereofshouldbeeffectedbyemployerinadditiontoextensionofworkperiod.Providedthatifemployerrequiresurveyortocompleteworksorsubmitthesurveyachievementinadvancewithinthetimestipulatedherein,employershouldmakepaymentofovertimefeetosurveyoronthebasisofUSDollar/pereachadvancedday.

5.1.7发包人应保护测量人提交的投标书、测量方案、报告书、文件、资料图纸、数据、特殊工艺（方法）、专利技术和合理化建议，未经测量人同意，发包人不得向第三人转让或用于本合同外的项目。

Employershallbeobligedtokeepconfidentialanysecretinformationofdocumentswhichsubmittedbysurveyorsuchastender,surveyscheme,report,documents,materials/drawings,data,particularworkprocess（means）,patentandreasonableproposals,withoutthewrittenconsentofsurveyor,employershouldnottransferandalientothethirdpartyorusedtotheprojectbeyondthesamehereof.

　　5.2测量人责任ResponsibilitiesofSurveyor

5.2.1测量人应按国家技术规范、标准、规程和发包人的任务委托书及技术要求进行工程测量，按本合同规定的时间提交质量合格的测量成果资料，并对其真实性和可靠性负责。

SurveyorshouldprocesstheworksofprojectsurveyunderthestipulationsofState’stechnicalspecifications,standards,proceduresandemployer’sTaskCommission,technicalrequirements,submitthedataofsurveyachievementwithinthetimewhichisstipulatedhereofandbeliableforthetruthfulnessandreliabilitythereof.

5.2.2如果由于测量人提供的测量成果资料质量不合格，测量人应负责无偿给予补充完善使其达到质量合格。

Providedthatifthequalityofsurveyachievementwhichissubmittedbysurveyorisdisqualificationtocontractsurveyorshouldmakeinfreechargesupplementandimprovementofthesameandreachtoqualification.

5.2.3在工程测量前，提出测量组织设计；

在工程测量完成后派人与发包人的人员一起验收发包人提供的材料。

Employershouldpriortocommencementofsurveyprovidedesignofsurveyorganizinganddispatchrepresentativeuponcompletionofsurveytotakepartintheacceptanceofdatasubmittedbysurveyorwithemployer’spersonnel.

5.2.4本合同有关条款规定和补充协议中测量人应负的其它责任。

Otherresponsibilitiesassumedbysurveyor,whicharestipulatedinconcernedprovisionshereofandsupplementaryagreement.

　　第六条违约责任ArticleSixBreachLiabilities

6.1由于测量人原因造成测量成果资料质量不合格，不能满足技术要求时，其用工测量费用由测量人承担。

Providedthatifthequalityofsurveyachievementisdisqualificationornon-satisfactiontotherequirementoftechnology,thefeesofsurveyworksshallbeassumedbysurveyor

6.3合同履行期间，由于工程停建而终止合同或发包人要求解除合同时，测量人未进行测量工作的，不退还发包人已付定金；

已进行测量工作的；

完成的工作量在50％以内时，发包人应向测量人支付预算额50％的测量费计元；

完成的工作量超过50％时，则应向测量人支付预算额100％的测量费。

Providedthatduringtheexecutionofcontracttheterminationofcontractduetosuspensionofprojectorrequirementofdischargecontractbyemployerbeforecommencementofsurvey,surveyorshallnotreturnthedepositpaid;

if,surveyworkshavebeenprocessedandthecompletedquantityreachwithin50%,employershouldmakepaymentof50%ofbudgetamountwhichequaltoYuan;

andif,thecompletedquantityexceedover50%,employershouldmakepaymentof100%ofsurveycosttosurveyor.

6.4如果发包人未按合同规定日期拨付测量费，每超过一日，应偿付未支付测量费的千分之一逾期违约金。

Employershould,intheeventoffailuretopaythesurveycostasperthedatestipulatedbycontract,payoverduepenaltyof1/1000ofthecostofnonpaymentforeachoverdueday.

6.5由于测量人原因未按合同规定时间（日期）提交测量成果资料，每超过一日，应减收测量费千分之一。

Providedthatifsurveyor’sfailureofs
