根据国家和省法律、法规和有关规定，买受人和出卖人在平等、自愿、协商一致的基础上就买卖商品房达成如下协议：

InaccordancewithContractLawofthePeople’sRepublicofChina,LawofthePeople’sRepublicofChinaonUrbanRealEstateAdministrationandpertinentlawsandregulations,thesellerandbuyer,basedonequality,voluntarinessandnegotiatedconsensus,herebyconcludethefollowingagreementonthepurchaseandsaleofcommodityhouse:

第一条项目建设依据。

Article1Basisforprojectconstruction

出卖人以出让方式取得位于xxxxxxxxxxx编号为xxx的地块的土地使用权，取得《土地使用权证书》。

第二条商品房销售依据。

第十九条　本合同在履行过程中发生的争议，由双方当事人协商解决；
