抵押物仍由甲方负责暂管完整无损，一切仓储及其它管理费用均由甲方承担。

　　3.保险：

在合同生效后五天内，甲方应向保险公司投保仓库财产保险，并将保险后的财产过户给乙方。

投保的抵押物由于不可抗力遭受损失，乙方则从保险公司直接取得全部赔偿金作为归还所欠款的一部分。

　　第四条抵押物在抵押期限内的销售和监督

　　1.抵押物的销售，仍由甲方负责，甲方应组织人员积极推销，并将所销售的货款直接交入乙方指定的帐户，作为偿还欠款本息的资金来源之一。

　　2.甲方在与需方签订供销合同时，应在合同中写明款项汇入___银行___分行___帐户，即乙方指定的帐户。

甲方在发货之前，应提前三个工作日将销售合同提交乙方审，在外地签订的销售合同，应及时将合同副本或影印件提交甲方

　　审定后方可发货。

　　3.甲方每月应向乙方提供财务计划、物资库存、财务会计报表及有关经济资料，乙方认为必要时，有权进行检查抵押物的库存，销售情况以及与抵押物有关的帐目资料，甲方应给予协助。

　　第五条甲方的义务及违约责任

　　1.甲方应保证是该抵押的合法所有权人，今后如因该抵押物的所有权归属问题发生纠纷，并因此而引起乙方的损失时，甲方应负责赔偿。

　　2.在本合同签订之后，甲方应将与抵押物有关的一切原始单证、票据交给乙方。

　　3.甲方应妥善保管抵押物，不得遗失、毁损，甲方如因故意或过失造成抵押物毁损，应在十五天内向乙方提供新的抵押物。

　　4.甲方未经乙方同意，不得将抵押物转让、出售、再抵押或以其它方式处分。

　　甲方如违反前款规定，乙方有权立即暂管抵押物，并书面通知甲方。

甲方应在接到通知书后三天内，将抵押物交给乙方，逾期不交者，乙方可依法向___人民法院申请强制执行。

乙方因此所受的经济损失由甲方赔偿。

　　5.甲方如违反本合同第四条第二项之规定，处分抵押物的行为无效，乙方因此所受的经济损失由甲方赔偿。

　　第六条抵押物的处分、处分方式和还款项的使用顺序

　　1.本合同期满，甲方尚不能还清欠款本息者，乙方有权向___人民法院申请处分抵押物。

　　2.抵押物处分方式和程序由____人民法院裁定。

　　3.抵押物的价格由___市物价局作价。

　　4.处分抵押物所得的款项，接下列顺序使用。

　　第一：

支付处分抵押物的费用。

　　第二：

缴纳抵押物的税金。

　　第三：

偿还欠乙方贷款的税金。

　　如扣除以上款项，尚有余额，应全部交还甲方。

如处分抵押物所得的款项仍不足以抵还欠款本息者。

乙方仍可根据原借款合同向债务人追索欠款。

　　第七条其它

　　1.本合同经甲、乙双方法定代表人签字加盖公章并经___市公证处公证后生效，公证费用由甲方承担。

　　2.当甲方抵押期限到期，仍因实际困难无法如期偿清贷款本息、要求延长抵押期限者，经甲方提出书面申请，乙方审查同意并签订补充协议和作为本合同书的附件，可以延长抵押期限。

　　3.本合同系经___市公证处依法赋予强制执行力的债权文书。

任何一方当事人如不履行合同，对方当事人可根据《民事诉讼法》第一百八十六条之规定，直接向___人民法院申请强制执行。

　　4.本合同未尽事宜，甲、乙双方可另行协商，签订补充协议。

补充协议与本合同具有同等效力。

　　借款方是一家从事生产销售喷砂和抛光研磨纤维石产品；

（砂石品业务）的公司：

　　TheBorroweroperatesManufactureandsaleofthespray-stone（theStoneBusiness）；

　　借款方因生产经营需要，向贷款方借款。

双方本着互惠互利的目的，友好协商，特制订本合同。

　　Foritsproductionandoperation，theBorrowerintendstoborrowmoneyfromtheLender.Forthemutualbenefits，bothPartiesagreetoconcludethisContract.

　　贷款方在签订本书面合同之前，已向借款方提供280，000美元贷款。

借款方在此确认已经收到贷款方通过银行转账方式提供的280，000美元贷款。

　　TheLenderagreestoadvancetheLoanUS$280，000totheBorrowerpriortothesigningofthisContract.TheBorrowerherebyconfirmsthatithasreceivedtheLoanUS$280，000advancedbytheLenderthroughbanktransfer.

　　第二条借款用途Article2ScopeforUse

　　本合同所约定的贷款仅用于借款方生产销售砂石品业务，不得挪作它用。

　　TheloanhereofisonlyforBorrower‘sStoneBusinessandshallnotbeappropriatedforotheruse.

　　第三条利率及还款期Article3InterestandTermRepayment

　　1.如果借款方在合同约定的还期限内还清借款，贷款方则不收取借款利息。

　　TheLenderagreesthatnointerestwillbepayableontheLoanforthetermoftheloanwhiletheBorrowerisnotindefaultofrepayment.

　　2.借款方应按照以下还款期向贷款方偿还借款：

　　TheBorroweragreestorepaytheLoantotheLenderinaccordancewiththefollowingrepaymentschedule：

　　在本合同签订之日起十二个月内偿还借款美元；

　　Repaymentdueonorbeforethedate12monthsfromthedateofthisagreement.

　　在本合同签订之日起二十四个月内偿还借款美元；

　　Repaymentdueonorbeforethedate24monthsfromthedateofthisagreement.

　　在合同签订之日起三十六个月内偿还借款美元。

　　Repaymentdueonorbeforethedate36monthsfromthedateofthisagreement.

　　3.借款方应根据贷款方合理要求的时间、场所和方式还款。

　　AllrepaymentsshallbemadeatthetimeandplaceandinthemannerreasonablyrequiredbytheLender.

　　第四条管理费用Article4ManagementFee

　　1.借款方同意在借款期内，向贷款方支付管理费用，管理费用的金额为借款方砂石品业务销售总额1.4%.

　　TheBorroweragreestopaytotheLenderasumequivalentto1.4%ofthetotalincomereceivedbytheBorrower，fromthesalesturnoveroftheStoneBusiness，duringthetermoftheloan.

　　2.借款方同意按第4.3条约定自每一财务季度结束之日起三十日内向贷款方支付管理费用，付款时间表如下：

　　Subjecttoclause4.3theBorroweragreestopaytheManagementFeetotheLenderinarrearsonorbeforethedate30daysfollowingtheendofthepreviousfinancialquarterinaccordancewiththefollowingpaymentschedule：

　　每年一月一日至三月三十一日期间的管理费用；

　　ManagementFeecalculatedfortheperiod1January–31Marcheachyear.

　　每年四月一日至六月三十日期间的管理费用；

　　ManagementFeecalculatedfortheperiod1April–30Juneeachyear.

　　每年七月一日至九月三十日期间的管理费用；

　　Managementfeecalculatedfortheperiod1July–30Septembereachyear.

　　每年十月一日至十二月三十一日期间的管理费用。

　　ManagementFeecalculatedfortheperiod1October–31Decembereachyear.

　　3.本合同签订之日起的首个季度管理费用自2011年月日起正式开始计算。

　　ManagementFeedueinrespectofthefinancialquarterwithinwhichthedateofthisagreementfallswillonlybecomedueonthedateof2011.

　　4.如果借款方在本合同签订之日起两年内提前还清借款280，000美元，借款方支付管理费用的义务自合同签订之日起两年后终止。

　　IncasetheBorrowerrepaystheloanUS$280，000within2yearsfromthedateofthisagreementthentheobligationtopaytheManagementfeewillceaseattheendofthe2yearperiod.

　　第五条浮动抵押Article5FloatingMortgage

　　1.借款方以其现有的和将来拥有的生产设备、原材料、成品和半成品向贷款方提供抵押。

　　TheBorroweragreestoMortgagetotheLenderallequipments，rawmaterials，finishedandunfinishedgoodsownednowandinthefuturebytheBorrower.

　　2.《抵押物清单》对抵押物价值的约定，并不作为贷款方依本合同对抵押物进行处分的估价依据，也不构成贷款方行使抵押权的任何限制。

　　ThevalueoftheMortgagedpropertiesstipulatedintheshallneitherbedeemedasthepriceofsalenorasanylimitontheMortgagee‘sright，whiletheLenderexercisesitsright.

　　3.抵押物的相关有效证明和资料由当事人确认封存后，由借款方交与贷款方保管，但法律法规另有规定的除外。

　　Subjecttoanythelawsandregulations，anyinformationandcertificationsinrespectoftheMortgagedpropertiesshallbehandedoverbytheBorrowertotheLenderaftersealed.

　　4.浮动抵押担保的范围为本金、利息、管理费、违约金、赔偿金以及实现债权所发生的一切费用，包括但不限于诉讼费、公证费、仲裁费、律师费、财产保全费、差旅费、执行费、评估费、拍卖费等。

　　ThefloatingMortgagehereofsecurestheprincipal，interests，managementfees，compensation，andanyothercostarisingfromtheenforcementoftheLender‘srightpursuanttothisContract，includingbutwithoutlimitationcourtfee，costfornotarization，arbitrationfee，attorneyfee，feeforcustody，travelingexpense，compulsoryexecutionfee，assessmentfeeandauctionfee.

　　5.借款方应自本合同签订之日起三十日内向有关部门办理本合同的审批、备案和登记等事宜，所产生的费用由借款方承担。

　　TheBorrowershallapplyforadministrativeapproval，record-keepingandregistrationonitsownfeeinthirtydaysfromthesigningofthisContract.

　　6.借款方应当合理使用和妥善保管抵押物，如抵押物的价值比本合同签订时的评估价减少15%以上的，借款方应当在三日内通知贷款方。

贷款方有权要求借款方继续提供相应担保或者提前还款。

　　TheBorrowershalluseandkeeptheMortgagedpropertiesinareasonablemanner，incasethevalueoftheMortgagedpropertieshavebeenreducedby15%fromtheagreedvalueatthedateofsigningthisContract，theBorrowershallinformtheLender.TheLenderisentitledtorequiretheBorrowerforappropriatesecuritiesorforrepaymentimmediately.

　　7.贷款方在借款方发生以下情形之一时，可以行使抵押权：

　　TheLenderisentitledtoexerciseitsMortgagee‘sright，inthefollowingcases：

（1）借款方违反本合同所约定的义务；

　　TheBorrowerisindefaultofitsobligationhereof；

（2）经营情况严重恶化、减少注册资本；

　　TheBorrower‘sbusinesshasseriouslydeterioratedorreducedtheregisteredcapital.

　　（3）借款方分立、合并；

TheBorroweristobeorhasbeendividedormerged；

　　（4）借款方涉及重大纠纷诉讼，涉案标的30万元人民币以上；

　　TheBorrowerisinvolvedinanimportantlitigationoranyotherdisputeofwhichtheamountisabove300，000RMB.

　　（5）借款方破产、歇业、解散、被停业整顿、被吊销营业执照；

　　Theborrowerriskstobankruptcyorgoesbankrupt，closesout，dissolves，hasbeenaskedtosuspendbusinesstoraisestandardsorhasitslicenserevoked；

　　（6）借款方住所或法定代表人发生变更；

　　Thebusinessplaceorthelegalrepresentativehasbeenchanged；

　　（7）其他因借款方原因可能导致贷款方拥有抵押权无法实现的情形。

　　TheLendercouldnotenforcetheMortgagee‘srightbecauseofanyothereventduetotheBorrower.

　　借款方发生或很可能发生以上情形之一的，贷款方书面通知借款方之日为浮动抵押财产确定之日。

若借款方不签收通知回执的，贷款方有权按本合同第十四条所示方法通知，视为乙方已经收到。

　　Ifanycaseabovesaidoccursormorethanlikelytooccur，thefloatingMortgageconvertsintobeingfixedMortgageatthedateofnoticesentbytheLender.IftheBorrowerrefusestosignreceipt，itisdeemedtohavereceivedthenoticesentbytheLenderinaccordingarticle14.

　　第六条陈述与保证Article6PresentationsandWarranties

　　借款方在此陈述并保证以下事项属实，否则承担欺诈的法律责任：

　　TheBorrowerherebypresentsandwarrantsallthefollowingfacts，otherwiseitshallbeliableforfraud.

　　1.借款方是本合同项下抵押财产完全的、有效的、合法的所有者；

该抵押财产不存在权属方面的争议。

　　TheBorrowerhastheentire，validandlegalownershipoftheMortgagedpropertieswithoutanydisputeorclaim.

　　2.本合同项下抵押财产不存在瑕疵。

　　NodefectontheMortgagedproperties.

　　3.本合同项下的抵押财产依法可以设定抵押，设立本合同的抵押不会受到任何限制。

　　TheMortgagedpropertiesarelegallyavailableforMortgagewithoutanylimitation.

　　4.本合同项下的抵押财产未被依法查封、扣押。

　　TheMortgagedpropertieshaven‘tbeensealedorseized.

　　借款方在此保证在合同存续期间，未经贷款方书面同意，不从事以下行为：

　　WithouttheLender‘spriorwrittenconsent，theBorrowerherebywarrantsthatduringthetermofthisContract，itwillnot：

　　1.对公司的利润进行分红；

　　Payanydividendinrespectofitsprofitstoitsshareholders；

　　2.在一个财务季度内购买价值合计25，000美元以上的生产设备；

　　NotacquireanaggregateofmorethanUS$25，000worthofplantorequipmentinacalendarquarter；

　　3.对抵押财产再次设立抵押、质押或者出租、赠予抵押财产。

　　Remortgage，reMortgage，rentorgivetheMortgagedpropertiestoanyotherperson；

　　第七条经销Article7Distribution

　　借款方同意贷款方在本合同约定的条件下，在世界范围内销售借款方生产的喷砂和抛光研磨纤维石产品（“砂石产品”）

　　TheBorroweragreesthattheLendermaydistributethe“spray-stone”and“super-stone”products（“StoneProducts”）anywhereintheworldandonwhatevertermsitseesfitforthetermofthisagreement.

　　在本合同订立之日至2013年12月31日期间，借款方向贷款方出售砂石产品的价格不高于当次交易时最近三个月借款方出售砂石产品的最低价格。
