ThisContractismadeandenteredintoandexecutedbyandbetweenthecompanies“RICHMARINECORP.,”hereinafterreferredtoasthe“SELLER”representedbyChoong-sunHong/RobertHsieh,Director,ononehand,andthecompany“xxxxxxxxxxxxx”hereinafterreferredtoasthe“BUYER”,representedby,President/XXXXX/GeneralManager,actingonthebasisofaCorporateResolution,togetherhereinafterreferredtoasthe“PARTIES”,agreeasfollows:

本合同由RICHMARINECORP.（这里称为卖方）其代表人Choong-sunHong/RobertHsieh董事为一方，xxxxxxxxxxxxxxxxxxxxxxxxxxxxxx（其代表人与这里称为买方）其代表人xxxx总经理,双方在友好合作的基础上签订以下协议。

合同内容如下：

DEFINITIONS:

定义

MetricTon（MT）公吨

Ameasureofweightequivalenttoonethousandkilogrammass（1.000kg）.

一公吨相当于一千千克

Commodity商品

Isreferredtoasbeing“RUSSIANMAZUT100GOST105-85-75”,inthisContractalsoreferredtoas“Goods”.这里指俄罗斯重油，本合同称之为货物

Day日

Meansacalendarday,unlessdifferentlyspecified.

除非另有规定，这里均指一个公历日，

Month月

MeansaGregoriancalendarmonth.

这里指阳历上的月。

CalendarQuarter季度

Periodequaltothree（3）monthsandcommencingon1stJanuary,1stApril,1stJulyand1stOctober.

一季度指三个月，分别从1月1日，4月1日，7月1日和10月1日开始。

ASTM美国实验与材料协会

AmericanSocietyforTestingandMaterials,istheInstitute,internationallyrecognised,thatapprovedallStandards,TestsandProceduresusedintheOilIndustryandtobereferredinthisagreementtothelatestrevisededitionwithamendmentsinforcetodate.

指美国材料试验协会，是一家国际社会承认的、负责批准石油行业所有标准、测试和程序的机构，本协议参照此协会最近修订的目前正在执行的标准。

Terminal/Portofshipment货栈/装货港

ThePortormooringspecifiedbytheSeller,asitemofshipment.卖方所指定的装运货物的货栈或港口。

DeliveryDate交货期

ThedatemutuallyacceptedbybothSellerandBuyerasthedateonwhichthenominatedfirstclassindependentinspectorhasascertainedthequantityandqualityoftheproductpumpedintotheBuyersdischargeterminalfacilities.

指经买卖双方共同接受认可的日期，在该日期，指定的国际一流检测机构检验并确定了泵入买方指定的卸货港设施的油品的数量和质量;

Platt’s普氏

Theorganisationinternationallyrecognisedandaccepted,whopublishofficialquotationsofPetroleumproductsonadailybasis.

一个国际上任何并接受的机构，该机构每天会公布官方的石油产品的价格。

Whereas,thePartiesmutuallydesiretoexecutethisagreementwhichshallbebindinguponandinuretothebenefitoftheParties,theirlegalrepresentatives,successorsandassigns,inaccordancewiththejurisdictionallawofthenegotiatedandfullyexecutedcontractwithtermsandprovisionshereunderagreedupon:

买卖双方在此同意执行本合同，本合同按照协议双方所在地的法律对买卖双方，及他们的接任人和转让人均有约束力。

本协议是一份完全生效执行的合同，。

条款和条件如下：

1.SUBJECTOFTHECONTRACT合同标的物

1.1.TheSellerhassold,andtheBuyerhasboughtCIF50,000MT（+/5%）PerMonthMAZUT-100（10585/75）furthercalledthe"Goods",inquantityofuniformtankerlotsduring（12）Monthsforatotalquantityof600,000MT（+/-5%）.

卖方销售，买方购买CIF术语下每月50，000（+/-5%）公吨的俄罗斯重油，连续12个月的总数量达到600，000（+/-5%）公吨，每月交货5万吨（+/-5%）。

2.QUALITYANDQUANTITY质量与数量

2.1.ThequalityoftheGoodssoldunderthisContractshallmeetthespecificationindicatedintheAppendixNo.1.

本合同项下所销售的货物的材质符合附件1中的指标规定。

2.2.QualityandquantitymeasurementatunloadingportshallbedonebyarecognizedSurveyorCIQandtheirresultsshouldbefinalandacceptedbybothpartiesobligatory.

卸货港产品数量和质量的检测由CIQ进行检测，双方同意其检测结果是最终的并对双方有约束力。

2.3.TheSellers’responsibilitywithregardstothequalityoftheGoodsdeliveredisnotlimitedtothespecificationcharactersstatedintheAppendixNo.1.

卖方对于所交货物的质量责任不仅仅限于附件一中的材质规定。

2.4.Testforqualityandquantityshallbeperformedinthemannercustomaryattheloadingport.

品质和数量的检测方法按照装货港惯用的方式进行。

2.5.Thetanker’slottobe50,000MT+/-5%inweight.

每批次油轮是50，000公吨，溢短装+/-5%。

2.6Thetotalcontractualquantityofthecommoditysoldandpurchasedunderthisagreementis50,000metrictones（+/-5%）permonth.Thespecifiedquantityisequivalentto600,000MT（+/-5%）Thequantitymayincreasethroughpossiblerollsandextensions,byne
