Chapter1GeneralProvisions

Article1ThisLawisformulatedinordertoregulatetenderingandbiddingactivities,protectnationalandpublicinterestsaswellasthelegitimaterightsandinterestsofthepartiesinvolvedintenderingandbiddingactivities,improveeconomicbenefitsandensurequalityofprojects.

Article2ThisLawappliestothetenderingandbiddingactivitieswithintheterritoryofthePeople'

sRepublicofChina.

Article3ThefollowingconstructionprojectsundertakenwithintheterritoryofthePeople'

sRepublicofChina,includingthesurveyingandinvesti-gation,design,constructionandconstructionsupervisionofsuchprojectsaswellastheprocurementofrelevantmajorequipmentandmaterialsforsuchprojects,shallbecarriedoutthroughtenderingprocedures:

（1）largescaleinfrastructureprojectsandpublicutilityprojectsconcerningpublicinterestsandsecurity;

（2）projectsinvestedcompletelyorparilybythegoveriinientorfundedthroughstatefinancing;

（3）projectsusingloansandaidfundsfrominternationalorganizationsorforeigngoverments.

ThespecificscopeandthresholdfortenderingoftheprojectslistedintheprecedingparagraphshallbeformulatedbythedevelopmentplanningdepartmentoftheStateCouncil,togetherwithotherStateouncildepartments,andbereportedtotheStateCouncilforapproval.

IfotherlawsortheStateCouncilhaveprovisionsonthescopeofotherprojectswhichmustbesubjecttotender,suchprovisionsshallbefollowed.

Article4NounitsorpersonsmaybreakaprojectsuhJecttotenderbylawintoseveralsmallerpartsorbyanyothermeanstrytododgetendering.

Article5Tenderingandbiddingactivitiesshallfollowtheprinciplesofopenness,fairness,impartialityandtrustworthiness.

Article6NolocalordepartmentallimitsshallbeimposedonthetenderingandbiddingactivitiesoftheprojectssuUJecttotenderbylaw.Nounitsorpersonsshall,byanymeans,illegallylimitorexcludelegalpersonsorotherorganizationsfromotherregionsorsystemsfromparticipatinginbidding.Noillegalinterferenceinanyformispemiittedinthetenderingandbiddingactivities.

Article7Ailtenderingandbiddingactivitiesandthepartiesinvolvedshallbesubjecttolegallyconstitutedsupervision.

Relevantdepartmentsforadininistrativesupervisionshallundertakesupervisionofthetenderingandbiddingactivitiesaccordingto.law,andinvestigateanddealwiththeanyillegalactionstherein.

Thedivisionofspecificdutiesandpowersoftheadministrativesupervisionoftenderingandbidding.activitiesand.therelevantdspartrnentsshallbedeterminedbytheStateCouncil.

Chapter2Tendering

Article8AtendererisalegalpersonorotherkindoforganizationproposingaprojectsubjecttotenderandundertakestenderinginaccordancewiththisLaw.

Article9IfaprojectsuUJecttotenderisrequiredtogothroughtheproceduresofexaniinationandapprovalinaccordancewith.elevantnationalregulations,itshallfirsilyproceedwithsuchproceduresandobtaintheapproval.

Atenderershallhavethecorrespofldingfundsorconfirmedsourcesoffundsfortheprojectsubjecttotenderandstateittruthfullyinitstenderdocuments.

Article10Tenderingisdassifiedintotwocategories:

opentenderingandselectivetendering.

Opentenderingindicatesthatatenderer,intheformoftendernotice,invitesunspecifiedlegalpersonsorotherorganizationstobid.

Selectivetenderingmeansthatatenderer,intheformofinvitationtobid,invitesspecifiedlegalpersonsorotherorganizationstobid.

Article11IfanationalkeyconstructionprojectdeterminedbythedevelopmentplanningdepartmentoftheStateCounciloralocalkeyconstructionprojectdeterminedbythepoople'

sgovernmentofaprovince,anautonomousregionoramunicipalitydirectlyundertheStateCouncilisnotsuitableforopentendering,itmaybesuhJecttoseiectivetenderingwiththeapprovalofthedsvelopmentplanningdepartmentoftheStateCouncilorthepoople'

sgovernmentofaprovince,anautonomousregionoramunicipalitydirectlyundertheStateCouncil.

Article12Atenderershallhavetherighttochoose,onhisown,atenderingagencyandentrustittoundertaketenderingwork.Nounitsoriudividualsshall,byanymeans,appointatenderingagencyforthetenderer.

Atendererwhohasthecapabilityofcompilingtenderdocunientationandorganizingbidevaluationmaycarryoutthetenderhimself.Nounitsorindividualsshallforcethetenderertoentrustatenderingagencytocarryoutthetenderingwork.

AtenderershallfilearecordtotherelevantdepartmentforadriiimstrativesupervisionifitcamesoutbyhimselfthetenderingforaprojectsuhJecttotenderbylaw.

Article13Atenderingagencyisasocialintermediaryorganizationsetupaccordingtolawtoengageinbusinessasatenderingagentandproviderelatedservices.

Atenderingagencyshallsatisfythefollowingconditions:

（1）havingaplaceofbusinessandthenecessaryfinancialresourcesforthebusinessasatenderingagent;

（2）havingrelevantprofessionalcapacityforcompilingtenderdocuxnentsandorganizingbidevaluation;

（3）havingapoolofexpertsintechnology,economicsandsuchotherfieldswhosatisfytheconditionslaiddowninParagraph3ofArticle37ofthisLawandwhocanbecandidatesformembersofthebidevaluationconixnittee.

Article14Thequalificationsoftenderingagenciesengaginginthetenderingbusinessofconstructionprojectsshallbespecifiedbytheadminis-trativedepartmentsforconstructionoftheStateCouncilorofthePeople'

sgoveriirnentofprovinces,autonomousregionsormunicipalitiesdirectlyundertheStateCouncil.ThespecificprovisionsthereforshallbeformulatedbytheadministrativedepartmentforconstructiontogetherwithotherrelevantdepartmentsoftheStateCouncil.TheStateCouncilshalldeterminetheadriiinistrativedepartmentsforspecifyingthequalificationsofothertenderingagenciesengagedinthebusiness.

Thereshallbenosubordinationorotherrelationshipofinterestbetweentenderingagenciesandadininistrativeorgansandotherstateorganizations.

Article15AtenderingagencyshallconducttenderingworkwithinthescopeauthorizedbythetendererandshallcomplywiththeprovisionsofthisLawontenderers.

Article16Iftheopentenderingprocedureisadoptedbythetenderer,atendernoticeshallbeissued.ThetendernoticeforaprojectsubJecttotenderaccordingtolawshallbepublishedinnewspapers,informationnetworksorotherkindsofmediadesignatedbytheState.

Tendernoticeshallclearlypresentsuchparticularsasthenameandaddressofthetenderer,thenature,quantity,placeandtimeofimplementationoftheprojectsuhJecttotenderandthemethodofobtainingthetenderdocunients.

Article17Iftheselectivetenderingprocedureisadoptedbythetenderer,invitationstobidshallbesenttothreeormorespecifiedlegalpersonsorotherorganizationswhicharecapableofundertakingtheprojectsuhJecttotenderandhaveagoodreputationandqualification.

AninvitationtobidshallclearlyindicatetheitemsspecifiedinParagraph2ofArticle-16ofthisLaw.Article18BasedontherequirementsoftheprojectsuhJecttotender,atenderermayrequest,inhistendernoticeorinvitationstobid,potentialbidderstoprovidsrelevantcertificatesandinformationconcerningtheircompetenceandbusinessachievementsandexaminethequalificationsofthepotentialbidders.IftheStatehasprovisionsonthequalificationsofthebidders,suchprovisionsshallbefollowed.

Atenderershallnotrestrictorexcludsanypotentialbidderwithunfairrequirements,norshallheimposeanydiscriminatorytreatmentsonanypotentialbidder.

Artide19Atenderershallcompilethetenderdocunientsinaccordancewiththecharacteristicsandrequirementsoftheproject.Thetenderdocumentsshallincludesuchsubstantiverequirementsandtermsasthe.technicalspecificationsoftheprojectsuhjecttotender,standardsforexaminationofthebidders'

qualifications,requirementsforbidpricequotationandbidevaluationcriteriaaswellasmajorclausesofthecontracttobesigued.IftherearenationalprovisionsonthetechnologyandstandardsfortheprojectsubJecttotender,atenderershall,inaccordancewithsuchprovisions,statesuchcorrespondingrequirementsinthetenderdocurnents.

Ifthereisaneedtodivideaprojectsubjecttotendsrintobidlotsortodeterminetheconstrnctionperiods,thetenderershallreasonablymakesuchadivisionordeterminationandshallstateitclearlyinthetenderdocurnents.

Article20Tendsrdocumentsshallnotrequireorindicatespecifiedproducerorsupplier,norshalltheycontainanyotherprovisionsfavouringorexcludingpotentialbidders.

Article21InaccordancewiththeactualconditionsofaprojectsuUJecttotender,atenderermayorganizethepotentialbidderstoinspectthesiteofiheproject.

Article22Atenderershallnotdisclosetootherpooplethenamesandnumberofpotentialbidderswhohaveobtainedthetenderdocunientsorotherrelevantinformationrelatingtotenderingandbiddingactivitieswhichmightaffectfaircompetition.

Atendererwhohasdeterminedatenderbasepriceshallkeepsuchbasepriceconfidential.

Article23Ifnecessaryclarificationsormodificationsareneededforthetend
