（8）保险：

由卖方按发票金额110%投保

（9）付款条件：

买方应通过买卖双方同意的银行，开立以卖方为受益的人，

不可撤销的、可转让和可分割的、允许分批装运和转船的信用证。

该信用证凭装运

单据在中国的中国银行见单即付。

该信用证必须在__前开出。

信用证有效期为装船后十五天在中国到期。

（10）单据：

卖方应向议付银行提供已装船清洁提单、发票，装箱单/重量

如果本合同按cif条件，应再提供可转让的保险单或保险凭证。

2）卖方于货物装船后，应将合同号码、品名、数量、船名、装船日期以电报

（12）品质和数量/重量的异议与索赔：

货到目的口岸后，买方如发现货物

品质及/或数量/重量与合同规定不符，附属于保险公司及/或船公司的责任外，

买方可以凭双方同意的检验机构出具的检验证明向卖方提出异议。

品质异议须于货

到目的口岸之日起30天内提出，数量/重量异议须于货到目的口岸之日起15天

内提出。

卖方应于收到异议后30天内答复买方。

（13）人力不可抗拒：

由于人力不可抗拒事故，使卖方不能在本合同规定期

限内交货或者不能交货，卖方不负责任。

但卖方必须立即以电报通知买方。

提出要求，卖方应以挂号函向买方提供由中国国际贸易促进委员会或有关机构出具

（14）仲裁：

凡因执行本合同或与本合同有关事项所发生的一切争执，应由

双方通过友好方式协商解决。

如果不能取得协议时，则在被告国家根据被告国家仲

裁机构的仲裁程序规则进行仲裁。

仲裁决定是终局的，对双方具有同等的约束力，

仲裁费用除非仲裁机构另有决定外，均由败诉一方负担。

11.装运通知：

一俟装运完毕，卖方应即电告买方合同号、品名、已装载数量，发票总金额，毛重，运输工具名称及启运日期等。

shippingadvice:

thesellersshallimmediately,uponthecompletionoftheloadingofthegoods,advisethebuyersofthecontractno,namesofcommodity,loadedquantity,invoicevalues,grossweight,namesofvesselandshipmentdatebytlx/fax.

inspectionandclaims:

①卖方在发货前由检验机构对货物的品质、规格和数量进行检验，并出具检验证明书。

thebuyersshallhavethequalities,specifications,quantitiesofthegoodscarefullyinspectedbytheinspectionauthority,whichshallissueinspectioncertificatebeforeshipment.

②货物到达目的的口岸后，买方可委托当地的商品检验机构对货物进行复检。

如果发现货物有损坏、残缺或规格、数量与合同规定不符，买方须于货到目的口岸的天内凭检验机构出具的检验证明书向卖方索赔。

③如买方提供索赔，凡属品质异议须于货到目的的口岸之日起天提出;

凡属数量异议须于货到目的口岸之日起天提出。

对所装货物所提任何异议应由保险公司、运输公司或邮递机构负责的，卖方不负任何责任。

13.人力不可抗拒：

如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及时通知买方。

14.争议之解决方式：

disputessettlement:

任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。

仲裁地点在中国深圳。

仲裁裁决是终局的，对双方均有约束力。

本合同之签订地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，适用中华人民共和国法律，除此规定外，适用《联合国国际货物销售公约》。

itwillbegovernedbythelawofthepeople’srepublicofchinaunderthecircumstancesthatthecontractissingedorthegoodswhilethedisputesarisingareinthepeople’srepublicofchinaorthedeffendantischineselegalperson,otherwiseitisgovernedbyunitednationsconventiononcontractfortheinternationalsaleofgoods.

本合同使用的fob、cfr、cif、ddu术语系根据国际商会《incoterms1990》

16.文字：

本合同中、英两种文字具有同等法律效力，在文字解释上，若有异议，以中文解释为准。
